Un compromis de vente avait \u00e9t\u00e9 sign\u00e9 entre le vendeur et les \u00e9poux acqu\u00e9reurs, sous conditions suspensives, lesquelles furent r\u00e9alis\u00e9es. Le vendeur refusa cependant de r\u00e9it\u00e9rer la vente par acte authentique, invoquant des d\u00e9gradations caus\u00e9es par des intemp\u00e9ries. Les acqu\u00e9reurs assign\u00e8rent en justice pour voir d\u00e9clarer la vente parfaite ou, subsidiairement, obtenir sa r\u00e9solution. Le jugement de premi\u00e8re instance d\u00e9clara la vente parfaite et condamna les acqu\u00e9reurs au paiement de la commission d\u2019agence immobili\u00e8re. Le vendeur et les acqu\u00e9reurs interjet\u00e8rent appel.<\/p>\n<p>Les pr\u00e9tentions divergent : les acqu\u00e9reurs et la co-venderesse demandent l\u2019infirmation et la r\u00e9solution de la vente aux torts du vendeur ; le vendeur soutient que la vente ne peut \u00eatre parfaite en raison de l\u2019\u00e9tat du bien et que la clause p\u00e9nale est excessive ; l\u2019agence immobili\u00e8re r\u00e9clame sa commission. La question de droit centrale est de savoir si la vente \u00e9tait devenue parfaite d\u00e8s la signature du compromis et, dans la n\u00e9gative, quelles sont les cons\u00e9quences de l\u2019inex\u00e9cution imputable au vendeur.<\/p>\n<p>La cour infirme le jugement, prononce la r\u00e9solution de la vente, condamne le vendeur \u00e0 payer aux acqu\u00e9reurs la somme de 100 000 euros au titre de la clause p\u00e9nale, et le condamne \u00e9galement \u00e0 verser 47 500 euros \u00e0 l\u2019agence immobili\u00e8re au titre de la clause p\u00e9nale du mandat, outre des dommages-int\u00e9r\u00eats pour pr\u00e9judice moral. La cour \u00e9carte ainsi la qualification de vente parfaite au profit d\u2019une r\u00e9solution judiciaire.<\/p>\n<h2 id=\"i-la-resolution-de-la-vente-a-lepreuve-de-la-perfection-contractuelle\">I. La r\u00e9solution de la vente \u00e0 l\u2019\u00e9preuve de la perfection contractuelle<\/h2>\n<p><\/p>\n<h3 id=\"a-labsence-de-vente-parfaite-par-suite-de-limpossibilite-dexecution\">A. L\u2019absence de vente parfaite par suite de l\u2019impossibilit\u00e9 d\u2019ex\u00e9cution<\/h3>\n<p>La cour rappelle qu\u2019aux termes de l\u2019article 1583 du code civil, la vente est parfaite d\u00e8s l\u2019accord sur la chose et sur le prix. En l\u2019esp\u00e8ce, le compromis caract\u00e9rise cet accord. Il ne ressort d\u2019aucune clause que la r\u00e9it\u00e9ration par acte authentique aurait \u00e9t\u00e9 \u00e9rig\u00e9e en \u00e9l\u00e9ment constitutif du consentement. La vente \u00e9tait donc en principe parfaite \u00e0 la date du compromis, ainsi que le juge de premi\u00e8re instance l\u2019avait retenu. Cependant, la cour rel\u00e8ve que la condition suspensive relative \u00e0 l\u2019obtention des pr\u00eats avait \u00e9t\u00e9 r\u00e9alis\u00e9e et que le prix \u00e9tait disponible chez le notaire. Le seul obstacle \u00e0 la vente provenait du refus d\u00e9lib\u00e9r\u00e9 du vendeur de se pr\u00e9senter pour signer l\u2019acte authentique.<\/p>\n<p>Ce refus n\u2019est pas justifi\u00e9 par les d\u00e9gradations invoqu\u00e9es. La cour constate que les acqu\u00e9reurs ont \u00e9t\u00e9 inform\u00e9s des d\u00e9sordres par le projet d\u2019acte notari\u00e9 et qu\u2019ils ont persist\u00e9 dans leur volont\u00e9 d\u2019acqu\u00e9rir, comme en atteste le proc\u00e8s-verbal de carence. Les acqu\u00e9reurs ont m\u00eame agi en justice pour faire d\u00e9clarer la vente parfaite. L\u2019impossibilit\u00e9 mat\u00e9rielle de prendre possession des lieux, conjugu\u00e9e \u00e0 l\u2019augmentation des taux d\u2019int\u00e9r\u00eat et au temps \u00e9coul\u00e9, a rendu l\u2019acquisition impossible dans les conditions initiales. La cour en d\u00e9duit que la vente, bien que parfaite en principe, ne peut plus \u00eatre ex\u00e9cut\u00e9e en nature. D\u00e8s lors, elle prononce la r\u00e9solution, conform\u00e9ment \u00e0 l\u2019article 1227 du code civil.<\/p>\n<h3 id=\"b-la-resolution-judiciaire-fondee-sur-linexecution-imputable-au-vendeur\">B. La r\u00e9solution judiciaire fond\u00e9e sur l\u2019inex\u00e9cution imputable au vendeur<\/h3>\n<p>La cour \u00e9tablit que le vendeur est seul responsable de la non-r\u00e9it\u00e9ration. Elle rel\u00e8ve qu\u2019il a refus\u00e9 de se pr\u00e9senter devant le notaire malgr\u00e9 plusieurs convocations, et que ses \u00e9changes avec son notaire d\u00e9montrent une volont\u00e9 de ren\u00e9gocier le prix, estimant le bien sous-\u00e9valu\u00e9. Les intemp\u00e9ries n\u2019ont pas alt\u00e9r\u00e9 son consentement, puisque le rapport d\u2019expertise a \u00e9t\u00e9 int\u00e9gr\u00e9 dans l\u2019acte notari\u00e9 et que les acqu\u00e9reurs avaient connaissance des d\u00e9gradations. Le v\u00e9ritable motif de l\u2019abstention est une tentative de ren\u00e9gociation ou un retrait pur et simple.<\/p>\n<p>La cour retient donc que le vendeur a manqu\u00e9 \u00e0 ses obligations contractuelles en s\u2019abstenant de r\u00e9it\u00e9rer la vente, alors que les conditions suspensives \u00e9taient lev\u00e9es. Ce manquement est la cause directe de l\u2019impossibilit\u00e9 d\u2019ex\u00e9cution. En application des articles 1217 et 1231-1 du code civil, la r\u00e9solution est prononc\u00e9e aux torts exclusifs du vendeur. La co-venderesse, qui avait pris toutes les dispositions pour permettre la vente, n\u2019est pas tenue pour responsable. Cette solution \u00e9carte l\u2019id\u00e9e d\u2019une vente parfaite opposable, car l\u2019ex\u00e9cution en nature n\u2019est plus possible et la r\u00e9solution emporte an\u00e9antissement r\u00e9troactif du contrat.<\/p>\n<h2 id=\"ii-les-consequences-indemnitaires-de-linexecution-contractuelle\">II. Les cons\u00e9quences indemnitaires de l\u2019inex\u00e9cution contractuelle<\/h2>\n<p><\/p>\n<h3 id=\"a-lapplication-de-la-clause-penale-au-profit-des-acquereurs\">A. L\u2019application de la clause p\u00e9nale au profit des acqu\u00e9reurs<\/h3>\n<p>La clause p\u00e9nale stipul\u00e9e dans le compromis pr\u00e9voyait une indemnit\u00e9 forfaitaire de 10 % du prix de vente en cas de d\u00e9faillance. La cour constate que le vendeur est d\u00e9faillant et applique la clause \u00e0 hauteur de 100 000 euros. Le vendeur en sollicitait la r\u00e9duction au motif de son caract\u00e8re manifestement excessif. La cour \u00e9carte cette demande. Elle rappelle que la p\u00e9nalit\u00e9 a pour objet de r\u00e9parer forfaitairement le pr\u00e9judice subi, outre une fonction comminatoire.<\/p>\n<p>En l\u2019esp\u00e8ce, les acqu\u00e9reurs ont subi un pr\u00e9judice important : ils ne peuvent plus acqu\u00e9rir le bien \u00e0 ce jour en raison de l\u2019augmentation des taux d\u2019int\u00e9r\u00eat et de la perte de leur capacit\u00e9 financi\u00e8re. La clause p\u00e9nale n\u2019est donc pas excessive au sens de l\u2019article 1231-5 du code civil. La cour reprend ainsi la doctrine de l\u2019arr\u00eat de la Cour d\u2019appel de Poitiers du 4 mars 2025, selon lequel <em>&#8221; le juge peut mod\u00e9rer ou augmenter la p\u00e9nalit\u00e9 si elle est manifestement excessive ou d\u00e9risoire &#8220;<\/em>. Ici, la p\u00e9nalit\u00e9 n\u2019est pas excessive. En revanche, la demande de dommages-int\u00e9r\u00eats pour pr\u00e9judice moral est rejet\u00e9e, faute de d\u00e9monstration d\u2019un pr\u00e9judice personnel distinct de celui couvert par la clause p\u00e9nale.<\/p>\n<h3 id=\"b-la-mise-en-jeu-de-la-clause-penale-du-mandat-a-lencontre-du-vendeur-defaillant\">B. La mise en jeu de la clause p\u00e9nale du mandat \u00e0 l\u2019encontre du vendeur d\u00e9faillant<\/h3>\n<p>L\u2019agence immobili\u00e8re r\u00e9clamait le paiement de sa commission sur le fondement du contrat de mandat. La cour infirme le jugement qui avait mis la commission \u00e0 la charge des acqu\u00e9reurs. Elle rappelle que la r\u00e9solution an\u00e9antit r\u00e9troactivement le compromis et que les acqu\u00e9reurs n\u2019\u00e9taient pas parties au mandat. Ils ne peuvent donc \u00eatre tenus de la commission.<\/p>\n<p>En revanche, le mandat liant le vendeur et la co-venderesse \u00e0 l\u2019agence contient une clause p\u00e9nale pr\u00e9voyant une indemnit\u00e9 \u00e9gale au montant de la r\u00e9mun\u00e9ration en cas de manquement. La cour retient que seul le vendeur a failli \u00e0 ses obligations. Il est condamn\u00e9 \u00e0 verser 47 500 euros \u00e0 l\u2019agence au titre de cette clause. La co-venderesse est exon\u00e9r\u00e9e car elle a accompli toutes les diligences n\u00e9cessaires. Cette solution illustre le principe selon lequel la r\u00e9solution n\u2019affecte pas les clauses destin\u00e9es \u00e0 produire effet en cas d\u2019inex\u00e9cution. La clause p\u00e9nale du mandat reste donc applicable \u00e0 l\u2019encontre du seul contractant fautif.<\/p>\n<p><h2 id=\"jurisprudences-utilisees-pour-enrichir-le-commentaire\">Jurisprudences utilis\u00e9es pour enrichir le commentaire<\/h2>\n<p><\/p>\n<ul class=\"jurisprudences-rag-sources\">\n<li><a href=\"https:\/\/www.courdecassation.fr\/decision\/6789fa440c7dc206c9eb7e31\" rel=\"nofollow\" target=\"_blank\">Cour d&#x27;appel de Bordeaux, le 16 janvier 2025, n\u00b021\/04120<\/a><\/li>\n<li><a href=\"https:\/\/www.courdecassation.fr\/decision\/67c7e8d5910b2f913559de36\" rel=\"nofollow\" target=\"_blank\">Cour d&#x27;appel de Poitiers, le 4 mars 2025, n\u00b023\/00989<\/a><\/li>\n<\/ul>\n<\/div>\n<style scoped>.fondements-juridiques{margin:40px 0 0;padding:0}.fondements-juridiques>h2{font-size:22px;color:#1a1a1a;border-bottom:2px solid #2c5f8a;padding-bottom:10px;margin-bottom:20px}.fj-article{background:#fdfdfd;border:1px solid #e8e8e8;border-radius:6px;padding:20px;margin-bottom:16px}.fj-article h3{font-size:17px;color:#2c5f8a;margin:0 0 12px;font-weight:600}.fj-texte{font-size:15px;line-height:1.7;color:#333}.fj-texte p{margin:8px 0}.fj-badge{font-size:11px;padding:2px 8px;border-radius:3px;margin-left:8px;font-weight:500;vertical-align:middle}.fj-en-vigueur{background:#e8f5e9;color:#2e7d32}.fj-abroge{background:#ffebee;color:#c62828}.fj-modifie{background:#fff3e0;color:#e65100}<\/style>\n<section class=\"fondements-juridiques\">\n<h2 id=\"fondements-juridiques\">Fondements juridiques<\/h2>\n<div class=\"fj-article\">\n<h3><a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000038799598\" rel=\"nofollow\" target=\"_blank\">Article L. 227-9-1 du Code de commerce<\/a> <span class=\"fj-badge fj-en-vigueur\">En vigueur<\/span><\/h3>\n<div class=\"fj-texte\">\n<p>Les associ\u00e9s peuvent nommer un ou plusieurs commissaires aux comptes dans les conditions pr\u00e9vues \u00e0 l&#8217;article L. 227-9.<\/p>\n<p>Sont tenues de d\u00e9signer au moins un commissaire aux comptes les soci\u00e9t\u00e9s par actions simplifi\u00e9es qui d\u00e9passent, \u00e0 la cl\u00f4ture d&#8217;un exercice social, deux des seuils suivants, fix\u00e9s par d\u00e9cret : le total de leur bilan, le montant de leur chiffre d&#8217;affaires hors taxe ou le nombre moyen de leurs salari\u00e9s au cours de l&#8217;exercice.<\/p>\n<p>M\u00eame si les conditions pr\u00e9vues au deuxi\u00e8me alin\u00e9a ne sont pas atteintes, la nomination d&#8217;un commissaire aux comptes peut \u00eatre demand\u00e9e en justice par un ou plusieurs associ\u00e9s repr\u00e9sentant au moins le dixi\u00e8me du capital.<\/p>\n<p>Lorsque les conditions pr\u00e9vues au deuxi\u00e8me alin\u00e9a du pr\u00e9sent article ne sont pas atteintes, un commissaire aux comptes peut \u00eatre nomm\u00e9 pour faire application du second alin\u00e9a de l&#8217;article L. 225-146.<\/p>\n<p>Sont \u00e9galement tenues de d\u00e9signer un commissaire aux comptes, pour un mandat de trois exercices, les soci\u00e9t\u00e9s dont un ou plusieurs associ\u00e9s repr\u00e9sentant au moins le tiers du capital en font la demande motiv\u00e9e aupr\u00e8s de la soci\u00e9t\u00e9.<\/p>\n<\/div>\n<\/div>\n<div class=\"fj-article\">\n<h3><a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036829854\" rel=\"nofollow\" target=\"_blank\">Article 1217 du Code civil<\/a> <span class=\"fj-badge fj-en-vigueur\">En vigueur<\/span><\/h3>\n<div class=\"fj-texte\">\n<p>La partie envers laquelle l&#8217;engagement n&#8217;a pas \u00e9t\u00e9 ex\u00e9cut\u00e9, ou l&#8217;a \u00e9t\u00e9 imparfaitement, peut :<\/p>\n<p>&#8211; refuser d&#8217;ex\u00e9cuter ou suspendre l&#8217;ex\u00e9cution de sa propre obligation ;<\/p>\n<p>&#8211; poursuivre l&#8217;ex\u00e9cution forc\u00e9e en nature de l&#8217;obligation ;<\/p>\n<p>&#8211; obtenir une r\u00e9duction du prix ;<\/p>\n<p>&#8211; provoquer la r\u00e9solution du contrat ;<\/p>\n<p>&#8211; demander r\u00e9paration des cons\u00e9quences de l&#8217;inex\u00e9cution.<\/p>\n<p>Les sanctions qui ne sont pas incompatibles peuvent \u00eatre cumul\u00e9es ;
