Le bailleur invoque une clause r\u00e9solutoire pour d\u00e9faut de paiement des loyers apr\u00e8s commandement demeur\u00e9 infructueux. Le juge constate la r\u00e9siliation de plein droit, ordonne l&#8217;expulsion du preneur et le condamne au paiement de diverses sommes. La d\u00e9cision illustre le contr\u00f4le strict des conditions de mise en oeuvre des clauses r\u00e9solutives expresses en mati\u00e8re commerciale.<\/p>\n<p>Le formalisme imp\u00e9ratif du commandement pr\u00e9alable<\/p>\n<p>Le juge v\u00e9rifie scrupuleusement le respect des conditions l\u00e9gales de mise en demeure. L&#8217;article L 145-41 du code de commerce impose un commandement mentionnant un d\u00e9lai d&#8217;un mois avant que la clause ne produise effet. La d\u00e9cision rel\u00e8ve que le commandement produit en d\u00e9bat est conforme et que les causes de celui-ci n&#8217;ont pas \u00e9t\u00e9 acquitt\u00e9es dans le d\u00e9lai imparti. Ce formalisme prot\u00e8ge le preneur contre une r\u00e9siliation brutale et lui accorde un ultime d\u00e9lai pour se mettre en r\u00e8gle. &#8220;Toute clause ins\u00e9r\u00e9e dans le bail pr\u00e9voyant la r\u00e9siliation de plein droit ne produit effet qu&#8217;un mois apr\u00e8s un commandement demeur\u00e9 infructueux&#8221; (Motifs). La jurisprudence rappelle que ce commandement doit \u00eatre pr\u00e9cis et de bonne foi pour \u00eatre valable. &#8220;Pour que le commandement produise ses effets et permette la mise en oeuvre de la clause r\u00e9solutoire, il doit \u00eatre pr\u00e9cis pour permettre \u00e0 son destinataire de r\u00e9m\u00e9dier au manquement contractuel reproch\u00e9 et ne pas \u00eatre d\u00e9livr\u00e9 de mauvaise foi&#8221; (Tribunal judiciaire de Paris, le 22 mai 2024, n\u00b024\/51455). Le juge des r\u00e9f\u00e9r\u00e9s exerce ainsi un contr\u00f4le de r\u00e9gularit\u00e9 formelle de la mise en oeuvre de la clause.<\/p>\n<p>L&#8217;effet automatique de la clause r\u00e9guli\u00e8rement mise en oeuvre<\/p>\n<p>Une fois les conditions l\u00e9gales remplies, le juge constate l&#8217;acquisition de la clause sans pouvoir appr\u00e9cier la gravit\u00e9 du manquement. La d\u00e9cision souligne qu&#8217;il est constant que le bail contient une clause r\u00e9solutoire en cas de non-respect des stipulations. D\u00e8s lors, le juge est tenu d&#8217;en constater l&#8217;acquisition et ses cons\u00e9quences, \u00e0 savoir la r\u00e9siliation de plein droit. &#8220;Si la clause r\u00e9solutoire est r\u00e9guli\u00e8rement mise en oeuvre, le juge est tenu de constater son acquisition sans avoir \u00e0 se prononcer sur la gravit\u00e9 de l&#8217;infraction&#8221; (Tribunal judiciaire de Paris, le 22 mai 2024, n\u00b024\/51455). Cette solution consacre le principe de l&#8217;autonomie de la volont\u00e9 et la force obligatoire du contrat. Le juge ne dispose d&#8217;aucun pouvoir d&#8217;appr\u00e9ciation pour mod\u00e9rer les effets d&#8217;une clause dont la mise en oeuvre est r\u00e9guli\u00e8re. Il en d\u00e9duit logiquement l&#8217;expulsion du preneur et la condamnation au paiement des sommes dues jusqu&#8217;\u00e0 la r\u00e9siliation.<\/p>\n<p>Les pouvoirs du juge des r\u00e9f\u00e9r\u00e9s en pr\u00e9sence d&#8217;une obligation non s\u00e9rieusement contestable<\/p>\n<p>Le pr\u00e9sident du tribunal judiciaire use de ses pouvoirs pour ordonner des mesures d&#8217;ex\u00e9cution forc\u00e9e. Il constate que l&#8217;existence de l&#8217;obligation de payer les loyers et de lib\u00e9rer les lieux n&#8217;est pas s\u00e9rieusement contestable. En application de l&#8217;article 835 du code de proc\u00e9dure civile, il peut alors ordonner l&#8217;ex\u00e9cution de l&#8217;obligation, m\u00eame s&#8217;il s&#8217;agit d&#8217;une obligation de faire comme quitter les lieux. La d\u00e9cision va au-del\u00e0 d&#8217;une simple provision en condamnant au paiement d&#8217;une somme pr\u00e9cise \u00e0 titre provisionnel et en ordonnant l&#8217;expulsion. Cela d\u00e9montre l&#8217;efficacit\u00e9 du r\u00e9f\u00e9r\u00e9 pour obtenir une ex\u00e9cution rapide lorsque le droit du demandeur est clairement \u00e9tabli. Le juge statue ainsi sur le fond du litige en proc\u00e9dure acc\u00e9l\u00e9r\u00e9e, sous r\u00e9serve des voies de recours.<\/p>\n<p>Les cons\u00e9quences p\u00e9cuniaires de la r\u00e9siliation et l&#8217;indemnisation du bailleur<\/p>\n<p>La d\u00e9cision organise les cons\u00e9quences financi\u00e8res de la r\u00e9siliation et indemnise int\u00e9gralement le bailleur. Elle condamne le preneur au paiement de l&#8217;arri\u00e9r\u00e9 de loyers et charges, ainsi qu&#8217;au versement d&#8217;une indemnit\u00e9 d&#8217;occupation \u00e9quivalente au loyer jusqu&#8217;\u00e0 la lib\u00e9ration effective. Cette indemnit\u00e9, due \u00e0 compter de la r\u00e9siliation, compense l&#8217;occupation sans titre du local. Le juge accorde \u00e9galement une somme au titre de l&#8217;article 700 du code de proc\u00e9dure civile pour les frais non compris dans les d\u00e9pens. Cette condamnation compl\u00e8te vise \u00e0 r\u00e9parer int\u00e9gralement le pr\u00e9judice subi par le bailleur victorieux.
