Les premiers contestaient la validit\u00e9 d\u2019une clause contractuelle pr\u00e9voyant la suspension du d\u00e9lai de livraison et r\u00e9clamaient r\u00e9paration pour retard. La juridiction a rejet\u00e9 la qualification de clause abusive mais a condamn\u00e9 le vendeur pour inex\u00e9cution contractuelle, accordant des dommages et int\u00e9r\u00eats aux acqu\u00e9reurs.<\/p>\n<p>La validation d\u2019une clause \u00e9largissant les causes de suspension<\/p>\n<p>Le tribunal a d\u2019abord analys\u00e9 la lic\u00e9it\u00e9 de la clause litigieuse \u00e9num\u00e9rant diverses causes de retard. Les acqu\u00e9reurs la jugeaient abusive, arguant qu\u2019elle privait d\u2019effet l\u2019obligation essentielle de livraison. Le tribunal a ainsi confirm\u00e9 que l\u2019\u00e9num\u00e9ration non exhaustive n\u2019est pas en soi constitutive d\u2019un d\u00e9s\u00e9quilibre significatif. La port\u00e9e de cette analyse est toutefois temp\u00e9r\u00e9e par un contr\u00f4le rigoureux des justifications apport\u00e9es.<\/p>\n<p>Le rejet de l\u2019argument tir\u00e9 de l\u2019ind\u00e9pendance du ma\u00eetre d\u2019\u0153uvre<\/p>\n<p>Les acqu\u00e9reurs contestaient \u00e9galement l\u2019impartialit\u00e9 du ma\u00eetre d\u2019\u0153uvre charg\u00e9 d\u2019attester les causes de retard. Ils relevaient des liens capitalistiques entre ce dernier et le promoteur. Le tribunal a reconnu le doute possible mais a exig\u00e9 une d\u00e9monstration concr\u00e8te de partialit\u00e9. Il a estim\u00e9 que &#8220;le fait que la soci\u00e9t\u00e9 de ma\u00eetrise d&#8217;\u0153uvre soit g\u00e9r\u00e9e par le pr\u00e9sident du g\u00e9rant de la SCCV BON AIR ne suffit pas en soi \u00e0 \u00e9tablir comme abusive la clause&#8221;. Cette exigence d\u2019une preuve positive prot\u00e8ge les clauses de certification contre des contestations syst\u00e9matiques. Elle place la charge de la preuve sur la partie qui all\u00e8gue la mauvaise foi, renfor\u00e7ant la s\u00e9curit\u00e9 juridique des attestations. Toutefois, cette position peut sembler exigeante pour le consommateur, qui dispose rarement des moyens de prouver l\u2019influence exerc\u00e9e. La valeur de cette solution r\u00e9side dans son pragmatisme, \u00e9vitant de pr\u00e9sumer l\u2019abusivit\u00e9 d\u2019une clause sur la seule base de liens structurels.<\/p>\n<p>L\u2019exigence d\u2019une justification pr\u00e9cise et pertinente des retards<\/p>\n<p>Dans un second temps, le tribunal a proc\u00e9d\u00e9 \u00e0 l\u2019examen concret des causes de retard invoqu\u00e9es par le promoteur. Il a syst\u00e9matiquement rejet\u00e9 les justifications fournies, jug\u00e9es trop impr\u00e9cises ou irrecevables. Concernant les intemp\u00e9ries, les attestations du ma\u00eetre d\u2019\u0153uvre ont \u00e9t\u00e9 \u00e9cart\u00e9es car elles &#8220;ne permettent pas de savoir quels crit\u00e8res il a retenu pour qualifier les jours d&#8217;intemp\u00e9ries&#8221;. Pour la crise sanitaire, les termes &#8220;tr\u00e8s g\u00e9n\u00e9raux&#8221; de l\u2019attestation n\u2019ont pas permis de caract\u00e9riser une force majeure. Ce contr\u00f4le strict d\u00e9montre que la validit\u00e9 formelle de la clause n\u2019immunise pas le professionnel. Le juge op\u00e8re un examen substantiel des preuves, exigeant des \u00e9l\u00e9ments circonstanci\u00e9s et probants. La sensibilit\u00e9 de cette approche est de prot\u00e9ger efficacement l\u2019acqu\u00e9reur contre des all\u00e9gations dilatoires. Elle rappelle que la clause de suspension, bien que large, ne dispense pas du respect des principes g\u00e9n\u00e9raux du droit de la preuve. Sa port\u00e9e est majeure en pratique, car elle oblige les promoteurs \u00e0 documenter scrupuleusement chaque retard all\u00e9gu\u00e9.<\/p>\n<p>La r\u00e9paration int\u00e9grale du pr\u00e9judice d\u00e9coulant du retard injustifi\u00e9<\/p>\n<p>Ayant constat\u00e9 l\u2019absence de cause l\u00e9gitime, le tribunal a accord\u00e9 r\u00e9paration aux acqu\u00e9reurs pour le retard de livraison. Il a retenu un pr\u00e9judice financier direct, incluant la perte de chance de percevoir des loyers et les frais d\u2019emprunt suppl\u00e9mentaires. La perte de chance a \u00e9t\u00e9 \u00e9valu\u00e9e \u00e0 90%, consid\u00e9r\u00e9e comme &#8220;tr\u00e8s \u00e9lev\u00e9e&#8221; au regard du march\u00e9 locatif. Cette \u00e9valuation g\u00e9n\u00e9reuse compense l\u2019absence de p\u00e9nalit\u00e9s de retard contractuelles. Elle illustre la fonction suppl\u00e9tive de la responsabilit\u00e9 civile lorsque le contrat est silencieux. La valeur de cette indemnisation r\u00e9side dans sa nature concr\u00e8te, visant \u00e0 replacer la victime dans la situation o\u00f9 elle se serait trouv\u00e9e sans le retard. La port\u00e9e en est significative pour la pratique, incitant les promoteurs \u00e0 respecter les d\u00e9lais malgr\u00e9 l\u2019absence de <a href=\"https:\/\/kohenavocats.fr\/elementor-60\/avocats-droit-immobilier-paris\/avocat-compromis-vente-immobilier-paris\/\" target=\"_blank\" title=\"clause p\u00e9nale\">clause p\u00e9nale<\/a>.
