{"id":1061016,"date":"2026-06-08T01:50:19","date_gmt":"2026-06-07T23:50:19","guid":{"rendered":"https:\/\/kohenavocats.com\/jurisprudences\/cour-supreme-du-senegal-chambre-civile-et-commerciale-arret-n-15-du-05-fevrier-2020\/"},"modified":"2026-06-08T01:50:19","modified_gmt":"2026-06-07T23:50:19","slug":"cour-supreme-du-senegal-chambre-civile-et-commerciale-arret-n-15-du-05-fevrier-2020","status":"publish","type":"kji_decision","link":"https:\/\/kohenavocats.com\/en\/jurisprudences\/cour-supreme-du-senegal-chambre-civile-et-commerciale-arret-n-15-du-05-fevrier-2020\/","title":{"rendered":"Cour supr\u00eame du S\u00e9n\u00e9gal, Chambre civile et commerciale, arr\u00eat n\u00b0 15 du 05 F\u00c9VRIER 2020"},"content":{"rendered":"<div class=\"kji-decision\">\n<div class=\"kji-full-text\">\n<p>ARR\u00caT N\u00b0 15 DU 05 F\u00c9VRIER 2020<\/p>\n<p>LA SCI YAMAL\u00c9 c\/ LES R\u00c9SIDENCES DE NGOR<\/p>\n<p>IMMEUBLE \u2013 IMMEUBLE IMMATRICUL\u00c9 \u2013 NULLIT\u00c9 DE TOUT ACCORD SUR LE PAIEMENT D\u2019UN SUPPL\u00c9MENT AU PRIX FIX\u00c9 DANS LE CON- TRAT \u2013 CAS \u2013 SIMULATION<\/p>\n<p>Selon les dispositions de l\u2019article 385 du code des obligations civiles et commerciales, dans les contrats portant sur des immeubles immatricul\u00e9s, tout accord de quelque nature qu\u2019il soit, tendant \u00e0 exiger un suppl\u00e9ment au prix fix\u00e9 dans le contrat, est nul.<\/p>\n<p>Viole ces dispositions, une cour d\u2019Appel qui constate l\u2019existence de la simulation et condamne l\u2019acheteur au paiement du prix stipul\u00e9 dans la contre-lettre.<\/p>\n<p>La Cour supr\u00eame,<\/p>\n<p>Apr\u00e8s en avoir d\u00e9lib\u00e9r\u00e9 conform\u00e9ment \u00e0 la loi ;<\/p>\n<p>Sur le moyen unique pris en ses deux branches r\u00e9unies, tir\u00e9 de la violation de la loi :<\/p>\n<p>Vu l\u2019article 385 du code des obligations civiles et commerciales ;<\/p>\n<p>Attendu, selon ce texte, que le prix de vente d\u2019un immeuble doit \u00eatre strictement indi- qu\u00e9 dans le contrat et que tout accord, de quelque nature qu\u2019il soit, tendant exiger un suppl\u00e9ment au prix fix\u00e9 dans le contrat, est nul ;<\/p>\n<p>Attendu, selon l\u2019arr\u00eat attaqu\u00e9 (Dakar, 16 f\u00e9vrier 2018, n\u00b0 88), que par acte notari\u00e9 du 19 mai 2008, la SCI \u00ab Les R\u00e9sidences de Ngor \u00bb a promis de vendre, \u00e0 la SCI \u00ab Yamal\u00e9 \u00bb, un immeuble immatricul\u00e9, au prix de 400 000 000 FCFA ; que le 4 ao\u00fbt 2008, les parties ont sign\u00e9 l\u2019acte d\u00e9finitif de vente de l\u2019immeuble, en ramenant le prix \u00e0 250 000 000 FCFA ; que la SCI \u00ab Les R\u00e9sidences de Ngor \u00bb a assign\u00e9 l\u2019acqu\u00e9reur en paiement des sommes de 25 000 000 FCFA, repr\u00e9sentant le reliquat du prix de vente, et de 5 000 000 FCFA \u00e0 titre de dommages int\u00e9r\u00eats pour r\u00e9sistance abusive ;<\/p>\n<p>Attendu que pour fixer \u00e0 400 000 000 FCFA le prix r\u00e9el de l\u2019immeuble, et accueillir la demande, l\u2019arr\u00eat retient, par motifs propres et adopt\u00e9s, qu\u2019il r\u00e9sulte des d\u00e9clarations concordantes des parties que l\u2019acqu\u00e9reur a vers\u00e9 au total la somme de 375 000 000 CFA, ce qui contredit la r\u00e9alit\u00e9 du prix de 250 000 000 FCFA ;<\/p>\n<p>Qu\u2019en statuant ainsi, alors qu\u2019il r\u00e9sultait de ses propres constatations que les parties avaient dissimul\u00e9 une partie du prix, dans l\u2019acte de vente, ce qui devait entra\u00eener, en application des dispositions d\u2019ordre public susvis\u00e9es, la nullit\u00e9 de la promesse de vente et de tout accord tendant \u00e0 exiger un suppl\u00e9ment au prix fix\u00e9 dans l\u2019acte ostensible, la cour d\u2019Appel a viol\u00e9 la loi ;<\/p>\n<p>Et vu l\u2019article 53 alin\u00e9a 4 de la loi organique susvis\u00e9e ;<\/p>\n<p>Par ces motifs :<\/p>\n<p>Casse et annule l\u2019arr\u00eat n\u00b0 88 du 16 f\u00e9vrier 2018 rendu par la cour d\u2019Appel de Dakar ;<\/p>\n<p>Dit n\u2019y avoir lieu \u00e0 renvoi ;<\/p>\n<p>Condamne la SCI Les R\u00e9sidences de Ngor aux d\u00e9pens ;<\/p>\n<p>Dit que le pr\u00e9sent arr\u00eat sera imprim\u00e9, qu\u2019il sera transcrit sur les registres de la cour d\u2019Appel de Dakar, en marge ou \u00e0 la suite de la d\u00e9cision attaqu\u00e9e.<\/p>\n<p>Ainsi fait, jug\u00e9 et prononc\u00e9 par la Cour supr\u00eame, chambre civile et commerciale en son audience publique tenue les jour, mois et an que dessus et o\u00f9 \u00e9taient pr\u00e9sents Madame et Messieurs :<\/p>\n<p>PR\u00c9SIDENT : EL HADJI MALICK SOW ;
