La substitution de motifs et la confirmation de la condamnation<\/a><\/li>\n<li class=\"toc-h2\"><a href=\"#jurisprudences-utilisees-pour-enrichir-le-commentaire\">Jurisprudences utilis\u00e9es pour enrichir le commentaire<\/a><\/li>\n<li class=\"toc-h2\"><a href=\"#fondements-juridiques\">Fondements juridiques<\/a><\/li>\n<\/ul>\n<\/nav>\n<p>Le 5 mai 2026, la chambre commerciale 3-2 de la cour d&#8217;appel de Versailles a rendu un arr\u00eat (n\u00b025\/04001) relatif au caract\u00e8re abusif d&#8217;une clause de r\u00e9vision du loyer dans un contrat de location automobile. Une soci\u00e9t\u00e9 locataire avait conclu le 7 ao\u00fbt 2018 un contrat de location de 36 mois avec un kilom\u00e9trage de 105 000 km. Le contrat fut r\u00e9vis\u00e9 \u00e0 deux reprises, portant la dur\u00e9e \u00e0 52 mois et r\u00e9duisant le kilom\u00e9trage \u00e0 95 000 km, avec un prix du kilom\u00e8tre exc\u00e9dentaire fix\u00e9 \u00e0 0,2568 euros. \u00c0 la restitution du v\u00e9hicule le 30 mars 2023, le compteur affichait 138 338 km. Le bailleur r\u00e9clama 11 789 euros au titre du r\u00e9ajustement du loyer. Le tribunal des activit\u00e9s \u00e9conomiques de Versailles, le 28 mai 2025, condamna la locataire au paiement de cette somme. Cette derni\u00e8re interjeta appel, invoquant le caract\u00e8re abusif de la clause de r\u00e9vision au sens de l&#8217;article 1171 du code civil. La question de droit portait sur la validit\u00e9 d&#8217;une clause contractuelle pr\u00e9voyant, sans formule de calcul, la modification unilat\u00e9rale et r\u00e9troactive du loyer par le bailleur en cas de d\u00e9passement kilom\u00e9trique, au regard de l&#8217;interdiction du d\u00e9s\u00e9quilibre significatif dans les contrats d&#8217;adh\u00e9sion. La cour d&#8217;appel a jug\u00e9 que cette clause, purement potestative, \u00e9tait r\u00e9put\u00e9e non \u00e9crite pour cause de d\u00e9s\u00e9quilibre significatif, mais a confirm\u00e9 la condamnation p\u00e9cuniaire par substitution de motifs, au motif que le montant r\u00e9clam\u00e9 \u00e9tait inf\u00e9rieur au co\u00fbt des kilom\u00e8tres exc\u00e9dentaires pr\u00e9vu par l&#8217;avenant valide.<\/p>\n<p>La d\u00e9cision interroge tant sur le contr\u00f4le du d\u00e9s\u00e9quilibre significatif dans les contrats d&#8217;adh\u00e9sion que sur la port\u00e9e de la sanction et le maintien de l&#8217;obligation de paiement.<\/p>\n<h2 id=\"i-le-controle-rigoureux-du-desequilibre-significatif-dans-le-contrat-dadhesion\">I. Le contr\u00f4le rigoureux du d\u00e9s\u00e9quilibre significatif dans le contrat d&#8217;adh\u00e9sion<\/h2>\n<p><\/p>\n<h3 id=\"a-la-caracterisation-de-la-clause-potestative-creant-un-desequilibre-significati\">A. La caract\u00e9risation de la clause potestative cr\u00e9ant un d\u00e9s\u00e9quilibre significatif<\/h3>\n<p>La cour d&#8217;appel a estim\u00e9 que la clause de r\u00e9vision litigieuse instaurait un d\u00e9s\u00e9quilibre significatif entre les droits et obligations des parties. Elle a relev\u00e9 que le contrat de location rev\u00eatait le caract\u00e8re d&#8217;un contrat d&#8217;adh\u00e9sion et que la clause n&#8217;\u00e9tait pas n\u00e9gociable. L&#8217;article 19.2.1 des conditions g\u00e9n\u00e9rales pr\u00e9voyait qu&#8217;en cas de d\u00e9passement du kilom\u00e9trage r\u00e9el sup\u00e9rieur \u00e0 15 %, le loueur proc\u00e9derait <em>&#8221; dans le d\u00e9compte final au recalcul du loyer avec le couple dur\u00e9e\/kilom\u00e9trage r\u00e9el &#8220;<\/em>, et ce r\u00e9troactivement depuis le d\u00e9but du contrat. La cour a consid\u00e9r\u00e9 que cette clause, <em>&#8221; sans formule de calcul &#8220;<\/em>, \u00e9tait <em>&#8221; purement potestative et instaure ainsi un d\u00e9s\u00e9quilibre significatif entre les droits et obligations des parties, puisque le locataire n&#8217;est pas mis en mesure de conna\u00eetre par avance de la port\u00e9e du r\u00e9ajustement qui lui est impos\u00e9 &#8220;<\/em>. Cette analyse s&#8217;inscrit dans le prolongement de la jurisprudence r\u00e9cente : la Cour de cassation a jug\u00e9 qu&#8217;une clause qui <em>&#8221; a pour effet de priver le locataire de tout recours post\u00e9rieur en cas d&#8217;avarie portant sur de tels d\u00e9sordres et de r\u00e9duire ou faire obstacle \u00e0 son droit \u00e0 r\u00e9paration &#8220;<\/em> entre dans le champ de l&#8217;article R. 212-1 du code de la consommation <strong><a href=\"https:\/\/www.courdecassation.fr\/decision\/694252ff61c46255e17147be\" rel=\"nofollow\" target=\"_blank\">(Cass. 1re civ., 17 d\u00e9c. 2025, n\u00b024-11.295)<\/a><\/strong>. La cour d&#8217;appel transpose ici ce raisonnement au droit commun des contrats, en sanctionnant une clause qui, par son caract\u00e8re potestatif, prive le locataire de toute pr\u00e9visibilit\u00e9.<\/p>\n<h3 id=\"b-lexclusion-de-lobjet-principal-et-de-ladequation-du-prix-a-la-prestation\">B. L&#8217;exclusion de l&#8217;objet principal et de l&#8217;ad\u00e9quation du prix \u00e0 la prestation<\/h3>\n<p>La locataire critiquait \u00e9galement la majoration du prix du kilom\u00e8tre exc\u00e9dentaire dans le dernier avenant. La cour d&#8217;appel a \u00e9cart\u00e9 ce moyen en rappelant que l&#8217;article 1171 du code civil dispose que <em>&#8221; l&#8217;appr\u00e9ciation du d\u00e9s\u00e9quilibre significatif ne porte ni sur l&#8217;objet principal du contrat ni sur l&#8217;ad\u00e9quation du prix \u00e0 la prestation &#8220;<\/em>. Elle a estim\u00e9 que <em>&#8221; portant sur l&#8217;ad\u00e9quation du prix \u00e0 la prestation, elle ne peut pas \u00eatre r\u00e9put\u00e9e non \u00e9crite en application de l&#8217;article 1171 du code civil &#8220;<\/em>. La cour ajoute que le nouveau prix \u00e9tait <em>&#8221; clairement stipul\u00e9 &#8220;<\/em> et que le locataire avait la facult\u00e9 de modifier les conditions contractuelles ou de rompre le contrat. Cette solution est conforme \u00e0 l&#8217;\u00e9conomie de l&#8217;article 1171, qui exclut du contr\u00f4le de proportionnalit\u00e9 le prix et la prestation caract\u00e9ristique. La cour d&#8217;appel de Paris avait d\u00e9j\u00e0 pr\u00e9cis\u00e9 qu&#8217;un contrat conclu entre professionnels ant\u00e9rieur \u00e0 la r\u00e9forme de 2016 ne pouvait \u00eatre qualifi\u00e9 de contrat d&#8217;adh\u00e9sion (CA Paris, 14 f\u00e9v. 2025, n\u00b022\/14924). En l&#8217;esp\u00e8ce, le contrat \u00e9tant post\u00e9rieur \u00e0 la r\u00e9forme, l&#8217;article 1171 est applicable, mais son champ est limit\u00e9.<\/p>\n<h2 id=\"ii-la-portee-de-la-sanction-et-le-maintien-de-lobligation-de-paiement\">II. La port\u00e9e de la sanction et le maintien de l&#8217;obligation de paiement<\/h2>\n<p><\/p>\n<h3 id=\"a-les-effets-de-la-clause-reputee-non-ecrite-sur-le-mecanisme-contractuel\">A. Les effets de la clause r\u00e9put\u00e9e non \u00e9crite sur le m\u00e9canisme contractuel<\/h3>\n<p>La cour a prononc\u00e9 la nullit\u00e9 de la clause litigieuse : <em>&#8221; la clause litigieuse sera consid\u00e9r\u00e9e comme non \u00e9crite &#8220;<\/em>. Cette sanction entra\u00eene la disparition r\u00e9troactive de la clause, qui est cens\u00e9e n&#8217;avoir jamais exist\u00e9. Les articles 16.2 et 19.2.1, qui pr\u00e9voyaient le seuil de 15 % et le r\u00e9ajustement r\u00e9troactif, ayant \u00e9t\u00e9 <em>&#8221; r\u00e9put\u00e9s non \u00e9crits &#8220;<\/em>, ne peuvent recevoir application. La cour en tire logiquement la cons\u00e9quence que le moyen de la locataire fond\u00e9 sur un d\u00e9passement tol\u00e9r\u00e9 de 15 % est <em>&#8221; sans port\u00e9e &#8220;<\/em>, puisque ce seuil <em>&#8221; ne conditionnait que les modalit\u00e9s de calcul, par r\u00e9ajustement ou au moyen des kilom\u00e9trages exc\u00e9dentaires &#8220;<\/em>. La clause \u00e9tant an\u00e9antie, le m\u00e9canisme de r\u00e9gularisation qu&#8217;elle instituait dispara\u00eet. La locataire ne peut donc se pr\u00e9valoir d&#8217;un seuil de tol\u00e9rance qui n&#8217;existe plus juridiquement.<\/p>\n<h3 id=\"b-la-substitution-de-motifs-et-la-confirmation-de-la-condamnation\">B. La substitution de motifs et la confirmation de la condamnation<\/h3>\n<p>La cour confirme n\u00e9anmoins la condamnation de la locataire au paiement de 11 789 euros, en op\u00e9rant une substitution de motifs. Elle rel\u00e8ve que <em>&#8221; la somme r\u00e9clam\u00e9e \u00e9tant moindre que le co\u00fbt du kilom\u00e8tre exc\u00e9dentaire stipul\u00e9 dans le dernier avenant qui se chiffre \u00e0 la somme de 13 355 euros TTC &#8220;<\/em>. Ainsi, en lieu et place du m\u00e9canisme de r\u00e9ajustement annul\u00e9, la cour applique le prix du kilom\u00e8tre exc\u00e9dentaire pr\u00e9vu \u00e0 l&#8217;avenant du 1er janvier 2022, dont elle avait d\u00e9j\u00e0 jug\u00e9 qu&#8217;il n&#8217;\u00e9tait pas abusif. Cette technique de substitution de motifs permet de maintenir la d\u00e9cision de premi\u00e8re instance sur un fondement juridique diff\u00e9rent, mais valide. La locataire reste tenue de payer une somme inf\u00e9rieure \u00e0 celle qui r\u00e9sulterait de l&#8217;application du prix kilom\u00e9trique, ce qui rend la condamnation conforme \u00e0 l&#8217;\u00e9quilibre contractuel. La cour assure ainsi une solution pragmatique : tout en sanctionnant le d\u00e9s\u00e9quilibre, elle pr\u00e9serve la cr\u00e9ance du bailleur \u00e0 hauteur du montant non contestable.<\/p>\n<p><h2 id=\"jurisprudences-utilisees-pour-enrichir-le-commentaire\">Jurisprudences utilis\u00e9es pour enrichir le commentaire<\/h2>\n<p><\/p>\n<ul class=\"jurisprudences-rag-sources\">\n<li><a href=\"https:\/\/www.courdecassation.fr\/decision\/694252ff61c46255e17147be\" rel=\"nofollow\" target=\"_blank\">Cass. <br \/>2\u00b0 Restreindre l&#8217;obligation pour le professionnel de respecter les engagements pris par ses pr\u00e9pos\u00e9s ou ses mandataires ; <br \/>3\u00b0 R\u00e9server au professionnel le droit de modifier unilat\u00e9ralement les clauses du contrat relatives \u00e0 sa dur\u00e9e, aux caract\u00e9ristiques ou au prix du bien \u00e0 livrer ou du service \u00e0 rendre ; <br \/>4\u00b0 Accorder au seul professionnel le droit de d\u00e9terminer si la chose livr\u00e9e ou les services fournis sont conformes ou non aux stipulations du contrat ou lui conf\u00e9rer le droit exclusif d&#8217;interpr\u00e9ter une quelconque clause du contrat ; <br \/>8\u00b0 Reconna\u00eetre au professionnel le droit de r\u00e9silier discr\u00e9tionnairement le contrat, sans reconna\u00eetre le m\u00eame droit au consommateur ; <br \/>9\u00b0 Permettre au professionnel de retenir les sommes vers\u00e9es au titre de prestations non r\u00e9alis\u00e9es par lui, lorsque celui-ci r\u00e9silie lui-m\u00eame discr\u00e9tionnairement le contrat ; <br \/>10\u00b0 Soumettre, dans les contrats \u00e0 dur\u00e9e ind\u00e9termin\u00e9e, la r\u00e9siliation \u00e0 un d\u00e9lai de pr\u00e9avis plus long pour le consommateur que pour le professionnel ;
