Par un contrat de cr\u00e9dit-bail portant sur un v\u00e9hicule, sign\u00e9 \u00e9lectroniquement le 30 novembre 2022, la soci\u00e9t\u00e9 bailleresse a consenti une location avec option d\u2019achat \u00e0 la soci\u00e9t\u00e9 locataire pour une dur\u00e9e de quarante-huit mois. La locataire a cess\u00e9 de payer les loyers \u00e0 compter de juin 2023. Apr\u00e8s une mise en demeure du 16 juin 2023 rest\u00e9e infructueuse, la bailleresse a notifi\u00e9 la r\u00e9siliation du contrat le 2 janvier 2024. Assign\u00e9e devant le tribunal, la soci\u00e9t\u00e9 locataire n\u2019a pas comparu.<\/p>\n<p>Le tribunal de premi\u00e8re instance a tout d\u2019abord rendu un jugement le 3 octobre 2025, puis, saisi d\u2019une requ\u00eate en rectification d\u2019erreur mat\u00e9rielle, il a prononc\u00e9 le 10 avril 2026 un jugement rectificatif qui corrige les qualit\u00e9s des parties et statue sur le fond. Le demandeur au principal, la soci\u00e9t\u00e9 bailleresse, sollicite la validation de la r\u00e9siliation unilat\u00e9rale du contrat et la condamnation de la locataire \u00e0 lui payer la somme de 41 176,70 \u20ac au titre des loyers impay\u00e9s et de l\u2019indemnit\u00e9 contractuelle de r\u00e9siliation. La soci\u00e9t\u00e9 d\u00e9fenderesse, non comparante, n\u2019a pr\u00e9sent\u00e9 aucun moyen de d\u00e9fense.<\/p>\n<p>La question de droit qui se pose est celle de la validit\u00e9 d\u2019une r\u00e9siliation unilat\u00e9rale prononc\u00e9e par le bailleur dans un contrat de cr\u00e9dit-bail, en application d\u2019une clause contractuelle pr\u00e9voyant la r\u00e9siliation de plein droit apr\u00e8s mise en demeure infructueuse de huit jours, et du droit du bailleur d\u2019obtenir le paiement d\u2019une indemnit\u00e9 contractuelle de r\u00e9siliation. Par son jugement, le tribunal a d\u00e9clar\u00e9 la demande r\u00e9guli\u00e8re et recevable, a dit que la r\u00e9siliation du contrat de cr\u00e9dit-bail notifi\u00e9e le 2 janvier 2024 est aux torts exclusifs de la soci\u00e9t\u00e9 locataire, et a condamn\u00e9 cette derni\u00e8re \u00e0 payer la somme de 41 176,70 \u20ac TTC en principal, avec int\u00e9r\u00eats au taux l\u00e9gal \u00e0 compter du 1er f\u00e9vrier 2024, capitalisation des int\u00e9r\u00eats, d\u00e9pens et 1 500 \u20ac au titre de l\u2019article 700 du code de proc\u00e9dure civile.<\/p>\n<h2 id=\"i-la-validation-de-la-resiliation-unilaterale-par-le-jeu-des-clauses-contractuel\">I. La validation de la r\u00e9siliation unilat\u00e9rale par le jeu des clauses contractuelles<\/h2>\n<p><\/p>\n<h3 id=\"a-la-regularite-de-la-clause-resolutoire-et-de-sa-mise-en-uvre\">A. La r\u00e9gularit\u00e9 de la clause r\u00e9solutoire et de sa mise en \u0153uvre<\/h3>\n<p>Le tribunal s\u2019appuie sur l\u2019article 1103 du Code civil pour rappeler que les contrats l\u00e9galement form\u00e9s tiennent lieu de loi \u00e0 leurs parties. En l\u2019esp\u00e8ce, il constate que le contrat de cr\u00e9dit-bail a \u00e9t\u00e9 valablement form\u00e9 : les conditions g\u00e9n\u00e9rales et particuli\u00e8res ont \u00e9t\u00e9 sign\u00e9es \u00e9lectroniquement le 30 novembre 2022, et l\u2019op\u00e9rateur de signature agr\u00e9\u00e9 eIDAS a d\u00e9livr\u00e9 les certificats n\u00e9cessaires. La clause r\u00e9solutoire ins\u00e9r\u00e9e \u00e0 l\u2019article XIII des conditions g\u00e9n\u00e9rales permet au bailleur de r\u00e9silier le contrat en cas de non-paiement des sommes dues apr\u00e8s une mise en demeure par lettre recommand\u00e9e rest\u00e9e sans effet pendant huit jours. Le tribunal v\u00e9rifie que cette clause a \u00e9t\u00e9 respect\u00e9e : une mise en demeure a \u00e9t\u00e9 adress\u00e9e le 16 juin 2023, la locataire n\u2019a pas r\u00e9gularis\u00e9 sa situation, et la r\u00e9siliation a \u00e9t\u00e9 notifi\u00e9e le 2 janvier 2024. Il en d\u00e9duit que la r\u00e9siliation unilat\u00e9rale est intervenue \u00e0 bon droit et aux torts exclusifs de la locataire. Ce faisant, le juge ne se contente pas de constater la r\u00e9siliation contractuelle ; il la valide en contr\u00f4lant la r\u00e9gularit\u00e9 de la clause et la r\u00e9alit\u00e9 de son d\u00e9clenchement. Il \u00e9carte ainsi tout risque de r\u00e9siliation abusive.<\/p>\n<h3 id=\"b-lexigibilite-de-lindemnite-contractuelle-de-resiliation\">B. L\u2019exigibilit\u00e9 de l\u2019indemnit\u00e9 contractuelle de r\u00e9siliation<\/h3>\n<p>Le tribunal examine ensuite le calcul de la cr\u00e9ance. L\u2019article XIII des conditions g\u00e9n\u00e9rales pr\u00e9voit une indemnit\u00e9 de r\u00e9siliation \u00e9gale \u00e0 la totalit\u00e9 des loyers restant \u00e0 courir, d\u00e9duction faite de la valeur de revente du v\u00e9hicule. Le tribunal retient que la soci\u00e9t\u00e9 bailleresse a produit l\u2019int\u00e9gralit\u00e9 des pi\u00e8ces justificatives : l\u2019historique des comptes, les mises en demeure, la notification de r\u00e9siliation, le d\u00e9tail de l\u2019indemnit\u00e9 contractuelle de 66 124,81 \u20ac TTC, et la facture de revente du v\u00e9hicule pour 28 500 \u20ac TTC. Il constate que ces sommes ne sont pas contest\u00e9es par la locataire, laquelle n\u2019a pas comparu. Il qualifie la cr\u00e9ance de certaine, liquide et exigible pour un montant de 41 176,70 \u20ac TTC. Il ordonne en outre la capitalisation des int\u00e9r\u00eats en application de l\u2019article 1343-2 du Code civil, \u00e0 compter de la signification de l\u2019assignation. La solution est conforme au droit commun des contrats : une clause p\u00e9nale ou d\u2019indemnit\u00e9 de r\u00e9siliation, d\u00e8s lors qu\u2019elle n\u2019est pas manifestement excessive, est opposable au d\u00e9biteur. Le tribunal applique ici une logique purement contractuelle, sans s\u2019interroger sur le caract\u00e8re \u00e9ventuellement disproportionn\u00e9 de l\u2019indemnit\u00e9 par rapport au pr\u00e9judice r\u00e9el.<\/p>\n<h2 id=\"ii-une-solution-utile-mais-non-exempte-de-critiques\">II. Une solution utile mais non exempte de critiques<\/h2>\n<p><\/p>\n<h3 id=\"a-la-consecration-dune-logique-purement-commerciale\">A. La cons\u00e9cration d\u2019une logique purement commerciale<\/h3>\n<p>Le jugement reproduit la philosophie du droit des affaires en validant une clause r\u00e9solutoire particuli\u00e8rement rigoureuse. Le contrat de cr\u00e9dit-bail est un instrument de financement par lequel le bailleur conserve la propri\u00e9t\u00e9 du bien jusqu\u2019au terme de l\u2019op\u00e9ration. L\u2019indemnit\u00e9 de r\u00e9siliation, qui cumule loyers impay\u00e9s et loyers \u00e0 \u00e9choir, permet au bailleur de recouvrer l\u2019int\u00e9gralit\u00e9 de sa cr\u00e9ance, diminu\u00e9e de la valeur de revente. La solution est coh\u00e9rente avec la jurisprudence ant\u00e9rieure. La Cour d\u2019appel de N\u00eemes, dans un arr\u00eat du 28 f\u00e9vrier 2025, a rappel\u00e9 que <em>&#8221; seule la juridiction commerciale est comp\u00e9tente pour conna\u00eetre du litige opposant deux soci\u00e9t\u00e9s &#8220;<\/em> lorsqu\u2019est invoqu\u00e9e une action fond\u00e9e sur la concurrence d\u00e9loyale <strong><a href=\"https:\/\/www.courdecassation.fr\/decision\/67c2a413f63b3c29d4bf4fde\" rel=\"nofollow\" target=\"_blank\">(Cour d\u2019appel de N\u00eemes, 28 f\u00e9vrier 2025, n\u00b024\/03324)<\/a><\/strong>. De mani\u00e8re analogue, le pr\u00e9sent jugement affirme la comp\u00e9tence du tribunal des activit\u00e9s \u00e9conomiques et valide la r\u00e9siliation unilat\u00e9rale sans condition suppl\u00e9mentaire. Il s\u2019inscrit dans une tendance jurisprudentielle favorable \u00e0 l\u2019efficacit\u00e9 des clauses r\u00e9solutoires dans les contrats commerciaux, facilitant le recouvrement rapide des cr\u00e9ances.<\/p>\n<h3 id=\"b-les-incertitudes-quant-a-la-portee-de-la-clause-dindemnite\">B. Les incertitudes quant \u00e0 la port\u00e9e de la clause d\u2019indemnit\u00e9<\/h3>\n<p>La d\u00e9cision soul\u00e8ve toutefois une interrogation sur le contr\u00f4le de l\u2019indemnit\u00e9 contractuelle. Le tribunal ne v\u00e9rifie pas si le montant r\u00e9clam\u00e9 est manifestement excessif au sens de l\u2019article 1231-5 du Code civil. Or, l\u2019indemnit\u00e9 de r\u00e9siliation, \u00e9gale \u00e0 la totalit\u00e9 des loyers restant \u00e0 courir, peut repr\u00e9senter un montant tr\u00e8s sup\u00e9rieur au pr\u00e9judice r\u00e9el subi par le bailleur, surtout lorsque le bien a \u00e9t\u00e9 revendu. En l\u2019esp\u00e8ce, le tribunal d\u00e9duit la valeur de revente, mais il ne s\u2019interroge pas sur le caract\u00e8re dissuasif ou punitif de la clause. La jurisprudence de la Cour de cassation, dans un arr\u00eat du 25 juin 2025, confirme que la comp\u00e9tence commerciale s\u2019\u00e9tend \u00e0 l\u2019appr\u00e9ciation des demandes indemnitaires : la chambre commerciale a jug\u00e9 que <em>&#8221; le tribunal de commerce est comp\u00e9tent pour conna\u00eetre de la demande tendant \u00e0 voir interdire, pour l\u2019avenir, \u00e0 la soci\u00e9t\u00e9 \u2026 de soumettre une offre &#8220;<\/em> <strong><a href=\"https:\/\/www.courdecassation.fr\/decision\/685ce26a0c5506317f3be862\" rel=\"nofollow\" target=\"_blank\">(Cass. com., 25 juin 2025, n\u00b024-18.905)<\/a><\/strong>. Mais la question de la mod\u00e9ration judiciaire de la clause n\u2019est pas tranch\u00e9e. Le tribunal des activit\u00e9s \u00e9conomiques de Paris aurait pu, m\u00eame d\u2019office, r\u00e9duire l\u2019indemnit\u00e9 si elle lui avait paru excessive. En l\u2019absence de d\u00e9bat contradictoire, il a choisi de s\u2019en tenir \u00e0 la lettre du contrat. Dans ce cas, il est proc\u00e9d\u00e9 comme il est dit aux  alin\u00e9as 3 et 4 de l&#8217;article 37 de la loi n\u00b0 91-647 du 10 juillet 1991 .<\/p>\n<p>Dans tous les cas, le juge tient compte de l&#8217;\u00e9quit\u00e9 ou de la situation \u00e9conomique de la partie condamn\u00e9e.
