Le bailleur avait obtenu en premi\u00e8re instance la r\u00e9siliation des baux pour d\u00e9faut de paiement et l&#8217;expulsion du locataire. Ce dernier, faisant valoir son r\u00e8glement ult\u00e9rieur int\u00e9gral et sa bonne foi, sollicite la suspension r\u00e9troactive des clauses r\u00e9solutives. La juridiction d&#8217;appel doit trancher sur la possibilit\u00e9 d&#8217;un tel effet r\u00e9troactif malgr\u00e9 l&#8217;acquisition initiale de la r\u00e9siliation.<\/p>\n<p>La confirmation des conditions d&#8217;acquisition de la r\u00e9siliation<\/p>\n<p>La cour rappelle d&#8217;abord le formalisme imp\u00e9ratif entourant les clauses r\u00e9solutives. Elle applique strictement l&#8217;article L. 145-41 du code de commerce qui subordonne leur effet \u00e0 un commandement demeur\u00e9 infructueux pendant un mois. Le manquement contractuel et la persistance du d\u00e9faut apr\u00e8s commandement sont ici \u00e9tablis. La d\u00e9cision confirme ainsi que &#8220;la r\u00e9siliation du bail commercial&#8230; est acquise \u00e0 la date du 4 mai 2024&#8221;. Ce point est conforme \u00e0 une jurisprudence constante exigeant un strict respect des conditions l\u00e9gales pour la r\u00e9siliation de plein droit. La cour valide donc le constat initial du juge du fond, soulignant que les sommes n&#8217;avaient pas \u00e9t\u00e9 r\u00e9gl\u00e9es dans le d\u00e9lai l\u00e9gal. Cette rigueur proc\u00e9durale prot\u00e8ge le locataire contre une r\u00e9siliation arbitraire tout en garantissant au bailleur un recours effectif en cas d&#8217;inex\u00e9cution.<\/p>\n<p>L&#8217;octroi r\u00e9troactif de d\u00e9lais annulant la r\u00e9siliation<\/p>\n<p>La cour op\u00e8re ensuite un revirement de situation au nom de l&#8217;\u00e9quit\u00e9 et de la bonne foi. S&#8217;appuyant sur l&#8217;article L. 145-41, elle reconna\u00eet au juge le pouvoir d&#8217;accorder des d\u00e9lais de paiement a posteriori. Elle constate que le locataire a finalement &#8220;apurer la totalit\u00e9 de la dette locative&#8221; et appara\u00eet &#8220;de bonne foi&#8221; malgr\u00e9 des difficult\u00e9s pass\u00e9es. Un d\u00e9lai de paiement est donc &#8220;octroy\u00e9 r\u00e9troactivement jusqu&#8217;au 20 novembre 2024&#8221;. La cons\u00e9quence est radicale : &#8220;les clauses r\u00e9solutoires sont, d\u00e8s \u00e0 pr\u00e9sent, r\u00e9put\u00e9es n&#8217;avoir jamais jou\u00e9&#8221;. Ce pouvoir discr\u00e9tionnaire du juge, exerc\u00e9 en faveur d&#8217;un locataire de bonne foi, temp\u00e8re la rigueur de la r\u00e9siliation de plein droit. Il permet de sauver le bail lorsque le d\u00e9faut a \u00e9t\u00e9 r\u00e9par\u00e9, privil\u00e9giant ainsi la conservation du contrat.<\/p>\n<p>La port\u00e9e \u00e9quitable du pouvoir d&#8217;octroyer des d\u00e9lais<\/p>\n<p>Cette d\u00e9cision illustre l&#8217;\u00e9tendue du pouvoir mod\u00e9rateur du juge en mati\u00e8re contractuelle commerciale. Le juge peut suspendre les effets d&#8217;une clause r\u00e9solutoire m\u00eame apr\u00e8s son acquisition technique. La condition essentielle r\u00e9side dans la lib\u00e9ration int\u00e9grale du d\u00e9biteur et sa bonne foi d\u00e9montr\u00e9e. En l&#8217;esp\u00e8ce, la cour rel\u00e8ve des &#8220;r\u00e8glements ponctuels importants&#8221; et l&#8217;absence de dette courante, indices de cette bonne foi. La solution consacre une approche pragmatique et \u00e9quitable, \u00e9vitant une expulsion d\u00e9finitive pour un d\u00e9faut finalement r\u00e9par\u00e9. Elle r\u00e9affirme que la r\u00e9siliation reste une sanction ultime, dont les effets peuvent \u00eatre effac\u00e9s r\u00e9troactivement par le juge lorsque la situation est r\u00e9tablie. Cette facult\u00e9 contribue \u00e0 la s\u00e9curit\u00e9 des relations commerciales en prot\u00e9geant les investissements du locataire.<\/p>\n<p>Les limites proc\u00e9durales et substantielles de la r\u00e9troactivit\u00e9<\/p>\n<p>La port\u00e9e de l&#8217;arr\u00eat demeure n\u00e9anmoins encadr\u00e9e par des conditions strictes. La r\u00e9troactivit\u00e9 n&#8217;est possible qu&#8217;en l&#8217;absence de d\u00e9cision pass\u00e9e en force de chose jug\u00e9e constatant la r\u00e9siliation. Elle suppose \u00e9galement un paiement int\u00e9gral et une appr\u00e9ciation souveraine de la bonne foi par les juges du fond. La cour \u00e9carte ainsi toute r\u00e9servation de droits sur les sommes dues, faute de pr\u00e9tention formelle. Par ailleurs, elle refuse d&#8217;allouer des indemnit\u00e9s au titre de l&#8217;article 700 du code de proc\u00e9dure civile, laissant &#8220;chaque partie la charge des d\u00e9pens&#8221;. Cette solution \u00e9quilibre les int\u00e9r\u00eats en pr\u00e9sence sans r\u00e9compenser le comportement initialement d\u00e9faillant.
