Le bailleur, un organisme public, sollicite la constatation de la r\u00e9solution d\u2019un bail conclu en 2012 et le paiement d\u2019un arri\u00e9r\u00e9 locatif. Le locataire, confront\u00e9 \u00e0 des difficult\u00e9s financi\u00e8res, ne conteste pas la dette mais sollicite des d\u00e9lais de paiement. La juridiction doit d\u00e9terminer le droit applicable \u00e0 la clause r\u00e9solutoire et statuer sur les cons\u00e9quences de l\u2019inex\u00e9cution. Elle constate la r\u00e9siliation tout en suspendant ses effets sous condition, et ordonne un plan d\u2019apurement de la dette.<\/p>\n<p>Le principe de non-r\u00e9troactivit\u00e9 de la loi nouvelle<\/p>\n<p>La d\u00e9cision applique strictement le principe de non-r\u00e9troactivit\u00e9 des lois aux contrats en cours. Le bail, conclu avant la r\u00e9forme de 2023, reste soumis \u00e0 l\u2019ancien d\u00e9lai de deux mois pour l\u2019acquisition de la clause r\u00e9solutoire. Le juge reprend la motivation d\u2019une jurisprudence ant\u00e9rieure pour \u00e9carter l\u2019application imm\u00e9diate de la loi nouvelle. &#8220;Cependant, la loi du 27 juillet 2023 ne comprend aucune disposition d\u00e9rogeant \u00e0 l&#8217;article 2 du code civil, selon lequel la loi ne dispose que pour l&#8217;avenir et n&#8217;a point d&#8217;effet r\u00e9troactif&#8221; (Tribunal judiciaire de Paris, le 16 ao\u00fbt 2024, n\u00b024\/02228). Ce rappel affirme la s\u00e9curit\u00e9 juridique des conventions. La port\u00e9e de ce point est essentielle pour la stabilit\u00e9 des relations contractuelles. Il confirme que les parties restent li\u00e9es par le cadre l\u00e9gal en vigueur \u00e0 la date de leur engagement.<\/p>\n<p>La sanction de l\u2019inex\u00e9cution et l\u2019acquisition de la clause<\/p>\n<p>Le juge constate que les conditions l\u00e9gales pour la r\u00e9solution sont r\u00e9unies. Le commandement de payer, r\u00e9gulier en la forme, est demeur\u00e9 infructueux pendant le d\u00e9lai contractuel de deux mois. Aucun plan d\u2019apurement n\u2019ayant \u00e9t\u00e9 conclu dans ce d\u00e9lai, le droit \u00e0 la r\u00e9solution est acquis depuis une date certaine. La solution retenue est donc la constatation judiciaire de cette r\u00e9siliation de plein droit. La valeur de cette analyse r\u00e9side dans le respect strict des formalit\u00e9s protectrices impos\u00e9es au bailleur. Elle rappelle le caract\u00e8re automatique de la clause r\u00e9solutoire l\u00e9gale d\u00e8s lors que ses conditions sont satisfaites. Cette rigueur proc\u00e9durale prot\u00e8ge le locataire contre les r\u00e9siliations arbitraires.<\/p>\n<p>L\u2019am\u00e9nagement judiciaire des cons\u00e9quences de la r\u00e9siliation<\/p>\n<p>Le juge use de son pouvoir d\u2019am\u00e9nagement pour concilier les int\u00e9r\u00eats en pr\u00e9sence. Constatant la volont\u00e9 du locataire de s\u2019acquitter de sa dette et l\u2019accord du bailleur, il suspend les effets de la r\u00e9siliation. Il impose un plan d\u2019apurement de trente-six mois, conditionnant la survie du bail \u00e0 son respect int\u00e9gral. Cette suspension judiciaire diff\u00e8re d\u2019une suspension l\u00e9gale d\u00e9coulant d\u2019une proc\u00e9dure de surendettement. &#8220;D\u00e8s lors, les parties s&#8217;accordant en outre sur ce point, il y a lieu de constater que les effets de la clause r\u00e9solutoire sont suspendus par la d\u00e9cision pr\u00e9cit\u00e9e de la commission de surendettement&#8221; (Cour d&#8217;appel de Douai, le 3 juillet 2025, n\u00b023\/05448). La port\u00e9e de cette mesure est pragmatique et sociale. Elle \u00e9vite une expulsion tout en garantissant au bailleur le recouvrement progressif de sa cr\u00e9ance.<\/p>\n<p>Les modalit\u00e9s d\u2019ex\u00e9cution et les garanties pour le bailleur<\/p>\n<p>La d\u00e9cision organise pr\u00e9cis\u00e9ment les cons\u00e9quences d\u2019une \u00e9ventuelle d\u00e9faillance future. Le non-paiement d\u2019une seule \u00e9ch\u00e9ance entra\u00eene la r\u00e9siliation de plein droit sans nouvelle proc\u00e9dure. Le bailleur est alors autoris\u00e9 \u00e0 poursuivre l\u2019expulsion apr\u00e8s un commandement de quitter les lieux. Une indemnit\u00e9 d\u2019occupation est fix\u00e9e pour la p\u00e9riode post-r\u00e9solution, et la dette restante devient imm\u00e9diatement exigible. La valeur de ce dispositif r\u00e9side dans son efficacit\u00e9 et sa clart\u00e9 dissuasive. Il offre une s\u00e9curit\u00e9 juridique au bailleur tout en informant le locataire des cons\u00e9quences d\u2019une nouvelle d\u00e9faillance.
