Le bailleur d\u2019un fonds de commerce avait assign\u00e9 son locataire pour obtenir la r\u00e9siliation du bail pour d\u00e9faut de paiement des loyers, le paiement d\u2019une provision, une indemnit\u00e9 d\u2019occupation et l\u2019expulsion. Le juge des r\u00e9f\u00e9r\u00e9s a d\u00fb se prononcer sur les conditions de mise en \u0153uvre d\u2019une clause r\u00e9solutoire et sur l\u2019octroi d\u2019une provision. Il a prononc\u00e9 la r\u00e9siliation du bail, accord\u00e9 une provision sur les loyers impay\u00e9s et fix\u00e9 une indemnit\u00e9 d\u2019occupation, tout en rejetant les demandes reconventionnelles du locataire.<\/p>\n<p>La mise en \u0153uvre rigoureuse de la clause r\u00e9solutoire<\/p>\n<p>Le juge rappelle les conditions l\u00e9gales de la r\u00e9siliation de plein droit. L\u2019article L 145-41 du Code de commerce impose un formalisme strict pour l\u2019acquisition de la clause. &#8220;toute clause ins\u00e9r\u00e9e dans le bail pr\u00e9voyant la r\u00e9siliation de plein droit ne produit effet qu&#8217;un mois apr\u00e8s un commandement demeur\u00e9 infructueux. Le commandement doit, \u00e0 peine de nullit\u00e9, mentionner ce d\u00e9lai&#8221; (Motifs). Le commandement d\u00e9livr\u00e9 par le bailleur respectait cette exigence en visant express\u00e9ment la clause et en mentionnant le d\u00e9lai d\u2019un mois. Le locataire n\u2019ayant pas r\u00e9gularis\u00e9 sa situation dans ce d\u00e9lai, la clause est devenue acquise. Cette application stricte prot\u00e8ge le locataire contre une r\u00e9siliation brutale tout en sanctionnant son inex\u00e9cution contractuelle. Elle s\u00e9curise ainsi la relation commerciale en exigeant une mise en demeure formelle et un d\u00e9lai de gr\u00e2ce.<\/p>\n<p>La r\u00e9solution entra\u00eene une requalification automatique des pr\u00e9tentions p\u00e9cuniaires. Le juge op\u00e8re une distinction nette entre les sommes dues avant et apr\u00e8s la r\u00e9siliation. Les loyers contractuels sont dus jusqu\u2019\u00e0 la date d\u2019acquisition de la clause. En revanche, &#8220;tout \u00ab loyer \u00bb post\u00e9rieur doit \u00eatre examin\u00e9 au titre de l\u2019indemnit\u00e9 d\u2019occupation&#8221; (Motifs). Cette distinction est essentielle car le fondement juridique et le calcul des sommes diff\u00e8rent. Le locataire devenu occupant sans droit ni titre ne peut plus se voir r\u00e9clamer un loyer contractuel. Cette pr\u00e9cision garantit la coh\u00e9rence du r\u00e9gime juridique appliqu\u00e9 et \u00e9vite toute confusion entre cr\u00e9ances contractuelles et extra-contractuelles.<\/p>\n<p>L\u2019encadrement des demandes indemnitaires en r\u00e9f\u00e9r\u00e9<\/p>\n<p>Le juge des r\u00e9f\u00e9r\u00e9s statue sur la provision selon le crit\u00e8re de l\u2019obligation non s\u00e9rieusement contestable. Il applique l\u2019article 835 du code de proc\u00e9dure civile qui permet d\u2019accorder une provision &#8220;dans les cas o\u00f9 l&#8217;existence de l&#8217;obligation n&#8217;est pas s\u00e9rieusement contestable&#8221; (Motifs). En l\u2019esp\u00e8ce, le principe et le montant des loyers impay\u00e9s jusqu\u2019\u00e0 la r\u00e9siliation ne sont pas contest\u00e9s. Le juge peut donc allouer une provision correspondant exactement \u00e0 ces sommes. Cette jurisprudence rejoint celle de la Cour d\u2019appel de Paris pour qui &#8220;le montant de la provision en r\u00e9f\u00e9r\u00e9 n&#8217;a d&#8217;autre limite que le montant non s\u00e9rieusement contestable de la dette all\u00e9gu\u00e9e&#8221; (Cour d&#8217;appel de Paris, le 16 mars 2023, n\u00b022\/11397). Le r\u00e9f\u00e9r\u00e9 provision permet ainsi une justice rapide pour les cr\u00e9ances certaines.<\/p>\n<p>Le juge exerce son pouvoir de modulation sur les clauses p\u00e9nales jug\u00e9es excessives. La clause du bail pr\u00e9voyait une astreinte et une indemnit\u00e9 d\u2019occupation tr\u00e8s \u00e9lev\u00e9es. Le juge, s\u2019appuyant sur l\u2019article 1231-5 du code civil, estime que cette clause &#8220;est manifestement excessive&#8221; (Motifs). Il use donc de son pouvoir pour la mod\u00e9rer et fixe l\u2019indemnit\u00e9 d\u2019occupation au simple montant du loyer. Ce contr\u00f4le judiciaire prot\u00e8ge le d\u00e9biteur contre des sanctions disproportionn\u00e9es. Il rappelle que la libert\u00e9 contractuelle est limit\u00e9e par l\u2019exigence de proportionnalit\u00e9, m\u00eame apr\u00e8s une inex\u00e9cution fautive.
