A l\u2019expiration de ce bail de trois ans, le preneur reste dans les lieux et revendique la formation d\u2019un bail commercial. Le bailleur oppose l\u2019absence d\u2019activit\u00e9 commerciale r\u00e9elle et forme des demandes reconventionnelles en paiement. Le tribunal rejette la demande principale du preneur et d\u00e9clare irrecevables les demandes reconventionnelles, en raison de l\u2019ouverture d\u2019une liquidation judiciaire.<\/p>\n<p>La formation conditionnelle d\u2019un nouveau bail statutaire<\/p>\n<p>Le principe de la reconduction l\u00e9gale est pos\u00e9 par l\u2019article L. 145-5 du code de commerce. Ce texte pr\u00e9voit qu\u2019\u00e0 l\u2019expiration de la p\u00e9riode de trois ans de d\u00e9rogation, un nouveau bail statutaire se forme tacitement. La condition est que le preneur reste et soit laiss\u00e9 en possession des locaux apr\u00e8s l\u2019\u00e9ch\u00e9ance. Le bailleur soutenait avoir d\u00e9nonc\u00e9 le bail \u00e0 son terme mais n\u2019a pas rapport\u00e9 la preuve de cette d\u00e9nonciation. Le tribunal constate donc que le preneur est rest\u00e9 en possession, le message de lib\u00e9ration des lieux \u00e9tant intervenu trop tardivement. La formation du bail commercial n\u2019est cependant pas automatique \u00e0 ce stade.<\/p>\n<p>Le preneur doit ensuite prouver qu\u2019il remplit les conditions l\u00e9gales pour b\u00e9n\u00e9ficier du statut. Il lui appartient de justifier de l\u2019exploitation d\u2019un fonds de commerce dans le local. En l\u2019esp\u00e8ce, la soci\u00e9t\u00e9 locataire n\u2019a produit aucun \u00e9l\u00e9ment concret attestant de son activit\u00e9 commerciale sur place. Le tribunal rel\u00e8ve l\u2019absence d\u2019enseigne, de mobilier fonctionnel et la nature d\u00e9grad\u00e9e des locaux. Un constat d\u2019huissier indique que les lieux servaient probablement d\u2019entrep\u00f4t. La soci\u00e9t\u00e9 &#8220;ne rapporte nullement la preuve qu\u2019elle a exerc\u00e9 son activit\u00e9&#8221; dans le local lou\u00e9. Le d\u00e9faut de preuve des conditions substantielles du bail commercial entra\u00eene le rejet de sa demande.<\/p>\n<p>L\u2019extinction des actions en paiement par la liquidation judiciaire<\/p>\n<p>Le tribunal examine ensuite les demandes reconventionnelles du bailleur en paiement de loyers et d\u2019indemnit\u00e9s. Ces demandes ont \u00e9t\u00e9 formul\u00e9es apr\u00e8s le prononc\u00e9 de la liquidation judiciaire du preneur. L\u2019article L. 622-21 du code de commerce interdit toute action en paiement d\u2019une somme d\u2019argent apr\u00e8s le jugement d\u2019ouverture. Le texte dispose que le jugement d\u2019ouverture &#8220;interdit toute action en justice de la part de tous les cr\u00e9anciers (&#8230;) tendant \u00e0 la condamnation du d\u00e9biteur au paiement d\u2019une somme d\u2019argent&#8221;. Les demandes du bailleur rel\u00e8vent pr\u00e9cis\u00e9ment de cette cat\u00e9gorie d\u2019actions interdites.<\/p>\n<p>Le tribunal rel\u00e8ve d\u2019office l\u2019irrecevabilit\u00e9 de ces demandes, conform\u00e9ment \u00e0 la proc\u00e9dure collective. L\u2019instance aurait d\u00fb \u00eatre interrompue puis reprise dans les formes l\u00e9gales. Le cr\u00e9ancier bailleur n\u2019a pas proc\u00e9d\u00e9 \u00e0 la d\u00e9claration de sa cr\u00e9ance pour permettre la reprise de l\u2019instance. Le tribunal applique strictement le dispositif de suspension des poursuites individuelles. Il rappelle que l\u2019instance interrompue &#8220;est reprise \u00e0 l\u2019initiative du cr\u00e9ancier demandeur&#8221; apr\u00e8s d\u00e9claration. Cette solution prot\u00e8ge l\u2019\u00e9galit\u00e9 entre les cr\u00e9anciers et assure la pr\u00e9servation de l\u2019actif du d\u00e9biteur en liquidation.<\/p>\n<p>Ce jugement rappelle avec rigueur la double condition pour la formation d\u2019un bail commercial apr\u00e8s un bail d\u00e9rogatoire. La simple continuation dans les lieux ne suffit pas sans la preuve d\u2019une exploitation commerciale r\u00e9elle. Il pr\u00e9cise \u00e9galement les effets paralysants d\u2019une liquidation judiciaire sur les actions en paiement. La d\u00e9cision limite les droits du preneur qui ne mat\u00e9rialise pas son activit\u00e9 et prot\u00e8ge le d\u00e9biteur en liquidation contre les poursuites isol\u00e9es.
