Des bailleurs ont engag\u00e9 une proc\u00e9dure en expulsion contre une soci\u00e9t\u00e9 locataire et sa repr\u00e9sentante l\u00e9gale. Ils invoquaient une <a href=\"https:\/\/kohenavocats.fr\/avocat-resiliation-bail-paris\/\" target=\"_blank\" title=\"clause r\u00e9solutoire\">clause r\u00e9solutoire<\/a> pour d\u00e9faut de paiement des loyers. La juridiction a d&#8217;abord examin\u00e9 la recevabilit\u00e9 de l&#8217;action dirig\u00e9e contre la g\u00e9rante \u00e0 titre personnel. Elle a ensuite statu\u00e9 sur la validit\u00e9 du commandement et les demandes en expulsion et provision. L&#8217;ordonnance a d\u00e9clar\u00e9 irrecevable l&#8217;action contre la g\u00e9rante personnellement. Elle a constat\u00e9 la r\u00e9solution du bail et ordonn\u00e9 l&#8217;expulsion de la soci\u00e9t\u00e9 avec une indemnit\u00e9 provisionnelle.<\/p>\n<p>La distinction des qualit\u00e9s personnelle et repr\u00e9sentative<\/p>\n<p>Le juge a d&#8217;abord \u00e9cart\u00e9 l&#8217;action dirig\u00e9e contre la repr\u00e9sentante l\u00e9gale en son nom personnel. L&#8217;acte de bail d\u00e9signait clairement la soci\u00e9t\u00e9 comme seule preneuse. La g\u00e9rante n&#8217;\u00e9tait intervenue qu&#8217;au nom et pour le compte de cette soci\u00e9t\u00e9. L&#8217;assignation initiale la visait \u00e0 titre personnel et en qualit\u00e9 de repr\u00e9sentante. Une seconde assignation ciblait la soci\u00e9t\u00e9 repr\u00e9sent\u00e9e par cette m\u00eame personne. La juridiction en a d\u00e9duit une volont\u00e9 de poursuivre la g\u00e9rante personnellement. Or, celle-ci n&#8217;\u00e9tait ni titulaire du bail ni <a href=\"https:\/\/kohenavocats.fr\/avocat-depot-garantie-paris\/\" target=\"_blank\" title=\"caution\">caution<\/a> de la soci\u00e9t\u00e9 locataire. Les demandeurs ne justifiaient pas de son int\u00e9r\u00eat \u00e0 d\u00e9fendre en son nom propre. &#8220;Par cons\u00e9quent, Madame [Y] [L] agissant en son nom personnel n\u2019\u00e9tant pas titulaire du contrat de bail, ni caution solidaire de la SASU FOUDRE qui n\u2019est pas non plus une soci\u00e9t\u00e9 en formation, Madame [J] [C] et Monsieur [K] [C] ne justifient pas de sa qualit\u00e9 \u00e0 d\u00e9fendre, de sorte que les demandes formul\u00e9es contre Madame [Y] [L] \u00e0 titre personnel seront d\u00e9clar\u00e9es irrecevables.&#8221; Cette analyse rappelle que la qualit\u00e9 pour agir est une condition essentielle. La jurisprudence confirme qu&#8217;un bail sign\u00e9 par une personne physique agissant pour le compte d&#8217;une soci\u00e9t\u00e9 engage uniquement cette derni\u00e8re. &#8220;En l\u2019esp\u00e8ce, le <a href=\"https:\/\/kohenavocats.fr\/avocats-en-droit-immobilier-et-droit-des-affaires-a-paris-kohen-avocats\/avocats-droit-immobilier-paris\/avocats-baux-commerciaux-paris\/\" target=\"_blank\" title=\"bail commercial\">bail commercial<\/a> mentionne que le preneur est \u00ab [Y] \u2013 [N] ([N] Shop), date et lieu de naissance 8.11.1972 \u00e0 [Localit\u00e9 4] \u2013 Congo \u00bb. Par cons\u00e9quent, il est manifeste que M. [Y] est signataire du bail et mentionn\u00e9 en qualit\u00e9 de preneur, la S.C.I. Phijale \u00e9tant recevable \u00e0 agir contre lui.&#8221; (Tribunal judiciaire de Lille, le 29 juillet 2025, n\u00b025\/00704) La d\u00e9cision renforce ainsi le principe de s\u00e9paration des patrimoines. Elle prot\u00e8ge le dirigeant d&#8217;une responsabilit\u00e9 personnelle non contractuellement pr\u00e9vue.<\/p>\n<p>L&#8217;exigence de clart\u00e9 du commandement pr\u00e9alable<\/p>\n<p>La validit\u00e9 du commandement de payer \u00e9tait s\u00e9rieusement contest\u00e9e par la locataire. L&#8217;article L.145-41 du code de commerce impose un commandement infructueux avant l&#8217;effet d&#8217;une clause r\u00e9solutoire. Ce commandement doit mentionner le d\u00e9lai d&#8217;un mois sous peine de nullit\u00e9. La soci\u00e9t\u00e9 soutenait que l&#8217;acte ne permettait pas d&#8217;identifier les causes des sommes r\u00e9clam\u00e9es. Elle arguait d&#8217;une discordance entre le montant global et le d\u00e9compte annex\u00e9. Le juge a relev\u00e9 que le commandement indiquait un montant de 3.150 euros. Il pr\u00e9cisait que cette somme correspondait aux <a href=\"https:\/\/kohenavocats.fr\/avocat-recouvrement-loyers-paris\/\" target=\"_blank\" title=\"loyers impay\u00e9s\">loyers impay\u00e9s<\/a> d&#8217;octobre 2024. Le d\u00e9compte annex\u00e9, arr\u00eat\u00e9 au 22 octobre, mentionnait une cr\u00e9ance de 3.850 euros. Le commandement d\u00e9duisait explicitement un paiement de 700 euros intervenu le 23 octobre. &#8220;Ainsi, le versement de la somme de 700 euros \u00e9tant intervenu post\u00e9rieurement \u00e0 l\u2019\u00e9tablissement du d\u00e9compte ins\u00e9r\u00e9e au commandement de payer, il est \u00e9vident que son \u00e9criture n\u2019y figure pas, de m\u00eame qu\u2019il est \u00e9vident qu\u2019au jour de la d\u00e9livrance du commandement cette somme ait \u00e9t\u00e9 d\u00e9duite de la dette locative.&#8221; La mention claire de cette d\u00e9duction rendait le commandement parfaitement intelligible. &#8220;Dans ces conditions, la mention de la d\u00e9duction des \u00ab 700 euros vers\u00e9s le 23\/10\/2024 \u00bb (formalis\u00e9e par le signe moins \u00ab &#8211; \u00bb) au commandement de payer, permet \u00e0 la SASU FOUDRE de comprendre de mani\u00e8re claire et \u00e9vidente la nature des sommes command\u00e9es et les causes du commandement, de sorte que sa validit\u00e9 n&#8217;est pas s\u00e9rieusement contestable.&#8221; Cette exigence de clart\u00e9 est constante. La jurisprudence ant\u00e9rieure souligne que le commandement doit contenir toutes pr\u00e9cisions n\u00e9cessaires. &#8220;Le commandement doit \u00e9galement contenir toutes pr\u00e9cisions permettant au locataire de conna\u00eetre la nature, les causes et le montant des sommes r\u00e9clam\u00e9es, de proc\u00e9der au r\u00e8glement des sommes dues ou de motiver la critique du d\u00e9compte.&#8221; (Tribunal judiciaire, le 9 d\u00e9cembre 2025, n\u00b024\/00196) La d\u00e9cision rappelle ainsi l&#8217;imp\u00e9ratif d&#8217;une information loyale du d\u00e9biteur. Elle admet une certaine souplesse dans la corr\u00e9lation entre le commandement et ses annexes.<\/p>\n<p>Les conditions de l&#8217;expulsion en r\u00e9f\u00e9r\u00e9 et de la provision<\/p>\n<p>Le juge a ensuite examin\u00e9 les demandes en expulsion et en provision formul\u00e9es par les bailleurs. L&#8217;article 835 du code de proc\u00e9dure civile permet des mesures en r\u00e9f\u00e9r\u00e9 pour faire cesser un trouble manifestement illicite. La r\u00e9solution du bail \u00e9tant acquise depuis le 7 d\u00e9cembre 2024, la soci\u00e9t\u00e9 n&#8217;avait plus de titre d&#8217;occupation. Son maintien dans les lieux portait ainsi atteinte au droit de propri\u00e9t\u00e9 des bailleurs. La locataire sollicitait des d\u00e9lais et la suspension de la clause r\u00e9solutoire pour vendre son fonds. Elle produisait une annonce de reprise sur un support papier non dat\u00e9. Le juge a estim\u00e9 que ces \u00e9l\u00e9ments \u00e9taient insuffisants pour \u00e9tablir une vente probable. &#8220;Or, en l\u2019absence de paiement intervenu depuis le 23 octobre 2024 et l\u2019extrait d\u2019annonce produite ne permettant pas d&#8217;apporter les garanties suffisantes pour \u00e9tablir une probable vente future du fonds de commerce, dans la mesure o\u00f9 d\u2019une part l\u2019annonce est retranscrite sur un support papier, sans information compl\u00e9mentaire (tels que la plateforme ou la date) et d\u2019autre part, il n\u2019est produit aucun \u00e9l\u00e9ment permettant d\u2019\u00e9tablir l\u2019existence d\u2019\u00e9ventuels \u00e9changes en vue de parvenir \u00e0 la vente du fonds de commerce, les demandes de d\u00e9lais et de suspension de la clause r\u00e9solutoire se heurtent \u00e0 une contestation s\u00e9rieuse.&#8221; L&#8217;expulsion a donc \u00e9t\u00e9 ordonn\u00e9e comme mesure n\u00e9cessaire pour faire cesser le trouble illicite. Une indemnit\u00e9 provisionnelle d&#8217;occupation a \u00e9t\u00e9 fix\u00e9e au montant du loyer. Concernant la provision sur la cr\u00e9ance, le juge l&#8217;a accord\u00e9e \u00e0 hauteur des sommes command\u00e9es. Il a retenu le montant de 3.150 euros, correspondant \u00e0 la fraction non s\u00e9rieusement contestable. Cette solution applique strictement les conditions de l&#8217;article 835. Elle montre la r\u00e9ticence du juge des r\u00e9f\u00e9r\u00e9s \u00e0 accorder des d\u00e9lais sur la base d&#8217;\u00e9l\u00e9ments incertains. La protection du droit de propri\u00e9t\u00e9 l&#8217;emporte en l&#8217;absence de garanties solides d&#8217;une issue rapide.<\/p>\n<p>La port\u00e9e de cette d\u00e9cision est double. Elle r\u00e9affirme avec rigueur les conditions de la responsabilit\u00e9 des dirigeants. Elle pr\u00e9cise \u00e9galement les exigences de clart\u00e9 du commandement pr\u00e9alable \u00e0 la r\u00e9solution. Le juge des r\u00e9f\u00e9r\u00e9s assure une protection effective du droit de propri\u00e9t\u00e9. Il exige toutefois des preuves tangibles pour accorder des mesures suspensives. Cette ordonnance illustre l&#8217;\u00e9quilibre entre la sanction des impay\u00e9s et les droits de la d\u00e9fense.
