La solution tranche la n\u00e9cessit\u00e9 d\u2019une mise en demeure pr\u00e9alable lorsque la d\u00e9livrance convenue devait intervenir \u00e0 la date de l\u2019acte.<\/p>\n<p>Un acte notari\u00e9 du 21 d\u00e9cembre 2018 transf\u00e8re la propri\u00e9t\u00e9 de deux locaux \u00e0 usage de d\u00e9p\u00f4t, d\u00e9clar\u00e9s libres de toute occupation, avec remise imm\u00e9diate des clefs. Les locaux demeurent pourtant encombr\u00e9s de mat\u00e9riels et cartons jusqu\u2019au 9 janvier 2020, date de leur retrait sur autorisation de l\u2019acqu\u00e9reur. Entre-temps, la soci\u00e9t\u00e9 venderesse a \u00e9t\u00e9 dissoute et radi\u00e9e, ses associ\u00e9s restant tenus des dettes sociales \u00e0 proportion de leurs parts.<\/p>\n<p>Le tribunal judiciaire d\u2019Ajaccio, 23 novembre 2023, d\u00e9boute l\u2019acqu\u00e9reur de sa demande d\u2019indemnit\u00e9 d\u2019occupation mais ordonne la remise de fonds s\u00e9questr\u00e9s et statue sur les frais. L\u2019acqu\u00e9reur interjette appel sur l\u2019indemnisation, sollicitant une somme calcul\u00e9e selon une valeur locative au m\u00e8tre carr\u00e9. Les vendeurs demandent la confirmation, soulignent la remise des clefs, invoquent des d\u00e9marches pour retirer le mat\u00e9riel et contestent le quantum en l\u2019absence de preuve d\u2019une perte locative.<\/p>\n<p>La question de droit porte sur la caract\u00e9risation d\u2019un manquement \u00e0 la d\u00e9livrance conforme, malgr\u00e9 la remise des clefs, et sur l\u2019exigence d\u2019une mise en demeure pr\u00e9alable pour obtenir des dommages et int\u00e9r\u00eats. Elle concerne, en outre, la mesure du pr\u00e9judice et la contribution des associ\u00e9s de la soci\u00e9t\u00e9 dissoute \u00e0 la dette d\u2019indemnisation.<\/p>\n<p>La Cour retient l\u2019inex\u00e9cution de l\u2019obligation de d\u00e9livrance, qualifie l\u2019inex\u00e9cution de d\u00e9finitive au jour de l\u2019acte et \u00e9carte l\u2019exigence d\u2019une mise en demeure pr\u00e9alable. Elle juge que \u00ab l\u2019article 1611 du code civil doit trouver \u00e0 s\u2019appliquer \u00bb et que \u00ab l\u2019article 1231 du code civil sera \u00e9cart\u00e9 \u00bb. Elle alloue 5 000 euros \u00e0 titre compensatoire, tenant compte de l\u2019inertie de l\u2019acqu\u00e9reur dans la p\u00e9riode post\u00e9rieure \u00e0 la vente, et condamne les deux associ\u00e9s, chacun pour moiti\u00e9, au paiement.<\/p>\n<p>I. Le sens de la d\u00e9cision<\/p>\n<p>A. La d\u00e9livrance conforme comme obligation de r\u00e9sultat<\/p>\n<p>La Cour rappelle le r\u00e9gime classique de la d\u00e9livrance. Elle souligne que le vendeur a \u00ab deux obligations principales, celle de d\u00e9livrer et celle de garantir la chose qu\u2019il vend \u00bb et que l\u2019obligation de d\u00e9livrance se r\u00e9alise par la remise de la chose en la puissance de l\u2019acheteur, sp\u00e9cialement \u00ab lors de la remise des clefs quand la chose est un immeuble \u00bb. Elle pr\u00e9cise surtout qu\u2019\u00ab il est de jurisprudence \u00e9tablie que l\u2019obligation de d\u00e9livrance est une obligation de r\u00e9sultat \u00bb, qui impose une conformit\u00e9 stricte aux stipulations contractuelles.<\/p>\n<p>Cette conformit\u00e9 est appr\u00e9ci\u00e9e \u00e0 l\u2019aune de la clause de l\u2019acte, selon laquelle \u00ab les parties [d\u00e9clarent] que le bien est enti\u00e8rement libre de location ou occupation \u00bb. La Cour constate, pi\u00e8ces \u00e0 l\u2019appui, la pr\u00e9sence persistante de \u00ab multiples cartons, mat\u00e9riels et objets divers \u00bb lors et apr\u00e8s la vente, puis \u00e9nonce que \u00ab la preuve est donc rapport\u00e9e de la non-conformit\u00e9 de la chose vendue aux stipulations contractuelles, au jour de l\u2019acte de vente \u00bb. Elle ajoute que les diligences all\u00e9gu\u00e9es pour vider les lieux ne sont pas \u00e9tablies et qu\u2019aucune \u00ab cause \u00e9trang\u00e8re \u00bb n\u2019est d\u00e9montr\u00e9e.<\/p>\n<p>La remise des clefs ne suffit donc pas si l\u2019usage paisible est emp\u00each\u00e9 par un encombrement substantiel. Le manquement r\u00e9sulte de la discordance entre le bien promis libre et la chose livr\u00e9e encombr\u00e9e. Cette lecture neutralise l\u2019argument tir\u00e9 du retard mis par l\u2019acqu\u00e9reur \u00e0 exiger l\u2019enl\u00e8vement, qui \u00ab est inop\u00e9rant \u00bb pour qualifier l\u2019inex\u00e9cution, m\u00eame si son inertie p\u00e8sera plus tard sur le quantum.<\/p>\n<p>B. L\u2019inex\u00e9cution d\u00e9finitive et l\u2019articulation des r\u00e9gimes d\u2019indemnisation<\/p>\n<p>La Cour ancre ensuite son raisonnement dans la distinction entre inex\u00e9cution d\u00e9finitive et inex\u00e9cution simplement tardive. Elle rappelle que, \u00ab \u00e0 moins que l\u2019inex\u00e9cution soit d\u00e9finitive, les dommages et int\u00e9r\u00eats ne sont dus que si le d\u00e9biteur a pr\u00e9alablement \u00e9t\u00e9 mis en demeure \u00bb. Elle retient cependant le caract\u00e8re d\u00e9finitif au jour convenu, car \u00ab l\u2019acqu\u00e9reur est propri\u00e9taire du bien \u00e0 compter de ce jour \u00bb et l\u2019acte n\u2019am\u00e9nage aucun d\u00e9lai de vidage des lieux.<\/p>\n<p>Dans cette perspective, l\u2019article 1611 fournit la base indemnitaire pertinente, puisqu\u2019il dispose que \u00ab dans tous les cas, le vendeur doit \u00eatre condamn\u00e9 aux dommages et int\u00e9r\u00eats, s\u2019il r\u00e9sulte un pr\u00e9judice pour l\u2019acqu\u00e9reur, du d\u00e9faut de d\u00e9livrance au terme convenu \u00bb. La Cour ajoute que \u00ab les dommages et int\u00e9r\u00eats sollicit\u00e9s ayant une nature compensatoire et non moratoire et l\u2019obligation inex\u00e9cut\u00e9e ne souffrant aucune possibilit\u00e9 d\u2019ex\u00e9cution retard\u00e9e, l\u2019article 1231 du code civil sera \u00e9cart\u00e9 \u00bb. L\u2019absence de mise en demeure ne fait donc pas obstacle \u00e0 la r\u00e9paration.<\/p>\n<p>Le sens de la d\u00e9cision tient ainsi dans l\u2019articulation temporelle du contrat: la d\u00e9livrance conforme \u00e9tait exigible \u00e0 la date de l\u2019acte; sa d\u00e9faillance \u00e0 cette date emporte un droit imm\u00e9diat \u00e0 r\u00e9paration d\u00e8s lors qu\u2019un pr\u00e9judice est constat\u00e9.<\/p>\n<p>II. Valeur et port\u00e9e<\/p>\n<p>A. Coh\u00e9rence, fronti\u00e8res et \u00e9quilibre de la solution retenue<\/p>\n<p>La qualification d\u2019inex\u00e9cution d\u00e9finitive est coh\u00e9rente avec une clause de libre occupation et une exigibilit\u00e9 concomitante au transfert de propri\u00e9t\u00e9. Elle renforce l\u2019effectivit\u00e9 de l\u2019obligation de d\u00e9livrance, qui vise une chose conforme et imm\u00e9diatement utilisable. Le rappel que \u00ab l\u2019obligation inex\u00e9cut\u00e9e ne souffre aucune possibilit\u00e9 d\u2019ex\u00e9cution retard\u00e9e \u00bb clarifie l\u2019option pour la r\u00e9paration compensatoire, plut\u00f4t que pour une ex\u00e9cution diff\u00e9r\u00e9e d\u2019une obligation devenue vaine au regard du terme contractuel.<\/p>\n<p>La solution n\u2019est pas sans limites toutefois. L\u2019ex\u00e9cution mat\u00e9rielle d\u2019un vidage demeurait possible, et a d\u2019ailleurs eu lieu, ce qui nourrit l\u2019objection d\u2019un retard plut\u00f4t que d\u2019une irr\u00e9versibilit\u00e9. La Cour d\u00e9samorce cette critique en situant la d\u00e9faillance au jour convenu et en cantonnant l\u2019inertie de l\u2019acqu\u00e9reur \u00e0 l\u2019appr\u00e9ciation du pr\u00e9judice. Elle refuse l\u2019indemnit\u00e9 d\u2019occupation au taux propos\u00e9, faute de preuves d\u2019une mise en location effective, et juge que \u00ab l\u2019octroi de dommages et int\u00e9r\u00eats \u00e0 hauteur de 5 000 \u20ac en r\u00e9paration appara\u00eet adapt\u00e9 \u00bb. L\u2019\u00e9quilibre est net: fermet\u00e9 sur le principe, mesure sur l\u2019\u00e9tendue.<\/p>\n<p>Cette modulation rappelle que la d\u00e9livrance non conforme ouvre droit \u00e0 r\u00e9paration, mais que le lien avec la perte all\u00e9gu\u00e9e doit \u00eatre \u00e9tay\u00e9. L\u2019acqu\u00e9reur supporte la charge de prouver ses d\u00e9marches et la consistance de l\u2019atteinte subie, notamment lorsqu\u2019il revendique une valeur locative sur une p\u00e9riode significative.<\/p>\n<p>B. Enseignements pratiques: preuve du pr\u00e9judice et contribution des associ\u00e9s<\/p>\n<p>La port\u00e9e de l\u2019arr\u00eat se mesure, d\u2019abord, \u00e0 l\u2019exigence probatoire quant au quantum. En l\u2019absence de tentatives de mise en location, la valeur locative invoqu\u00e9e reste hypoth\u00e9tique. La Cour retient une somme forfaitaire, appr\u00e9ci\u00e9e in concreto, qui indemnise la privation de jouissance sans adopter m\u00e9caniquement le raisonnement par m\u00e8tre carr\u00e9. Cette approche incite les acqu\u00e9reurs \u00e0 r\u00e9agir promptement, conserver des traces de leurs offres et formaliser leurs d\u00e9marches.<\/p>\n<p>La d\u00e9cision \u00e9claire, ensuite, la contribution des associ\u00e9s d\u2019une soci\u00e9t\u00e9 civile dissoute. La Cour affirme qu\u2019\u00ab il appartient aux deux uniques associ\u00e9s [\u2026] de supporter par moiti\u00e9 l\u2019indemnisation \u00bb fond\u00e9e sur l\u2019inex\u00e9cution contractuelle ant\u00e9rieure. Cette solution s\u2019accorde avec la responsabilit\u00e9 ind\u00e9finie et proportionnelle des associ\u00e9s pour les dettes sociales exigibles, et s\u00e9curise le cr\u00e9ancier post\u00e9rieurement \u00e0 la radiation. Elle confirme la survie de l\u2019obligation au-del\u00e0 de la personnalit\u00e9 morale, dans la limite des parts sociales et des r\u00e8gles de contribution internes.<\/p>\n<p>Enfin, l\u2019arr\u00eat souligne une le\u00e7on simple pour les vendeurs d\u2019immeubles: la d\u00e9livrance conforme impose des lieux libres au jour du transfert, non des clefs sur des locaux encombr\u00e9s. La clause \u00ab bien enti\u00e8rement libre de location ou occupation \u00bb engage pleinement, et sa violation, m\u00eame br\u00e8ve, justifie une indemnisation, sous r\u00e9serve d\u2019une preuve s\u00e9rieuse du pr\u00e9judice.
