Le litige provient d\u2019un bail en l\u2019\u00e9tat futur d\u2019ach\u00e8vement sur un volume commercial, assorti d\u2019un d\u00e9p\u00f4t de garantie. Lors de la cession du bien en 2019, une clause a organis\u00e9 la mise sous s\u00e9questre d\u2019une partie de ce d\u00e9p\u00f4t pour permettre la reddition des charges des exercices 2016 \u00e0 2019. La preneuse a contest\u00e9 plusieurs postes; l\u2019accord amiable a \u00e9chou\u00e9; le bailleur vendeur a saisi le juge pour obtenir la mainlev\u00e9e des fonds et, subsidiairement, leur paiement.<\/p>\n<p>Par jugement du 21 d\u00e9cembre 2023, il a \u00e9t\u00e9 ordonn\u00e9 la lib\u00e9ration des fonds au profit de l\u2019acqu\u00e9reur, avec fixation d\u2019un trop-per\u00e7u de provisions au b\u00e9n\u00e9fice de la preneuse. En appel, le bailleur demande la d\u00e9consignation inverse, conteste l\u2019\u00e9tendue de la facult\u00e9 de discussion des charges et le montant du solde; les adversaires concluent \u00e0 la confirmation, avec un appel incident sur le quantum; le notaire s\u00e9questre et sa comptable sollicitent leur mise hors de cause. La cour confirme la lib\u00e9ration op\u00e9r\u00e9e en ex\u00e9cution provisoire et maintient l\u2019analyse poste par poste ayant conduit \u00e0 un solde cr\u00e9diteur pour la preneuse.<\/p>\n<p>I \u2013 Ex\u00e9cution provisoire et s\u00e9questre: port\u00e9e et effets<\/p>\n<p>A \u2013 L\u2019autorit\u00e9 de l\u2019ex\u00e9cutoire et l\u2019absence de faute du s\u00e9questre<\/p>\n<p>La cour rappelle que \u00abForce est de consid\u00e9rer que le jugement entrepris \u00e9tait ex\u00e9cutoire de droit\u00bb, de sorte que \u00abl&#8217;ex\u00e9cution d&#8217;une d\u00e9cision de justice ex\u00e9cutoire ne constitue pas une faute\u00bb. L\u2019appelant n\u2019a pas sollicit\u00e9, sur le fondement de l\u2019article 524 du code de proc\u00e9dure civile, l\u2019arr\u00eat de l\u2019ex\u00e9cution provisoire. Il s\u2019ensuit que la d\u00e9consignation op\u00e9r\u00e9e en ex\u00e9cution du jugement n\u2019engage pas la responsabilit\u00e9 du s\u00e9questre et ne saurait fonder une restitution inverse.<\/p>\n<p>Cette solution s\u2019inscrit dans une ligne classique qui distingue l\u2019ex\u00e9cution d\u2019un titre ex\u00e9cutoire, r\u00e9guli\u00e8re et obligatoire, de l\u2019appr\u00e9ciation des droits mat\u00e9riels, discut\u00e9s au fond. Le s\u00e9questre conventionnel, tenu par les articles 1956 et 1960 du code civil, ex\u00e9cute le dispositif alors ex\u00e9cutoire; il n\u2019a ni l\u2019initiative ni la charge d\u2019une pond\u00e9ration des pr\u00e9tentions au-del\u00e0 du titre.<\/p>\n<p>B \u2013 Les incidences proc\u00e9durales et l\u2019extinction des pr\u00e9tentions principales<\/p>\n<p>La cour \u00e9nonce que l\u2019appelant \u00abn\u2019est pas fond\u00e9 en ses diverses pr\u00e9tentions relatives \u00e0 la mesure de s\u00e9questre sus-\u00e9voqu\u00e9es\u00bb. Elle donne acte au s\u00e9questre de la lib\u00e9ration intervenue sous l\u2019empire de l\u2019ex\u00e9cution provisoire, met hors de cause la comptable salari\u00e9e et borne l\u2019office \u00e0 la seule demande subsidiaire de condamnation. La port\u00e9e de l\u2019arr\u00eat se concentre donc sur les droits p\u00e9cuniaires n\u00e9s de la reddition, ind\u00e9pendamment de la d\u00e9consignation d\u00e9j\u00e0 accomplie.<\/p>\n<p>Cette trajectoire proc\u00e9durale clarifie l\u2019office de chacun: la contestation d\u2019une lib\u00e9ration ex\u00e9cutoire rel\u00e8ve des voies propres de l\u2019ex\u00e9cution provisoire; l\u2019appel au fond porte sur la validit\u00e9, l\u2019\u00e9tendue et le calcul des charges refactur\u00e9es, ensuite sur les restitutions corr\u00e9latives.<\/p>\n<p>II \u2013 Reddition de charges: \u00e9tendue de la contestation et liquidation<\/p>\n<p>A \u2013 La clause de s\u00e9questre et le droit de discuter le principe des refacturations<\/p>\n<p>La clause de s\u00e9questre pr\u00e9voit: \u00abDurant ce d\u00e9lai de trente (30) jours, l&#8217;acqu\u00e9reur et le locataire auront la facult\u00e9 de demander des pr\u00e9cisions au vendeur sur les justificatifs transmis, d&#8217;approuver lesdites redditions de charges ou bien d&#8217;indiquer s&#8217;ils estiment qu&#8217;il existe dans ces redditions une erreur de refacturation ou une contestation l\u00e9gitime et caus\u00e9e sur les montants refactur\u00e9s.(&#8230;)\u00bb. Elle ajoute: \u00abA la r\u00e9ception de ces \u00e9l\u00e9ments de documentation certifi\u00e9s par les commissaires aux comptes des parties, celles-ci ne pourront plus solliciter de discussion quant au paiement des r\u00e9gularisations de charges, le s\u00e9questre \u00e9tant alors (&#8230;) autoris\u00e9 \u00e0 verser le montant des sommes en s\u00e9questre au vendeur sans autre formalisme.\u00bb<\/p>\n<p>La cour approuve l\u2019interpr\u00e9tation selon laquelle la contestation ne se limite pas aux erreurs arithm\u00e9tiques: \u00abqu&#8217;elles offraient \u00e0 la preneuse facult\u00e9 de contester ou d&#8217;approuver les erreurs de refacturation qui ne se r\u00e9duisent pas \u00e0 une erreur arithm\u00e9tique\u00bb. La r\u00e9f\u00e9rence, dans l\u2019acte, \u00e0 un tableau de postes et \u00e0 des justificatifs d\u00e9clar\u00e9s par le vendeur ne vaut pas acceptation pr\u00e9alable de principe; elle d\u00e9crit des \u00e9l\u00e9ments unilat\u00e9raux soumis \u00e0 discussion. \u00c0 d\u00e9faut d\u2019expertise amiable ou judiciaire, le juge du fond appr\u00e9cie la r\u00e9gularit\u00e9 des postes au regard du bail.<\/p>\n<p>B \u2013 L\u2019application poste par poste et la confirmation du solde<\/p>\n<p>S\u2019agissant des taxes sur les bureaux et les surfaces de stationnement, la cour retient que \u00ablesdites taxes ne pouvaient concerner que ceux-ci, \u00e0 savoir le volume 8, \u00e0 l&#8217;exclusion, en particulier, des emplacements de parking\u00bb. La preneuse ne dispose que d\u2019un droit d\u2019acc\u00e8s pour sa client\u00e8le, sans contrepartie de loyer, ce qui exclut l\u2019imputation de la taxe relative aux parkings. Le quantum arr\u00eat\u00e9 pour ce poste ne pr\u00eate pas \u00e0 critique.<\/p>\n<p>Pour les assurances, la cour confirme l\u2019assiette limit\u00e9e au seul volume lou\u00e9 et la r\u00e9partition selon les surfaces, \u00e9cartant une minoration non \u00e9tay\u00e9e. Les charges de copropri\u00e9t\u00e9 sont imput\u00e9es conform\u00e9ment \u00e0 l\u2019article 9 du bail, en proportion de la surface du local par rapport \u00e0 l\u2019ensemble de l\u2019immeuble, la th\u00e8se d\u2019une contribution restreinte aux seuls \u00e9l\u00e9ments du lot \u00e9tant justement rejet\u00e9e. Les charges de parking d\u2019utilit\u00e9 commune, non contest\u00e9es en appel, demeurent telles qu\u2019\u00e9valu\u00e9es. Enfin, les taxes fonci\u00e8res sont cantonn\u00e9es aux ann\u00e9es et surfaces pertinentes, apr\u00e8s exclusion des stationnements et prise en compte des paiements d\u00e9j\u00e0 effectu\u00e9s.<\/p>\n<p>Au terme de ce contr\u00f4le, l\u2019analyse des premiers juges est int\u00e9gralement valid\u00e9e; la cour constate que \u00abIl s&#8217;\u00e9vince, par cons\u00e9quent, de tout ce qui pr\u00e9c\u00e8de que le jugement m\u00e9rite confirmation\u00bb. Le solde ressort en faveur de la preneuse \u00e0 hauteur de 19.301,30 euros, l\u2019appel principal \u00e9tant rejet\u00e9 et l\u2019appel incident sur\u00e9valuant le trop-per\u00e7u.
