Le preneur avait donn\u00e9 cong\u00e9 pour le 1er janvier 2024 puis invoqu\u00e9 des manquements du bailleur pour obtenir une r\u00e9siliation anticip\u00e9e au 22 juillet 2021. La question centrale portait sur le caract\u00e8re suffisamment grave des manquements reproch\u00e9s au bailleur pour justifier cette r\u00e9siliation judiciaire. Le tribunal a d\u00e9bout\u00e9 le locataire de sa demande et l&#8217;a condamn\u00e9 au paiement des loyers et charges impay\u00e9s.<\/p>\n<p>La gravit\u00e9 des manquements invoqu\u00e9s par le preneur n&#8217;est pas \u00e9tablie.<\/p>\n<p>Le tribunal rappelle d&#8217;abord que la r\u00e9siliation judiciaire suppose une inex\u00e9cution suffisamment grave des obligations contractuelles. Il constate que les \u00e9changes post\u00e9rieurs au cong\u00e9 visaient \u00e0 obtenir un d\u00e9part anticip\u00e9 que le bailleur n&#8217;\u00e9tait pas tenu d&#8217;accepter. Le juge souligne ainsi que <em>&#8220;les courriels adress\u00e9s \u00e0 la bailleresse \u00e0 compter du 27 octobre 2020, un mois apr\u00e8s l&#8217;avoir inform\u00e9e de sa volont\u00e9 de r\u00e9silier le bail \u00e0 la date du 1er janvier 2024, avaient manifestement pour objectif de trouver un accord pour une r\u00e9siliation anticip\u00e9e&#8221;<\/em> (Motifs). Le refus du bailleur de n\u00e9gocier une sortie anticip\u00e9e ne constitue donc pas un manquement contractuel.<\/p>\n<p>La port\u00e9e de cette solution est de rappeler que le locataire ne peut se pr\u00e9valoir de sa propre initiative de quitter les lieux pour imputer au bailleur un d\u00e9faut de coop\u00e9ration. Le sens de la d\u00e9cision est de cantonner l&#8217;obligation de bonne foi \u00e0 l&#8217;ex\u00e9cution du contrat en cours, sans exiger du bailleur qu&#8217;il favorise une rupture anticip\u00e9e. Le tribunal ajoute que le projet de cession pr\u00e9sent\u00e9 tardivement n&#8217;\u00e9tait pas conforme aux formalit\u00e9s contractuelles, privant ainsi tout grief d&#8217;une base s\u00e9rieuse.<\/p>\n<p>Le bailleur est fond\u00e9 \u00e0 r\u00e9clamer les loyers et charges jusqu&#8217;au terme du cong\u00e9.<\/p>\n<p>Le tribunal applique le principe selon lequel le contrat tient lieu de loi entre les parties et que le preneur reste tenu au paiement jusqu&#8217;\u00e0 l&#8217;effet du cong\u00e9. Il constate que <em>&#8220;la S.A. NIBELIS est rest\u00e9e tenue au paiement des loyers et charges, tels que pr\u00e9vus par le bail litigieux, jusqu&#8217;au 1er janvier 2024&#8221;<\/em> (Motifs). La demande reconventionnelle du bailleur est donc accueillie \u00e0 hauteur de 72 657,96 euros apr\u00e8s d\u00e9duction du d\u00e9p\u00f4t de garantie.<\/p>\n<p>La valeur de cette solution est de rappeler le caract\u00e8re commutatif du bail commercial, o\u00f9 chaque partie doit ex\u00e9cuter ses obligations tant que le contrat n&#8217;est pas r\u00e9sili\u00e9. La port\u00e9e est de d\u00e9courager les strat\u00e9gies contentieuses visant \u00e0 obtenir une r\u00e9siliation anticip\u00e9e sans manquement \u00e9tabli du cocontractant.
