Un salari\u00e9 a \u00e9t\u00e9 engag\u00e9 en octobre 2016 par une soci\u00e9t\u00e9 en qualit\u00e9 de responsable commercial et directeur d&#8217;usine, sous contrat \u00e0 dur\u00e9e ind\u00e9termin\u00e9e. Il a \u00e9t\u00e9 licenci\u00e9 pour motif \u00e9conomique en mars 2022 et a adh\u00e9r\u00e9 au contrat de s\u00e9curisation professionnelle. La soci\u00e9t\u00e9 a \u00e9t\u00e9 plac\u00e9e en liquidation judiciaire en mai 2022. Le liquidateur a contest\u00e9 l&#8217;existence m\u00eame du contrat de travail, soutenu par l&#8217;association de garantie des salaires, en arguant que le salari\u00e9 \u00e9tait \u00e9galement dirigeant d&#8217;une autre soci\u00e9t\u00e9 exer\u00e7ant une activit\u00e9 connexe, ce qui aurait priv\u00e9 la relation de tout lien de subordination.<\/p>\n<p>Par jugement du 29 novembre 2024, le conseil de prud&#8217;hommes de Montb\u00e9liard s&#8217;est d\u00e9clar\u00e9 comp\u00e9tent et a fix\u00e9 diverses cr\u00e9ances au passif de la liquidation. L&#8217;association de garantie des salaires et le liquidateur ont interjet\u00e9 appel. Devant la cour, ces derniers soutenaient que le contrat de travail \u00e9tait fictif, invoquant le cumul de fonctions de dirigeant du salari\u00e9 au sein d&#8217;une soci\u00e9t\u00e9 concurrente et l&#8217;absence de lien de subordination. Le salari\u00e9 contestait cette analyse et sollicitait la confirmation de la d\u00e9cision de premi\u00e8re instance.<\/p>\n<p>La question de droit centrale \u00e9tait de savoir si l&#8217;existence d&#8217;une activit\u00e9 de dirigeant d&#8217;une soci\u00e9t\u00e9 distincte \u00e9tait de nature \u00e0 \u00e9carter la qualification de contrat de travail, alors qu&#8217;un contrat apparent existait et qu&#8217;aucun mandat social n&#8217;avait \u00e9t\u00e9 confi\u00e9 au sein de la soci\u00e9t\u00e9 employeur. La cour a jug\u00e9 que la partie qui conteste l&#8217;existence d&#8217;un contrat de travail apparent doit rapporter la preuve de son caract\u00e8re fictif. Elle a estim\u00e9 que cette preuve n&#8217;\u00e9tait pas rapport\u00e9e en l&#8217;esp\u00e8ce. Elle a \u00e9galement statu\u00e9 sur la prescription des cr\u00e9ances salariales et sur le sort de l&#8217;indemnit\u00e9 de pr\u00e9avis.<\/p>\n<h2 id=\"i-la-confirmation-de-lexistence-dun-contrat-de-travail-malgre-la-contestation-de\">I. La confirmation de l&#8217;existence d&#8217;un contrat de travail malgr\u00e9 la contestation de sa fictivit\u00e9<\/h2>\n<p><\/p>\n<h3 id=\"a-la-presomption-de-validite-du-contrat-apparent-et-la-charge-de-la-preuve\">A. La pr\u00e9somption de validit\u00e9 du contrat apparent et la charge de la preuve<\/h3>\n<p>La Cour d&#8217;appel de Besan\u00e7on rappelle que l&#8217;existence d&#8217;une relation de travail d\u00e9pend des conditions de fait dans lesquelles l&#8217;activit\u00e9 est exerc\u00e9e, non de la volont\u00e9 des parties. En pr\u00e9sence d&#8217;un contrat de travail apparent, la charge de la preuve de son caract\u00e8re fictif p\u00e8se sur celui qui le conteste. La cour constate l&#8217;existence d&#8217;un contrat \u00e9crit sign\u00e9 le 30 septembre 2016, pr\u00e9cisant le sup\u00e9rieur hi\u00e9rarchique, et des bulletins de paie r\u00e9guli\u00e8rement \u00e9mis. Ces \u00e9l\u00e9ments caract\u00e9risent un contrat de travail apparent. Elle applique ainsi le principe selon lequel <em>&#8220;en pr\u00e9sence d&#8217;un contrat de travail apparent et dans la mesure o\u00f9 son titulaire n&#8217;a pas \u00e9t\u00e9 pr\u00e9alablement investi d&#8217;un mandat social au sein de la soci\u00e9t\u00e9 qui l&#8217;emploie, c&#8217;est \u00e0 la partie qui conteste l&#8217;existence de ce contrat de rapporter la preuve de son caract\u00e8re fictif&#8221;<\/em>. Le liquidateur et l&#8217;association de garantie des salaires \u00e9chouent \u00e0 d\u00e9montrer cette fictivit\u00e9, faute de pi\u00e8ces suffisantes. La cour rel\u00e8ve que le salari\u00e9 a bien \u00e9t\u00e9 licenci\u00e9 par courrier sign\u00e9 par son sup\u00e9rieur hi\u00e9rarchique direct, ce qui d\u00e9montre l&#8217;exercice du pouvoir de direction. Les seuls \u00e9l\u00e9ments avanc\u00e9s, \u00e0 savoir la direction d&#8217;une soci\u00e9t\u00e9 connexe et des flux financiers all\u00e9gu\u00e9s, ne sont pas \u00e9tay\u00e9s par des preuves tangibles.<\/p>\n<h3 id=\"b-labsence-de-demonstration-dune-incompatibilite-entre-les-fonctions-de-dirigean\">B. L&#8217;absence de d\u00e9monstration d&#8217;une incompatibilit\u00e9 entre les fonctions de dirigeant et le statut de salari\u00e9<\/h3>\n<p>La cour examine l&#8217;argument selon lequel le salari\u00e9, dirigeant d&#8217;une soci\u00e9t\u00e9 exer\u00e7ant une activit\u00e9 connexe, ne pouvait \u00eatre li\u00e9 par un lien de subordination. Elle consid\u00e8re que le cumul d&#8217;un mandat social dans une soci\u00e9t\u00e9 distincte et d&#8217;un contrat de travail dans une autre n&#8217;est pas en soi inconciliable avec l&#8217;existence d&#8217;un lien de subordination \u00e0 l&#8217;\u00e9gard de cette derni\u00e8re. La cour souligne que le salari\u00e9 ne disposait d&#8217;aucun mandat social au sein de la soci\u00e9t\u00e9 employeur et qu&#8217;aucun lien capitalistique entre les deux soci\u00e9t\u00e9s n&#8217;\u00e9tait av\u00e9r\u00e9. Elle \u00e9carte \u00e9galement les arguments tir\u00e9s du montant \u00e9lev\u00e9 du salaire ou de la non-prise de cong\u00e9s, estimant qu&#8217;ils ne caract\u00e9risent pas un comportement de g\u00e9rant de fait. En retenant que le salari\u00e9 exer\u00e7ait bien son activit\u00e9 sous l&#8217;autorit\u00e9 d&#8217;un sup\u00e9rieur hi\u00e9rarchique qui lui donnait des directives et pouvait le licencier, la cour confirme l&#8217;existence du lien de subordination. Cette solution est coh\u00e9rente avec la jurisprudence qui retient que le lien de subordination se caract\u00e9rise par l&#8217;ex\u00e9cution d&#8217;un travail sous l&#8217;autorit\u00e9 d&#8217;un employeur, pouvoir de donner des ordres, d&#8217;en contr\u00f4ler l&#8217;ex\u00e9cution et de sanctionner les manquements.<\/p>\n<h2 id=\"ii-le-sort-des-creances-salariales-entre-prescription-et-garantie-de-lags\">II. Le sort des cr\u00e9ances salariales entre prescription et garantie de l&#8217;AGS<\/h2>\n<p><\/p>\n<h3 id=\"a-la-distinction-entre-la-prescription-annale-de-lindemnite-de-licenciement-et-l\">A. La distinction entre la prescription annale de l&#8217;indemnit\u00e9 de licenciement et la prescription triennale des autres cr\u00e9ances<\/h3>\n<p>La cour distingue deux r\u00e9gimes de prescription. D&#8217;une part, la demande d&#8217;indemnit\u00e9 de licenciement est soumise \u00e0 la prescription annale de l&#8217;article L. 1471-1 du code du travail, ce qui la rend irrecevable en l&#8217;esp\u00e8ce. D&#8217;autre part, les cr\u00e9ances de nature salariale (salaire de la p\u00e9riode d&#8217;activit\u00e9, indemnit\u00e9 compensatrice de cong\u00e9s pay\u00e9s, solde d&#8217;indemnit\u00e9 de pr\u00e9avis) rel\u00e8vent de la prescription triennale de l&#8217;article L. 3245-1 du m\u00eame code. La cour pr\u00e9cise que la prescription du droit \u00e0 cong\u00e9s pay\u00e9s ne commence \u00e0 courir que lorsque l&#8217;employeur a mis le salari\u00e9 en mesure d&#8217;exercer ce droit en temps utile. En l&#8217;esp\u00e8ce, l&#8217;employeur n&#8217;ayant pas d\u00e9montr\u00e9 avoir accompli les diligences n\u00e9cessaires, la prescription n&#8217;a pas couru. Le salari\u00e9, sorti des effectifs le 15 avril 2022 et ayant saisi la juridiction prud&#8217;homale le 10 juillet 2023, voit ses demandes de salaire et de cong\u00e9s pay\u00e9s non prescrites. La cour confirme la fixation au passif de la liquidation des sommes dues au titre du salaire d&#8217;avril 2022 et de l&#8217;indemnit\u00e9 compensatrice de cong\u00e9s pay\u00e9s. En revanche, elle infirme la d\u00e9cision concernant les cong\u00e9s pay\u00e9s sur le solde d&#8217;indemnit\u00e9 de pr\u00e9avis, estimant que ces cong\u00e9s ne sont dus que pour les jours acquis et non pris \u00e0 la fin du d\u00e9lai de r\u00e9flexion, et non sur l&#8217;indemnit\u00e9 elle-m\u00eame.<\/p>\n<h3 id=\"b-les-modalites-de-la-garantie-de-lags-et-le-sort-des-depens\">B. Les modalit\u00e9s de la garantie de l&#8217;AGS et le sort des d\u00e9pens<\/h3>\n<p>La cour se prononce sur la garantie de l&#8217;association de gestion du r\u00e9gime de garantie des cr\u00e9ances des salari\u00e9s. Elle rappelle que le mandataire judiciaire n&#8217;a pas \u00e0 justifier pr\u00e9alablement de l&#8217;insuffisance des fonds disponibles pour actionner la garantie subsidiaire, sauf en cas de sauvegarde. <em>&#8220;Sauf en cas de sauvegarde, le mandataire judiciaire n&#8217;a pas \u00e0 justifier pr\u00e9alablement \u00e0 l&#8217;AGS de l&#8217;insuffisance des fonds disponibles&#8221;<\/em> (Com. 7 juillet 2023 n\u00b0 22-17.902, Publi\u00e9 au bulletin). Cette pr\u00e9cision \u00e9carte la demande de l&#8217;AGS qui entendait conditionner son intervention \u00e0 la d\u00e9monstration pr\u00e9alable de l&#8217;absence de fonds par le liquidateur. La cour confirme le jugement sur ce point, pr\u00e9cisant que la garantie de l&#8217;AGS reste subsidiaire mais que sa mise en \u0153uvre ne n\u00e9cessite pas une justification pr\u00e9alable d&#8217;insuffisance d&#8217;actif. Enfin, la cour condamne in solidum le liquidateur et l&#8217;AGS aux d\u00e9pens d&#8217;appel, confirmant ainsi leur qualit\u00e9 de parties perdantes. Les salari\u00e9s mis \u00e0 disposition ne sont pas \u00e9ligibles dans l&#8217;entreprise utilisatrice. <\/p>\n<p>Les salari\u00e9s mis \u00e0 disposition qui remplissent les conditions mentionn\u00e9es au premier alin\u00e9a choisissent s&#8217;ils exercent leur droit de vote dans l&#8217;entreprise qui les emploie ou l&#8217;entreprise utilisatrice.<\/p>\n<\/div>\n<\/div>\n<div class=\"fj-article\">\n<h3><a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036762126\" rel=\"nofollow\" target=\"_blank\">Article L. 1471-1 du Code du travail<\/a> <span class=\"fj-badge fj-en-vigueur\">En vigueur<\/span><\/h3>\n<div class=\"fj-texte\">\n<p>Toute action portant sur l&#8217;ex\u00e9cution du contrat de travail se prescrit par deux ans \u00e0 compter du jour o\u00f9 celui qui l&#8217;exerce a connu ou aurait d\u00fb conna\u00eetre les faits lui permettant d&#8217;exercer son droit. <\/p>\n<p>Toute action portant sur la rupture du contrat de travail se prescrit par douze mois \u00e0 compter de la notification de la rupture. <\/p>\n<p>Les deux premiers alin\u00e9as ne sont toutefois pas applicables aux actions en r\u00e9paration d&#8217;un dommage corporel caus\u00e9 \u00e0 l&#8217;occasion de l&#8217;ex\u00e9cution du contrat de travail, aux actions en paiement ou en r\u00e9p\u00e9tition du salaire et aux actions exerc\u00e9es en application des articles L. 1132-1, L. 1152-1 et L. 1153-1.
