La r\u00e9paration du pr\u00e9judice subi par les vendeurs du fait de la proc\u00e9dure<\/a><\/li>\n<li class=\"toc-h2\"><a href=\"#jurisprudences-utilisees-pour-enrichir-le-commentaire\">Jurisprudences utilis\u00e9es pour enrichir le commentaire<\/a><\/li>\n<li class=\"toc-h2\"><a href=\"#fondements-juridiques\">Fondements juridiques<\/a><\/li>\n<\/ul>\n<\/nav>\n<p>Le 28 avril 2026, la Cour d&#8217;appel d&#8217;Aix-en-Provence (Chambre 1-1, n\u00b021\/14247) \u00e9tait saisie d&#8217;un litige portant sur la formation d&#8217;un contrat de vente immobili\u00e8re. Un acqu\u00e9reur potentiel avait formul\u00e9 plusieurs offres d&#8217;achat sur un bien appartenant \u00e0 deux \u00e9poux en instance de divorce. Faute d&#8217;avoir obtenu la signature d&#8217;un compromis, il assigna les vendeurs afin de voir d\u00e9clarer la vente parfaite et obtenir des dommages-int\u00e9r\u00eats. Le tribunal judiciaire avait rejet\u00e9 ses demandes et condamn\u00e9 l&#8217;acqu\u00e9reur \u00e0 verser des dommages-int\u00e9r\u00eats aux vendeurs pour proc\u00e9dure abusive. L&#8217;acqu\u00e9reur interjeta appel, soutenant que son offre du 15 janvier 2018, sign\u00e9e par l&#8217;\u00e9poux seul avec la mention <em>&#8220;lu et approuv\u00e9&#8221;<\/em>, et divers \u00e9changes avec l&#8217;\u00e9pouse d\u00e9montraient un accord sur la chose et le prix. Les vendeurs contestaient toute rencontre des volont\u00e9s, l&#8217;\u00e9pouse n&#8217;ayant jamais accept\u00e9 l&#8217;offre et le mari ne pouvant engager seul l&#8217;indivision. La question de droit \u00e9tait de savoir si une offre d&#8217;achat accept\u00e9e par un seul propri\u00e9taire d&#8217;un bien indivis pouvait former la vente, et si le comportement des vendeurs caract\u00e9risait une rupture abusive des pourparlers. La cour d&#8217;appel confirma le rejet de la demande de vente parfaite et des dommages-int\u00e9r\u00eats de l&#8217;acqu\u00e9reur, mais r\u00e9forma le jugement en augmentant le montant des dommages-int\u00e9r\u00eats allou\u00e9s aux vendeurs pour le pr\u00e9judice subi du fait de la proc\u00e9dure.<\/p>\n<h2 id=\"i-lexigence-dun-consentement-unanime-des-indivisaires-pour-la-formation-du-contr\">I. L&#8217;exigence d&#8217;un consentement unanime des indivisaires pour la formation du contrat de vente<\/h2>\n<p>La solution retenue par la cour d&#8217;appel s&#8217;inscrit dans une application rigoureuse du principe du consensualisme, temp\u00e9r\u00e9e par les r\u00e8gles propres \u00e0 l&#8217;indivision. Le consentement de chaque indivisaire est une condition n\u00e9cessaire \u00e0 la perfection de la vente, ce que la cour \u00e9tablit clairement.<\/p>\n<h3 id=\"a-labsence-de-rencontre-des-volontes-sur-la-chose-et-le-prix\">A. L&#8217;absence de rencontre des volont\u00e9s sur la chose et le prix<\/h3>\n<p>L&#8217;article 1583 du code civil dispose que la vente est parfaite d\u00e8s l&#8217;accord sur la chose et le prix, quelle que soit la forme de la manifestation de volont\u00e9. La cour rappelle que le contrat est form\u00e9 par la rencontre d&#8217;une offre et d&#8217;une acceptation non \u00e9quivoques. En l&#8217;esp\u00e8ce, l&#8217;offre du 11 d\u00e9cembre 2017, valable jusqu&#8217;au 25 d\u00e9cembre 2017, n&#8217;a re\u00e7u aucune acceptation avant cette date. L&#8217;offre du 15 janvier 2018, bien que sign\u00e9e par l&#8217;\u00e9poux, n&#8217;a pas \u00e9t\u00e9 accept\u00e9e par l&#8217;\u00e9pouse, \u00e9galement propri\u00e9taire. La cour \u00e9carte la valeur probante de l&#8217;attestation d&#8217;un tiers et des \u00e9changes de SMS, estimant que <em>&#8220;le SMS, produit en premi\u00e8re page de ladite pi\u00e8ce 13 de M. [F], est \u00e9galement sans emport sur la preuve qu&#8217;il incombe \u00e0 l&#8217;appelant de rapporter quant \u00e0 la rencontre des volont\u00e9s sur une offre et une acceptation au prix fix\u00e9&#8221;<\/em>. Les atermoiements de l&#8217;acqu\u00e9reur, qui formula par la suite une offre \u00e0 un prix inf\u00e9rieur, confirment l&#8217;absence d&#8217;accord d\u00e9finitif. La cour en d\u00e9duit que la preuve d&#8217;un consentement mutuel et non \u00e9quivoque n&#8217;est pas rapport\u00e9e.<\/p>\n<h3 id=\"b-limpossibilite-pour-un-indivisaire-dengager-seul-ses-coindivisaires\">B. L&#8217;impossibilit\u00e9 pour un indivisaire d&#8217;engager seul ses co\u00efndivisaires<\/h3>\n<p>Le bien \u00e9tant la propri\u00e9t\u00e9 indivise des deux \u00e9poux, l&#8217;acceptation de l&#8217;offre devait \u00e9maner de tous les propri\u00e9taires. La cour souligne que l&#8217;offre du 15 janvier 2018 a \u00e9t\u00e9 r\u00e9dig\u00e9e <em>&#8220;entre Monsieur [F] et M. [N], seul, alors qu&#8217;il n&#8217;est pas contest\u00e9 qu&#8217;\u00e0 cette date, Madame [N] \u00e9tait \u00e9galement propri\u00e9taire du bien en cause&#8221;<\/em>. Aucune pi\u00e8ce ne d\u00e9montre que l&#8217;\u00e9pouse y a consenti. La transmission des diagnostics par cette derni\u00e8re <em>&#8220;ne manifeste nullement son accord, mais proc\u00e8de seulement de la manifestation de sa volont\u00e9 d&#8217;une bonne information de l&#8217;acqu\u00e9reur&#8221;<\/em>. Cette position est conforme \u00e0 la jurisprudence qui exige l&#8217;accord de tous les indivisaires : <em>&#8220;Lorsque la propri\u00e9t\u00e9 du bien est indivise, l&#8217;acceptation de l&#8217;offre doit, pour produire ses effets, \u00e9maner de tous ceux qui en sont propri\u00e9taires&#8221;<\/em> <strong><a href=\"https:\/\/www.courdecassation.fr\/decision\/67b57a5f9c6a9cb4e04650ea\" rel=\"nofollow\" target=\"_blank\">(Cour d&#8217;appel d&#8217;Aix-en-Provence, 18 f\u00e9vrier 2025, n\u00b021\/01080)<\/a><\/strong>. La cour ajoute que, m\u00eame si l&#8217;\u00e9pouse avait manifest\u00e9 une volont\u00e9 tacite, elle n&#8217;avait pas mandat de ses co\u00efndivisaires pour accepter l&#8217;offre, comme le rappelle une autre d\u00e9cision : <em>&#8220;Quand bien m\u00eame son attitude d\u00e9montrerait sa volont\u00e9 tacite d&#8217;accepter cette offre, elle n&#8217;avait pas mandat pour ce faire de la part de ses coindivisaires&#8221;<\/em> <strong><a href=\"https:\/\/www.courdecassation.fr\/decision\/67ca909724597c2a80ff5aa8\" rel=\"nofollow\" target=\"_blank\">(Cour d&#8217;appel de N\u00eemes, 6 mars 2025, n\u00b024\/00213)<\/a><\/strong>. L&#8217;absence de consentement unanime emp\u00eache donc toute formation du contrat.<\/p>\n<h2 id=\"ii-lappreciation-de-la-rupture-des-pourparlers-et-la-reparation-du-prejudice-sub\">II. L&#8217;appr\u00e9ciation de la rupture des pourparlers et la r\u00e9paration du pr\u00e9judice subi par les vendeurs<\/h2>\n<p>La cour examine ensuite si le comportement des vendeurs peut \u00eatre qualifi\u00e9 de fautif et justifier des dommages-int\u00e9r\u00eats pour l&#8217;acqu\u00e9reur. Elle \u00e9carte cette hypoth\u00e8se et, au contraire, r\u00e9pare le pr\u00e9judice caus\u00e9 aux vendeurs par la proc\u00e9dure.<\/p>\n<h3 id=\"a-labsence-de-faute-dans-la-rupture-des-pourparlers\">A. L&#8217;absence de faute dans la rupture des pourparlers<\/h3>\n<p>L&#8217;acqu\u00e9reur soutenait que les vendeurs avaient rompu abusivement les pourparlers, lui causant une perte de chance d&#8217;acqu\u00e9rir le bien. La cour rejette cet argument. Elle rel\u00e8ve que les divergences entre les \u00e9poux, alors en instance de divorce, ne constituent pas un comportement sciemment versatile : <em>&#8220;le fait que les \u00e9poux [N], alors en instance de divorce, aient manifest\u00e9 leur point de vue ind\u00e9pendamment l&#8217;un de l&#8217;autre ne peut leur \u00eatre reproch\u00e9&#8221;<\/em>. Elle ajoute qu&#8217;il ne saurait non plus leur \u00eatre reproch\u00e9 de ne pas avoir averti l&#8217;acqu\u00e9reur de la vente conclue avec un tiers en octobre 2018. Les pourparlers se sont arr\u00eat\u00e9s sans qu&#8217;aucun abus ne soit caract\u00e9ris\u00e9 du fait des vendeurs. La cour en d\u00e9duit que l&#8217;acqu\u00e9reur <em>&#8220;se trouve, en cons\u00e9quence, mal fond\u00e9 en toute demande de dommages et int\u00e9r\u00eats \u00e0 son profit, que ce soit au titre de la perte d&#8217;une chance d&#8217;acqu\u00e9rir, d&#8217;un pr\u00e9judice moral ou d&#8217;une rupture abusive des pourparlers&#8221;<\/em>.<\/p>\n<h3 id=\"b-la-reparation-du-prejudice-subi-par-les-vendeurs-du-fait-de-la-procedure\">B. La r\u00e9paration du pr\u00e9judice subi par les vendeurs du fait de la proc\u00e9dure<\/h3>\n<p>Si l&#8217;acqu\u00e9reur succombe dans ses demandes, les vendeurs ont subi un pr\u00e9judice direct du fait de la proc\u00e9dure. La cour rappelle que les vendeurs ont d\u00fb consigner une partie du prix de vente entre les mains du notaire pour garantir l&#8217;acqu\u00e9reur final contre l&#8217;incertitude pesant sur le droit de propri\u00e9t\u00e9. Ce pr\u00e9judice est \u00e9valu\u00e9 \u00e0 4 000 euros pour chacun. La cour r\u00e9forme le jugement sur ce point, augmentant le montant des dommages-int\u00e9r\u00eats allou\u00e9s. Elle condamne \u00e9galement l&#8217;acqu\u00e9reur \u00e0 verser \u00e0 chaque vendeur la somme de 3 000 euros au titre des frais irr\u00e9p\u00e9tibles, tant en premi\u00e8re instance qu&#8217;en appel.
