Le litige na\u00eet d\u2019un bail consenti en 2012 pour l\u2019exploitation d\u2019un \u00e9tablissement de nuit, incluant clause r\u00e9solutoire en cas d\u2019impay\u00e9 non r\u00e9gularis\u00e9 \u00e0 l\u2019issue d\u2019un commandement. Un commandement de payer est d\u00e9livr\u00e9 le 10 ao\u00fbt 2023, puis le juge des r\u00e9f\u00e9r\u00e9s constate l\u2019acquisition de la clause au 10 septembre 2023, fixe une provision et refuse la suspension. En appel, la locataire conteste la dette, la valeur du d\u00e9compte, et la r\u00e9gularit\u00e9 du bail de 2019 ; le bailleur soutient l\u2019exactitude du d\u00e9compte et la r\u00e9gularit\u00e9 de la mise en \u0153uvre. La question pos\u00e9e touche, d\u2019une part, aux conditions d\u2019octroi d\u2019une provision en r\u00e9f\u00e9r\u00e9 lorsque la dette est discut\u00e9e, d\u2019autre part, \u00e0 l\u2019office du juge des r\u00e9f\u00e9r\u00e9s dans le constat de la clause r\u00e9solutoire et \u00e0 la suspension de ses effets. La cour confirme l\u2019essentiel, am\u00e9nage le quantum de la provision, et pr\u00e9cise les exigences proc\u00e9durales de la suspension.<\/p>\n<p>I \u2013 La provision en r\u00e9f\u00e9r\u00e9 face aux contestations de loyers et charges<\/p>\n<p>A \u2013 Le crit\u00e8re du \u00ab non s\u00e9rieusement contestable \u00bb et l\u2019individualisation du quantum<br \/>\nLe fondement est pos\u00e9 d\u2019embl\u00e9e par l\u2019\u00e9nonc\u00e9 des pouvoirs du juge des r\u00e9f\u00e9r\u00e9s qui peut accorder une provision lorsque l\u2019obligation n\u2019est pas s\u00e9rieusement contestable. La cour rappelle l\u2019office concret en affirmant que \u00ab Le montant de la provision allou\u00e9e en r\u00e9f\u00e9r\u00e9 n&#8217;a d&#8217;autre limite que le montant non s\u00e9rieusement contestable de la dette all\u00e9gu\u00e9e, le juge fixant discr\u00e9tionnairement la somme qu&#8217;il convient d&#8217;allouer au requ\u00e9rant. \u00bb Cette formule situe la mesure sur le terrain probatoire, non sur celui de l\u2019urgence, et autorise un calibrage fin.<\/p>\n<p>Les juges du second degr\u00e9 diss\u00e8quent ensuite les \u00e9critures comptables et bancaires, retiennent certaines erreurs ponctuelles du d\u00e9compte et en tirent un chiffrage r\u00e9vis\u00e9. Ils \u00e9noncent ainsi que \u00ab Il en r\u00e9sulte que le quantum des loyers et charges impay\u00e9s n&#8217;est pas s\u00e9rieusement contestable \u00e0 hauteur de 40&#8217;936 euros selon d\u00e9compte arr\u00eat\u00e9 \u00e0 l&#8217;\u00e9ch\u00e9ance de juillet 2023 incluse. \u00bb La r\u00e9duction du quantum illustre la latitude d\u2019appr\u00e9ciation propre \u00e0 la provision, limit\u00e9e \u00e0 ce qui \u00e9chappe \u00e0 une contestation s\u00e9rieuse, sans trancher le fond.<\/p>\n<p>B \u2013 La charge de la preuve des paiements all\u00e9gu\u00e9s et la valeur probatoire des d\u00e9comptes<br \/>\nLa cour examine les paiements revendiqu\u00e9s par la locataire et refuse de leur conf\u00e9rer port\u00e9e lib\u00e9ratoire lorsque le b\u00e9n\u00e9ficiaire n\u2019est pas identifiable. Les seuls mouvements d\u00e9biteurs sur relev\u00e9s ne suffisent pas, en l\u2019absence d\u2019\u00e9l\u00e9ments \u00e9tablissant l\u2019imputation au bailleur. La solution s\u2019inscrit dans une jurisprudence constante qui exige une preuve certaine du paiement et de son affectation.<\/p>\n<p>S\u2019agissant du d\u00e9compte annex\u00e9 au commandement, la cour reconna\u00eet des impr\u00e9cisions en 2023, mais elle neutralise leur effet invalidant en retenant que \u00ab Toutefois, cette impr\u00e9cision, en ce qu&#8217;elle est toute relative, n&#8217;\u00f4te pas au d\u00e9compte sa valeur probante puisqu&#8217;il peut \u00eatre confront\u00e9 aux preuves de paiement produits par la soci\u00e9t\u00e9 appelante. \u00bb L\u2019approche est pragmatique : le d\u00e9compte reste une base cr\u00e9dible si les pi\u00e8ces adverses permettent la confrontation, et seules les erreurs d\u00e9montr\u00e9es conduisent \u00e0 corriger le montant non contestable.<\/p>\n<p>II \u2013 Le constat de la clause r\u00e9solutoire et le contr\u00f4le des demandes de suspension<\/p>\n<p>A \u2013 L\u2019office du juge des r\u00e9f\u00e9r\u00e9s dans le constat de la r\u00e9siliation<br \/>\nLa cour cadre d\u2019abord le r\u00e9gime applicable et souligne que le constat de l\u2019acquisition de la clause r\u00e9solutoire est recevable et peut \u00eatre op\u00e9r\u00e9 en r\u00e9f\u00e9r\u00e9. Elle \u00e9nonce, sur le terrain du pouvoir juridictionnel, que \u00ab En application de ces textes, il est possible, en r\u00e9f\u00e9r\u00e9, de constater la r\u00e9siliation de plein droit d&#8217;un contrat de bail en application d&#8217;une clause r\u00e9solutoire, sans qu&#8217;il soit besoin de caract\u00e9riser une quelconque urgence ou un trouble manifestement illicite, s&#8217;agissant du simple constat de l&#8217;application d&#8217;une clause claire et pr\u00e9cise qui, sauf preuve du contraire, ne se heurte \u00e0 aucune contestation s\u00e9rieuse. \u00bb L\u2019office du juge est bien distinct du prononc\u00e9 de la r\u00e9siliation, qui rel\u00e8ve du fond.<\/p>\n<p>La cour pr\u00e9cise encore la limite de cet office, en relevant que \u00ab En effet, si le prononc\u00e9 de la r\u00e9siliation d&#8217;un contrat suppose une appr\u00e9ciation relevant des juges du fond, le constat de l&#8217;acquisition d&#8217;une clause r\u00e9solutoire entre dans les pouvoirs du juge des r\u00e9f\u00e9r\u00e9s qui s&#8217;assure uniquement de l&#8217;existence de ladite clause et de la r\u00e9gularit\u00e9 de sa mise en &#8216;uvre. \u00bb La m\u00e9thode est classique : v\u00e9rification de la clause, du commandement en la forme, et de l\u2019absence de purge dans le d\u00e9lai. Elle en conclut que \u00ab Ainsi, il est acquis aux d\u00e9bats que les conditions de la r\u00e9siliation de plein droit du bail sont r\u00e9unies depuis le 10 septembre 2023. \u00bb Le pr\u00e9alable de notification aux cr\u00e9anciers inscrits est aussi trait\u00e9, la cour retenant que \u00ab Sa demande en constat de la r\u00e9siliation du bail est donc recevable. \u00bb L\u2019ensemble conforte un contentieux de r\u00e9gularit\u00e9, non de fond.<\/p>\n<p>B \u2013 La suspension des effets : exigences de forme et articulation avec les d\u00e9lais de paiement<br \/>\nLa cour encadre strictement l\u2019examen des demandes et rappelle le p\u00e9rim\u00e8tre de sa saisine. Elle affirme que \u00ab La Cour rappelle en outre qu&#8217;en application de l&#8217;article 954 du Code de proc\u00e9dure civile, elle ne doit statuer que sur les pr\u00e9tentions \u00e9nonc\u00e9es au dispositif des conclusions des parties et qu&#8217;elle ne peut de ce fait se prononcer sur des pr\u00e9tentions qui n&#8217;y seraient pas int\u00e9gr\u00e9es. \u00bb Le rappel est d\u00e9cisif : l\u2019absence de demande de d\u00e9lais au dispositif interdit la suspension.<\/p>\n<p>Le r\u00e9gime de la suspension est d\u2019ailleurs clairement rappel\u00e9 par le texte applicable : \u00ab Aux termes de l&#8217;article L.145-41 alin\u00e9a 2 du Code de commerce, les juges saisis d&#8217;une demande pr\u00e9sent\u00e9e dans les formes et conditions pr\u00e9vues \u00e0 l&#8217;article 1343-5 du code civil, peuvent, en accordant des d\u00e9lais, suspendre la r\u00e9alisation des effets des clauses de r\u00e9siliation, lorsque la r\u00e9siliation n&#8217;est pas constat\u00e9e ou prononc\u00e9e par une d\u00e9cision de justice ayant l&#8217;autorit\u00e9 de chose jug\u00e9e. La clause r\u00e9solutoire ne joue pas si locataire se lib\u00e8re dans les conditions fix\u00e9es par le juge. \u00bb Faute de d\u00e9lais sollicit\u00e9s dans la forme requise, la suspension ne peut prosp\u00e9rer.
