Le bailleur avait d\u00e9livr\u00e9 un commandement de payer visant la clause r\u00e9solutoire, suivi d\u2019une assignation aux fins de constat de la r\u00e9siliation du bail. Le preneur contestait en invoquant l\u2019inex\u00e9cution par le bailleur de son obligation de d\u00e9livrance, en raison de d\u00e9sordres affectant l\u2019\u00e9tanch\u00e9it\u00e9 du local. La question de droit portait sur l\u2019existence d\u2019une contestation s\u00e9rieuse faisant obstacle au constat de la clause r\u00e9solutoire et aux demandes de provision. Le juge a constat\u00e9 l\u2019acquisition de la clause r\u00e9solutoire et condamn\u00e9 le preneur au paiement d\u2019une provision.<\/p>\n<p>La r\u00e9gularit\u00e9 du commandement et l\u2019absence de contestation s\u00e9rieuse sur la dette locative.<\/p>\n<p>Le juge rappelle que le commandement de payer doit permettre au locataire de conna\u00eetre la nature et le montant des sommes r\u00e9clam\u00e9es. Il rel\u00e8ve que l\u2019acte d\u00e9taille la cr\u00e9ance et mentionne le d\u00e9lai d\u2019un mois, conform\u00e9ment \u00e0 l\u2019article L. 145-41 du code de commerce. La r\u00e9gularit\u00e9 formelle du commandement n\u2019est donc pas s\u00e9rieusement contestable.<\/p>\n<p>Le preneur n\u2019a pas acquitt\u00e9 les causes du commandement dans le d\u00e9lai imparti, ce qui est \u00e9tabli par le d\u00e9compte produit. Le d\u00e9faut de paiement est d\u00e8s lors manifestement fautif et justifie le jeu de la clause r\u00e9solutoire. La bonne foi du bailleur n\u2019est pas remise en cause.<\/p>\n<p>La valeur de cette solution est de rappeler le caract\u00e8re automatique de la clause r\u00e9solutoire en r\u00e9f\u00e9r\u00e9. Sa port\u00e9e est d\u2019affirmer que la r\u00e9gularit\u00e9 du commandement suffit \u00e0 \u00e9carter toute contestation sur le principe de la r\u00e9siliation.<\/p>\n<p>L\u2019absence de contestation s\u00e9rieuse sur l\u2019obligation de d\u00e9livrance et les demandes de provision.<\/p>\n<p>Le preneur soutient que le local n\u2019est pas conforme \u00e0 sa destination en raison d\u2019un d\u00e9faut d\u2019\u00e9tanch\u00e9it\u00e9. Le juge estime que les pi\u00e8ces produites, une attestation et un devis, ne sont pas suffisantes pour \u00e9tablir des d\u00e9sordres imputables au bailleur. De plus, le bail contient une clause d\u2019exon\u00e9ration de responsabilit\u00e9 pour vices apparents.<\/p>\n<p>Le preneur ne d\u00e9montre pas avoir \u00e9t\u00e9 dans l\u2019impossibilit\u00e9 d\u2019exploiter son fonds de commerce. D\u00e8s lors, le moyen tir\u00e9 de l\u2019exception d\u2019inex\u00e9cution est d\u00e9pourvu de s\u00e9rieux. L\u2019obligation de payer les loyers n\u2019est pas s\u00e9rieusement contestable.<\/p>\n<p>La port\u00e9e de ce raisonnement est de limiter l\u2019effet suspensif des contestations fond\u00e9es sur des d\u00e9sordres non \u00e9tablis. Le juge des r\u00e9f\u00e9r\u00e9s peut ainsi accorder une provision de 45 000 euros et rejeter la demande reconventionnelle du preneur. Les salari\u00e9s mis \u00e0 disposition ne sont pas \u00e9ligibles dans l&#8217;entreprise utilisatrice. <\/p>\n<p>Les salari\u00e9s mis \u00e0 disposition qui remplissent les conditions mentionn\u00e9es au premier alin\u00e9a choisissent s&#8217;ils exercent leur droit de vote dans l&#8217;entreprise qui les emploie ou l&#8217;entreprise utilisatrice.<\/p>\n<\/div>\n<\/div>\n<div class=\"fj-article\">\n<h3><a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000032042713\" rel=\"nofollow\" target=\"_blank\">Article L. 145-41 du Code de commerce<\/a> <span class=\"fj-badge fj-en-vigueur\">En vigueur<\/span><\/h3>\n<div class=\"fj-texte\">\n<p>Toute clause ins\u00e9r\u00e9e dans le bail pr\u00e9voyant la r\u00e9siliation de plein droit ne produit effet qu&#8217;un mois apr\u00e8s un commandement demeur\u00e9 infructueux. Le commandement doit, \u00e0 peine de nullit\u00e9, mentionner ce d\u00e9lai. <\/p>\n<p>Les juges saisis d&#8217;une demande pr\u00e9sent\u00e9e dans les formes et conditions pr\u00e9vues \u00e0 l&#8217;article 1343-5 du code civil peuvent, en accordant des d\u00e9lais, suspendre la r\u00e9alisation et les effets des clauses de r\u00e9siliation, lorsque la r\u00e9siliation n&#8217;est pas constat\u00e9e ou prononc\u00e9e par une d\u00e9cision de justice ayant acquis l&#8217;autorit\u00e9 de la chose jug\u00e9e.
