La distinction entre l&#8217;obligation d&#8217;information et la prohibition de la cession<\/a><\/li>\n<li class=\"toc-h2\"><a href=\"#jurisprudences-utilisees-pour-enrichir-le-commentaire\">Jurisprudences utilis\u00e9es pour enrichir le commentaire<\/a><\/li>\n<\/ul>\n<\/nav>\n<p>Par un arr\u00eat rendu le 30 avril 2026, la Cour d&#8217;appel d&#8217;Aix-en-Provence (Chambre 1-5, n\u00b025\/00621) s&#8217;est prononc\u00e9e sur la r\u00e9siliation d&#8217;un bail rural verbal pour apport prohib\u00e9 \u00e0 une personne morale.<\/p>\n<p>En 1974, un bail verbal portant sur des parcelles agricoles avait \u00e9t\u00e9 conclu entre le propri\u00e9taire et le p\u00e8re de l&#8217;actuel exploitant. En 1993, ce dernier avait inform\u00e9 le bailleur de la mise \u00e0 disposition des terres au profit d&#8217;une premi\u00e8re EARL. En 2002, une seconde EARL, constitu\u00e9e par le fils, exploitait les parcelles sans en avoir jamais avis\u00e9 le bailleur. Le preneur initial et la seconde EARL soutenaient qu&#8217;un nouveau bail verbal s&#8217;\u00e9tait form\u00e9 par le paiement des fermages, encaiss\u00e9s sans protestation depuis 2007. Les bailleurs, ignorant ce changement, ont assign\u00e9 le preneur initial en r\u00e9siliation pour cession prohib\u00e9e. Le tribunal paritaire des baux ruraux a ordonn\u00e9 la r\u00e9siliation. L&#8217;exploitant et la soci\u00e9t\u00e9 ont interjet\u00e9 appel.<\/p>\n<p>La question de droit centrale \u00e9tait de savoir si l&#8217;absence de mise en demeure pr\u00e9alable par le bailleur, conform\u00e9ment \u00e0 l&#8217;article L. 411-37 du code rural, faisait obstacle \u00e0 la r\u00e9siliation du bail pour cession prohib\u00e9e \u00e0 une personne morale, et si le paiement de fermages par cette soci\u00e9t\u00e9 pouvait caract\u00e9riser un nouveau bail verbal opposable au propri\u00e9taire.<\/p>\n<p>La cour a confirm\u00e9 le jugement, pronon\u00e7ant la r\u00e9siliation du bail verbal originaire et ordonnant l&#8217;expulsion. Elle a jug\u00e9 que le paiement des fermages par la soci\u00e9t\u00e9 n&#8217;\u00e9tablissait pas un accord du bailleur sur un nouveau contrat, et que l&#8217;absence de mise en demeure ne paralysait pas l&#8217;action en r\u00e9siliation d\u00e8s lors que la cession elle-m\u00eame \u00e9tait demeur\u00e9e totalement inconnue du propri\u00e9taire.<\/p>\n<h2 id=\"i-la-caracterisation-dune-cession-prohibee-en-labsence-de-rapport-contractuel-di\">I. La caract\u00e9risation d&#8217;une cession prohib\u00e9e en l&#8217;absence de rapport contractuel direct avec la soci\u00e9t\u00e9 exploitante<\/h2>\n<p><\/p>\n<h3 id=\"a-lexigence-dun-consentement-du-bailleur-a-la-mise-a-disposition-des-terres-agri\">A. L&#8217;exigence d&#8217;un consentement du bailleur \u00e0 la mise \u00e0 disposition des terres agricoles<\/h3>\n<p>La cour d&#8217;appel rappelle qu&#8217;un bail rural verbal ne peut \u00eatre reconnu qu&#8217;\u00e0 la condition que l&#8217;exploitant rapporte la preuve d&#8217;une rencontre de volont\u00e9s sur le caract\u00e8re on\u00e9reux de la mise \u00e0 disposition. En l&#8217;esp\u00e8ce, la seconde EARL produisait des relev\u00e9s bancaires attestant du paiement des fermages depuis 2007. La cour juge que <em>&#8220;ce seul \u00e9l\u00e9ment ne saurait caract\u00e9riser l&#8217;existence d&#8217;un bail \u00e0 ferme verbal puisqu&#8217;il ne permet pas \u00e0 lui seul de d\u00e9montrer l&#8217;existence d&#8217;une rencontre de volont\u00e9 entre les parties pour confier \u00e0 l&#8217;Earl Grand Mas de Goult l&#8217;exploitation des parcelles agricoles&#8221;<\/em> (CA Aix-en-Provence, 30 avril 2026, n\u00b025\/00621). Le paiement unilat\u00e9ral d&#8217;une somme par une soci\u00e9t\u00e9 ne vaut pas accord du propri\u00e9taire, d&#8217;autant que ce dernier n&#8217;avait \u00e9t\u00e9 inform\u00e9 que de l&#8217;apport \u00e0 la premi\u00e8re EARL en 1993. La cour en d\u00e9duit que la soci\u00e9t\u00e9 appelante ne d\u00e9montre pas qu&#8217;elle est devenue preneur \u00e0 bail, m\u00eame implicitement, depuis sa cr\u00e9ation.<\/p>\n<h3 id=\"b-lapport-du-bail-a-une-personne-morale-comme-faute-justifiant-la-resiliation\">B. L&#8217;apport du bail \u00e0 une personne morale comme faute justifiant la r\u00e9siliation<\/h3>\n<p>La d\u00e9cision constate que les parcelles \u00e9taient exploit\u00e9es depuis 1974 au titre d&#8217;un bail verbal consenti aux consorts exploitants. En 1993, le preneur avait r\u00e9guli\u00e8rement inform\u00e9 le bailleur de la mise \u00e0 disposition au profit de la premi\u00e8re EARL. Or, en 2002, la seconde EARL a commenc\u00e9 \u00e0 exploiter les terres sans aucune information pr\u00e9alable. La cour rel\u00e8ve que <em>&#8220;le fait non contest\u00e9 pour l&#8217;Earl Grand Mas de Goult d&#8217;exploiter les parcelles en lieu et place de [Y] [H] caract\u00e9rise en cons\u00e9quence une cession du bail \u00e0 la personne morale&#8221;<\/em>. Cette cession prohib\u00e9e constitue une contravention aux dispositions de l&#8217;article L. 411-35 du code rural. La jurisprudence admet d&#8217;ailleurs que <em>&#8220;l&#8217;article L 411&#8217;37 I du m\u00eame code pr\u00e9voit que le preneur, associ\u00e9 d&#8217;une soci\u00e9t\u00e9 \u00e0 objet principalement agricole, peut mettre \u00e0 la disposition de celle-ci, tout ou partie des biens dont il est locataire, pendant toute la dur\u00e9e pendant laquelle il reste seul titulaire du bail, \u00e0 la condition d&#8217;en aviser le bailleur&#8221;<\/em> <strong><a href=\"https:\/\/www.courdecassation.fr\/decision\/6793332732b173f45a7c8d91\" rel=\"nofollow\" target=\"_blank\">(Cour d&#8217;appel de Limoges, 23 janvier 2025, n\u00b024\/00270)<\/a><\/strong>. En l&#8217;absence d&#8217;avis, la cession est irr\u00e9guli\u00e8re et justifie la r\u00e9siliation.<\/p>\n<h2 id=\"ii-larticulation-entre-labsence-de-mise-en-demeure-et-la-sanction-de-la-cession-\">II. L&#8217;articulation entre l&#8217;absence de mise en demeure et la sanction de la cession prohib\u00e9e<\/h2>\n<p><\/p>\n<h3 id=\"a-la-dispense-de-mise-en-demeure-en-cas-de-cession-occultee-au-bailleur\">A. La dispense de mise en demeure en cas de cession occult\u00e9e au bailleur<\/h3>\n<p>La soci\u00e9t\u00e9 appelante soutenait que la r\u00e9siliation ne pouvait \u00eatre prononc\u00e9e sans que le bailleur ait adress\u00e9 une mise en demeure, conform\u00e9ment au dernier alin\u00e9a de l&#8217;article L. 411-37. La cour \u00e9carte cet argument en distinguant le fondement de la demande. Elle affirme que <em>&#8220;le fondement de la r\u00e9siliation du bail ne r\u00e9sulte pas d&#8217;un d\u00e9faut d&#8217;information de la mise \u00e0 disposition des parcelles agricoles \u00e0 une personne morale, puisque justement le bailleur en ignorait l&#8217;existence&#8221;<\/em>. D\u00e8s lors, le texte conditionnant la r\u00e9siliation \u00e0 une mise en demeure pr\u00e9alable ne s&#8217;applique pas lorsque le manquement reproch\u00e9 n&#8217;est pas le d\u00e9faut d&#8217;information, mais la cession interdite elle-m\u00eame. La cour confirme que la r\u00e9siliation pour cession prohib\u00e9e, fond\u00e9e sur l&#8217;article L. 411-31 II 1\u00b0, n&#8217;exige pas de mise en demeure pr\u00e9alable. La jurisprudence pr\u00e9cise en outre que, pour les changements ant\u00e9rieurs \u00e0 2006, <em>&#8220;la r\u00e9siliation du bail pour d\u00e9faut d&#8217;information des bailleurs sur les changements intervenus dans la mise \u00e0 disposition (&#8230;) n&#8217;est pas soumise \u00e0 la preuve de l&#8217;existence d&#8217;un pr\u00e9judice&#8221;<\/em> <strong>(Cass. 3e civ., 14 novembre 2012, n\u00b011-23.652)<\/strong>.<\/p>\n<h3 id=\"b-la-distinction-entre-lobligation-dinformation-et-la-prohibition-de-la-cession\">B. La distinction entre l&#8217;obligation d&#8217;information et la prohibition de la cession<\/h3>\n<p>La cour op\u00e8re une distinction nette entre la cession prohib\u00e9e du bail \u00e0 une personne morale et le simple d\u00e9faut d&#8217;information sur une mise \u00e0 disposition autoris\u00e9e. Dans le premier cas, le fait pour l&#8217;exploitant de laisser la soci\u00e9t\u00e9 cultiver les terres en ses lieu et place constitue une transmission du droit au bail, prohib\u00e9e par l&#8217;article L. 411-35. Dans le second cas, le preneur qui reste titulaire du bail et se contente de mettre les biens \u00e0 disposition d&#8217;une soci\u00e9t\u00e9 dont il est associ\u00e9 doit seulement en aviser le bailleur. La cour retient qu&#8217;en l&#8217;esp\u00e8ce, la soci\u00e9t\u00e9 exploitante n&#8217;\u00e9tait pas un simple b\u00e9n\u00e9ficiaire d&#8217;une mise \u00e0 disposition, mais agissait comme preneur principal, ce qui caract\u00e9rise une cession. La Haute juridiction a d&#8217;ailleurs jug\u00e9 que <em>&#8220;si l&#8217;\u00e9poux copreneur ne participe pas \u00e0 l&#8217;exploitation du bien lou\u00e9 mis \u00e0 la disposition d&#8217;une soci\u00e9t\u00e9 et n&#8217;est pas non plus associ\u00e9 de cette soci\u00e9t\u00e9, il ne proc\u00e8de pas \u00e0 une cession prohib\u00e9e du bail&#8221;<\/em> <strong><a href=\"https:\/\/www.courdecassation.fr\/decision\/68b92e8ed5d722cabac542b8\" rel=\"nofollow\" target=\"_blank\">(Cass. 3e civ., 4 septembre 2025, n\u00b024-12.792)<\/a><\/strong>.
