Les b\u00e9n\u00e9ficiaires de la promesse, n&#8217;ayant pas obtenu le permis de construire conditionnel, r\u00e9clament le versement de l&#8217;indemnit\u00e9 d&#8217;immobilisation. Le tribunal rejette leurs demandes principales et reconventionnelles, ordonnant la restitution de l&#8217;indemnit\u00e9 s\u00e9questr\u00e9e au promettant. La solution retenue est que la condition suspensive d&#8217;obtention du permis de construire est r\u00e9put\u00e9e non r\u00e9alis\u00e9e, sans faute imputable \u00e0 l&#8217;acqu\u00e9reur.<\/p>\n<p>La qualification juridique de la condition non r\u00e9alis\u00e9e<\/p>\n<p>Le tribunal \u00e9carte d&#8217;abord l&#8217;existence d&#8217;une condition suspensive relative \u00e0 la d\u00e9claration d&#8217;intention d&#8217;ali\u00e9ner. La promesse ne fait pas express\u00e9ment de l&#8217;envoi de la d\u00e9claration pr\u00e9alable une condition suspensive. En tout \u00e9tat de cause, il ressort de la pi\u00e8ce n\u00b05 que le notaire des demandeurs a envoy\u00e9 la d\u00e9claration d&#8217;intention d&#8217;ali\u00e9ner et que la commune n&#8217;a pas entendu exercer son droit de pr\u00e9emption. L&#8217;analyse d\u00e9montre une interpr\u00e9tation stricte de la volont\u00e9 des parties contractantes. Seule la condition express\u00e9ment stipul\u00e9e concernant le permis de construire est donc examin\u00e9e.<\/p>\n<p>Le juge se penche ensuite sur la cause de la non-r\u00e9alisation de la condition suspensive particuli\u00e8re. Le refus du permis est motiv\u00e9 par de multiples non-conformit\u00e9s au plan local d&#8217;urbanisme. Les demandeurs invoquent une clause excluant les refus pour non-respect de r\u00e8gles de base du PLU. Toutefois, ils ne d\u00e9montrent pas en quoi les non-conformit\u00e9s oppos\u00e9es par le maire seraient des r\u00e8gles de base du PLU. La d\u00e9cision souligne l&#8217;absence de preuve quant \u00e0 une \u00e9tude de faisabilit\u00e9 pr\u00e9alable du projet. Cette appr\u00e9ciation in concreto permet de qualifier la cause du refus.<\/p>\n<p>L&#8217;absence de faute de l&#8217;acqu\u00e9reur dans l&#8217;\u00e9chec de la condition<\/p>\n<p>Le tribunal applique le principe d\u00e9duit de l&#8217;article 1178 du code civil. Il s&#8217;en d\u00e9duit que lorsque la non r\u00e9alisation de la condition suspensive n&#8217;est pas imputable \u00e0 l&#8217;acqu\u00e9reur, la condition ne peut \u00eatre r\u00e9put\u00e9e accomplie. Le juge constate que le refus est li\u00e9 \u00e0 des contraintes objectives du PLU, ind\u00e9pendantes de la volont\u00e9 du b\u00e9n\u00e9ficiaire. D\u00e8s lors, la non-r\u00e9alisation de la condition suspensive d&#8217;obtention du permis de conduire tel que d\u00e9fini \u00e0 la promesse n&#8217;\u00e9tait pas due au fait, \u00e0 la faute ou \u00e0 la n\u00e9gligence de l&#8217;acqu\u00e9reur. La solution \u00e9carte ainsi toute id\u00e9e de comportement d\u00e9loyal ou n\u00e9gligent.<\/p>\n<p>La cons\u00e9quence principale est l&#8217;absence de droit \u00e0 l&#8217;indemnit\u00e9 d&#8217;immobilisation pour les promettants. Le tribunal estime inutile de v\u00e9rifier le respect du d\u00e9lai de d\u00e9p\u00f4t du dossier de permis. Sa demande aurait \u00e9t\u00e9 rejet\u00e9e compte tenu des contraintes li\u00e9es au PLU. Cette position rejoint une jurisprudence r\u00e9cente sur l&#8217;ind\u00e9pendance des conditions. &#8220;Les conditions suspensives ins\u00e9r\u00e9es \u00e0 la promesse de vente, rappel\u00e9es supra, \u00e9tant ind\u00e9pendantes les unes des autres&#8221; (Cour d&#8217;appel de Bordeaux, le 30 octobre 2025, n\u00b022\/02664). La non-r\u00e9alisation d&#8217;une condition, non imputable \u00e0 l&#8217;acqu\u00e9reur, fait retour \u00e0 la situation ant\u00e9rieure.<\/p>\n<p>La port\u00e9e de la d\u00e9cision sur la r\u00e9daction des clauses contractuelles<\/p>\n<p>L&#8217;arr\u00eat rappelle l&#8217;importance d&#8217;une r\u00e9daction pr\u00e9cise et compl\u00e8te des conditions suspensives. La notion vague de r\u00e8gles de base du PLU a \u00e9t\u00e9 jug\u00e9e insuffisante pour cr\u00e9er une s\u00e9curit\u00e9 juridique. Les divergences d&#8217;interpr\u00e9tation sur le calcul de l&#8217;emprise au sol d\u00e9montrent ce flou. Cette s\u00e9v\u00e9rit\u00e9 incite les r\u00e9dacteurs d&#8217;actes \u00e0 d\u00e9finir exhaustivement les cas d&#8217;exclusion. La clause litigieuse, laissant une place \u00e0 l&#8217;incertitude, n&#8217;a pas produit l&#8217;effet protecteur escompt\u00e9 par les b\u00e9n\u00e9ficiaires.<\/p>\n<p>La solution consacre une interpr\u00e9tation protectrice de l&#8217;acqu\u00e9reur de bonne foi face \u00e0 un al\u00e9a administratif. Elle rejoint l&#8217;id\u00e9e qu&#8217;un refus fond\u00e9 sur des r\u00e8gles d&#8217;urbanisme complexes n&#8217;est pas n\u00e9cessairement imputable au demandeur. &#8220;L&#8217;argument d\u00e9velopp\u00e9 selon lequel elle n&#8217;aurait pas obtenu son permis de construire est pertinent, eu \u00e9gard \u00e0 l&#8217;opposition form\u00e9e par la commune&#8221; (Cour d&#8217;appel de Chamb\u00e9ry, le 9 septembre 2025, n\u00b022\/01795). La d\u00e9cision \u00e9carte ainsi la responsabilit\u00e9 de l&#8217;acqu\u00e9reur lorsque l&#8217;\u00e9chec proc\u00e8de d&#8217;un obstacle ext\u00e9rieur et certain.
