Le salari\u00e9 contestait la r\u00e9gularit\u00e9 de son licenciement en invoquant l&#8217;existence d&#8217;un co-emploi avec la soci\u00e9t\u00e9 m\u00e8re et le manquement \u00e0 l&#8217;obligation de reclassement. La cour rejette l&#8217;ensemble des demandes du salari\u00e9 et confirme le jugement de premi\u00e8re instance. Elle pr\u00e9cise les crit\u00e8res du co-emploi au sein d&#8217;un groupe et les modalit\u00e9s de la recherche de reclassement en p\u00e9riode de liquidation.<\/p>\n<p>Les crit\u00e8res stricts de la reconnaissance d&#8217;un co-emploi<\/p>\n<p>La cour rappelle les conditions n\u00e9cessaires pour \u00e9tablir une situation de co-emploi entre soci\u00e9t\u00e9s d&#8217;un m\u00eame groupe. Elle applique une d\u00e9finition exigeante qui d\u00e9passe la simple coordination \u00e9conomique. &#8220;Hors l&#8217;existence d&#8217;un lien de subordination, une soci\u00e9t\u00e9 faisant partie d&#8217;un groupe ne peut \u00eatre qualifi\u00e9e de coemployeur du personnel employ\u00e9 par une autre que s&#8217;il existe, au-del\u00e0 de la n\u00e9cessaire coordination des actions \u00e9conomiques entre les soci\u00e9t\u00e9s appartenant \u00e0 un m\u00eame groupe et de l&#8217;\u00e9tat de domination \u00e9conomique que cette appartenance peut engendrer, une immixtion permanente de cette soci\u00e9t\u00e9 dans la gestion \u00e9conomique et sociale de la soci\u00e9t\u00e9 employeur, conduisant \u00e0 la perte totale d&#8217;autonomie d&#8217;action de cette derni\u00e8re.&#8221; (Motifs de la d\u00e9cision) Cette formulation rejoint la jurisprudence ant\u00e9rieure qui exige une confusion d&#8217;int\u00e9r\u00eats, d&#8217;activit\u00e9s et de direction. La cour d&#8217;appel de Paris a d\u00e9j\u00e0 jug\u00e9 qu&#8217;il fallait une &#8220;immixtion dans la gestion \u00e9conomique et sociale&#8221; de la filiale (Cour d&#8217;appel de Paris, le 28 janvier 2026, n\u00b022\/07447). L&#8217;arr\u00eat comment\u00e9 en reprend l&#8217;esprit en insistant sur la perte d&#8217;autonomie.<\/p>\n<p>En l&#8217;esp\u00e8ce, la cour \u00e9carte la qualification de co-emploi malgr\u00e9 l&#8217;existence d&#8217;un comit\u00e9 de surveillance commun. Elle estime que les seuils d&#8217;intervention de ce comit\u00e9, concernant des op\u00e9rations non courantes et significatives, laissaient une marge de manoeuvre importante \u00e0 la filiale. La pr\u00e9sence de services supports propres et d&#8217;un effectif distinct d\u00e9montre une autonomie de gestion. La cour souligne l&#8217;absence d&#8217;\u00e9l\u00e9ments factuels prouvant une immixtion permanente dans la gestion quotidienne du personnel. Cette analyse restrictive prot\u00e8ge l&#8217;autonomie juridique des filiales au sein d&#8217;un groupe. Elle \u00e9vite une extension trop large de la responsabilit\u00e9 de la soci\u00e9t\u00e9 m\u00e8re sans preuve concr\u00e8te d&#8217;une ing\u00e9rence constante et d\u00e9cisive.<\/p>\n<p>L&#8217;obligation de reclassement dans le contexte contraignant d&#8217;une liquidation<\/p>\n<p>La cour d\u00e9finit le cadre l\u00e9gal et les modalit\u00e9s pratiques de l&#8217;obligation de reclassement en cas de licenciement \u00e9conomique. Elle rappelle que la recherche doit \u00eatre s\u00e9rieuse et loyale, mais adapt\u00e9e aux circonstances. Le p\u00e9rim\u00e8tre du groupe de reclassement est un \u00e9l\u00e9ment central du d\u00e9bat. La cour confirme que ce p\u00e9rim\u00e8tre se limite aux soci\u00e9t\u00e9s entre lesquelles une permutation du personnel est possible. Elle valide la m\u00e9thode de l&#8217;administrateur judiciaire qui a interrog\u00e9 les soci\u00e9t\u00e9s du groupe via un formulaire d\u00e9taill\u00e9. La cour estime que l&#8217;absence de transmission de la liste des postes supprim\u00e9s n&#8217;est pas un manquement en l&#8217;esp\u00e8ce. Cette position pragmatique tient compte de l&#8217;urgence et de l&#8217;ampleur du plan de licenciement. Elle rejoint l&#8217;id\u00e9e que l&#8217;obligation est de moyens, adapt\u00e9e au contexte, comme le rappelle une jurisprudence selon laquelle l&#8217;employeur doit justifier qu&#8217;il &#8220;s&#8217;est acquitt\u00e9 loyalement de son obligation de reclassement&#8221; (Cour d&#8217;appel de Douai, le 25 avril 2025, n\u00b023\/01584). L&#8217;arr\u00eat en pr\u00e9cise les modalit\u00e9s en situation de crise aigu\u00eb.<\/p>\n<p>Cet arr\u00eat apporte une clarification utile sur les limites de la responsabilit\u00e9 des soci\u00e9t\u00e9s m\u00e8res.
