Un acqu\u00e9reur potentiel, d\u00e9bout\u00e9 de sa demande en responsabilit\u00e9 contractuelle, a \u00e9galement vu rejeter sa demande subsidiaire en responsabilit\u00e9 d\u00e9lictuelle. Le tribunal a ainsi pr\u00e9cis\u00e9ment d\u00e9limit\u00e9 le moment de la formation du contrat de vente et les obligations issues des n\u00e9gociations.<\/p>\n<p>La qualification du mandat immobilier et l\u2019absence de rencontre des volont\u00e9s<\/p>\n<p>La nature juridique du mandat confi\u00e9 \u00e0 l\u2019agent immobilier d\u00e9termine son pouvoir d\u2019engager le vendeur. Le tribunal rappelle que le mandat, m\u00eame exclusif, donn\u00e9 \u00e0 un agent immobilier, lui conf\u00e8re seulement une mission d\u2019entremise et n&#8217;a pas pour effet de le substituer \u00e0 son mandant pour la r\u00e9alisation de l&#8217;op\u00e9ration envisag\u00e9e, \u00e0 moins qu\u2019une clause sp\u00e9ciale ne l\u2019y autorise express\u00e9ment. Cette analyse rejoint la solution constante de la jurisprudence, qui exige une autorisation claire pour engager le mandant. Une cour d\u2019appel a ainsi jug\u00e9 que &#8220;Conform\u00e9ment \u00e0 ce texte la Cour de cassation juge qu&#8217;en l&#8217;absence de clause expresse claire et pr\u00e9cise par laquelle le mandant donne pouvoir \u00e0 l&#8217;agent immobilier de le repr\u00e9senter pour conclure la vente, ce mandat est un simple contrat d&#8217;entremise&#8221; (Cour d&#8217;appel, le 18 septembre 2025, n\u00b021\/12428). En l\u2019esp\u00e8ce, le document intitul\u00e9 mandat de vente stipulait express\u00e9ment qu\u2019il s\u2019agissait d\u2019un &#8220;mandat de recherche d\u2019acqu\u00e9reur qui ne conf\u00e8re \u00e0 son titulaire aucun pouvoir expr\u00e8s de signature&#8221;. D\u00e8s lors, la pr\u00e9sentation du bien par l\u2019agent ne pouvait constituer une offre de vente engageant le propri\u00e9taire. L\u2019acqu\u00e9reur potentiel n\u2019a donc \u00e9mis qu\u2019une offre d\u2019achat, n\u00e9cessitant une acceptation expresse pour parfaire la vente.<\/p>\n<p>L\u2019examen des \u00e9changes post\u00e9rieurs r\u00e9v\u00e8le l\u2019absence d\u2019acceptation conforme \u00e0 l\u2019offre initiale. Le tribunal rel\u00e8ve que le projet de promesse synallagmatique envoy\u00e9 par le notaire du vendeur introduisait des modifications substantielles. Il mentionnait des servitudes \u00e0 constituer, une indemnit\u00e9 d\u2019immobilisation diff\u00e9rente et une condition suspensive suppl\u00e9mentaire. Le tribunal en d\u00e9duit qu\u2019il n\u2019y a pas eu de rencontre entre, d\u2019une part, une offre et, d\u2019autre part, une acceptation conforme \u00e0 l&#8217;offre. Cette rigueur dans l\u2019appr\u00e9ciation de la conformit\u00e9 prot\u00e8ge le principe du consensualisme. Elle garantit que l\u2019accord des parties porte bien sur les m\u00eames \u00e9l\u00e9ments essentiels, sans lesquels le contrat ne peut na\u00eetre. La vente n\u2019\u00e9tant pas parfaite, la responsabilit\u00e9 contractuelle ne peut \u00eatre retenue \u00e0 l\u2019encontre de l\u2019acqu\u00e9reur qui s\u2019est r\u00e9tract\u00e9.<\/p>\n<p>La libert\u00e9 de rupture des pourparlers et les exigences de la bonne foi<\/p>\n<p>La rupture des n\u00e9gociations, en principe libre, doit satisfaire aux imp\u00e9ratifs de bonne foi pos\u00e9s par les articles 1104 et 1112 du code civil. Le tribunal examine si le comportement de l\u2019acqu\u00e9reur potentiel a \u00e9t\u00e9 fautif lors de la phase pr\u00e9contractuelle. Les \u00e9changes d\u00e9montrent que des d\u00e9saccords persistants subsistaient jusqu\u2019\u00e0 la veille de la date pr\u00e9vue pour la signature. La question du paiement des frais d\u2019agence, notamment, n\u2019\u00e9tait pas r\u00e9solue. Le tribunal constate qu\u2019\u00e0 d\u00e9faut d\u2019accord entre les parties sur les \u00e9l\u00e9ments essentiels de la promesse synallagmatique de vente malgr\u00e9 les nombreux \u00e9changes intervenus, le refus de signature ne peut \u00eatre consid\u00e9r\u00e9 comme fautif. Cette solution rappelle que la bonne foi dans les n\u00e9gociations n\u2019impose pas de parvenir \u00e0 un accord. Elle impose seulement de ne pas rompre de mani\u00e8re brutale ou d\u00e9loyale, par exemple en cachant une impossibilit\u00e9 de contracter.<\/p>\n<p>La port\u00e9e de cette analyse limite strictement la r\u00e9paration en cas de faute dans les n\u00e9gociations. Conform\u00e9ment \u00e0 l\u2019article 1112 du code civil, le tribunal rappelle que la r\u00e9paration du pr\u00e9judice qui en r\u00e9sulte ne peut avoir pour objet de compenser ni la perte des avantages attendus du contrat non conclu, ni la perte de chance d&#8217;obtenir ces avantages. Ce principe est fondamental pour distinguer la responsabilit\u00e9 d\u00e9lictuelle de la responsabilit\u00e9 contractuelle. Il emp\u00eache de compenser, par le biais d\u2019une action en responsabilit\u00e9 extracontractuelle, ce qui rel\u00e8ve en r\u00e9alit\u00e9 des cons\u00e9quences d\u2019un contrat qui n\u2019a pas vu le jour.
