Il s\u2019agissait d\u2019un litige entre un bailleur et son locataire commercial concernant la r\u00e9siliation du bail pour d\u00e9faut de paiement. Le bailleur demandait l\u2019expulsion, le paiement d\u2019un arri\u00e9r\u00e9 locatif et une indemnit\u00e9 d\u2019occupation. Le tribunal a accueilli l\u2019ensemble des demandes du bailleur, constatant la r\u00e9siliation du bail et condamnant le locataire \u00e0 quitter les lieux et \u00e0 payer les sommes r\u00e9clam\u00e9es.<\/p>\n<p>La r\u00e9gularit\u00e9 du commandement pr\u00e9alable \u00e0 la r\u00e9siliation<\/p>\n<p>Le juge v\u00e9rifie scrupuleusement les conditions de forme et de fond du commandement. Ce dernier doit imp\u00e9rativement mentionner le d\u00e9lai d\u2019un mois imparti pour r\u00e9gulariser le manquement, sous peine de nullit\u00e9. &#8220;Le commandement doit, \u00e0 peine de nullit\u00e9, mentionner ce d\u00e9lai.&#8221; (Aux termes de l\u2019article L. 145-41 du code de commerce). En l\u2019esp\u00e8ce, le commandement d\u00e9livr\u00e9 reproduisait les termes l\u00e9gaux et \u00e9tait donc r\u00e9gulier en la forme. Sur le fond, le commandement doit \u00eatre suffisamment pr\u00e9cis pour informer le locataire de la nature de son manquement. &#8220;Le commandement de payer ou la sommation d\u2019ex\u00e9cuter doit informer clairement le locataire du manquement qui lui est reproch\u00e9 et le mette en demeure de payer une somme pr\u00e9cise ou d\u2019ex\u00e9cuter une obligation d\u00e9termin\u00e9e&#8221; (Civ. 3e, 15 mars 2000, n\u00b098-18.626). Le manquement invoqu\u00e9 \u00e9tait le d\u00e9faut de paiement d\u2019une somme clairement identifi\u00e9e, ce qui satisfait \u00e0 l\u2019exigence.<\/p>\n<p>Cette analyse confirme la rigueur proc\u00e9durale exig\u00e9e pour la mise en \u0153uvre d\u2019une clause r\u00e9solutoire en droit commercial. Le formalisme du commandement, h\u00e9rit\u00e9 de l\u2019article L. 145-41 du code de commerce, constitue une protection essentielle pour le locataire. La d\u00e9cision rappelle que la validit\u00e9 de la r\u00e9siliation est conditionn\u00e9e au strict respect de ces modalit\u00e9s, emp\u00eachant toute r\u00e9siliation arbitraire. La r\u00e9f\u00e9rence \u00e0 la jurisprudence de la troisi\u00e8me chambre civile en souligne l\u2019importance constante.<\/p>\n<p>La mise en \u0153uvre des cons\u00e9quences de la r\u00e9siliation du bail<\/p>\n<p>Une fois la r\u00e9siliation acquise, le maintien dans les lieux g\u00e9n\u00e8re des obligations sp\u00e9cifiques pour l\u2019occupant. Le jugement organise d\u2019abord l\u2019expulsion et la mise sous s\u00e9questre des biens. Il autorise le bailleur \u00e0 proc\u00e9der au s\u00e9questre des meubles selon les r\u00e8gles du code des proc\u00e9dures civiles d\u2019ex\u00e9cution. Ensuite, il fixe le montant de l\u2019indemnit\u00e9 d\u2019occupation due. Le tribunal retient le principe d\u2019une indemnit\u00e9 compensant la privation de jouissance. &#8220;L&#8217;indemnit\u00e9 d&#8217;occupation, en raison de sa nature mixte, indemnitaire et compensatoire, constitue une dette de jouissance qui doit correspondre \u00e0 la valeur \u00e9quitable des lieux&#8221; (Il ressort du dernier d\u00e9compte produit aux d\u00e9bats que le loyer principal mensuel \u00e9tait de 1.248 euros TTC). Le montant est fix\u00e9 forfaitairement sur la base du dernier loyer contractuel major\u00e9 des charges.<\/p>\n<p>La port\u00e9e de cette d\u00e9cision est pratique et r\u00e9paratrice. Elle illustre la transition entre le r\u00e9gime contractuel et le r\u00e9gime l\u00e9gal post-r\u00e9siliation. L\u2019expulsion et le s\u00e9questre sont des mesures d\u2019ex\u00e9cution forc\u00e9e permettant la lib\u00e9ration effective des lieux. Le calcul de l\u2019indemnit\u00e9 d\u2019occupation au niveau du dernier loyer, sans majoration punitive ici, vise \u00e0 r\u00e9parer le pr\u00e9judice sans enrichir le bailleur. Cette solution rejoint la logique observ\u00e9e dans d\u2019autres d\u00e9cisions, o\u00f9 &#8220;Le maintien dans les lieux des locataires ou de toute personne de leur chef malgr\u00e9 la r\u00e9siliation du bail justifie d&#8217;allouer au bailleur une indemnit\u00e9 d&#8217;occupation&#8221; (Tribunal judiciaire de Paris, le 20 janvier 2025, n\u00b024\/06635).
