Le bail pr\u00e9voit une r\u00e9vision annuelle r\u00e9f\u00e9renc\u00e9e \u00e0 un indice ant\u00e9rieur \u00e0 sa prise d&#8217;effet. Le juge rejette les demandes principales concernant les loyers, retenant une contestation s\u00e9rieuse sur la validit\u00e9 de la clause d&#8217;\u00e9chelle mobile. Il accorde en revanche une provision au bailleur pour le solde de charges impay\u00e9es des ann\u00e9es 2023 et 2024.<\/p>\n<p>La sanction d&#8217;une clause d&#8217;indexation irr\u00e9guli\u00e8re<\/p>\n<p>Le contr\u00f4le de la lic\u00e9it\u00e9 de la p\u00e9riode de r\u00e9f\u00e9rence. Le juge applique strictement l&#8217;article L. 112-1 du code mon\u00e9taire et financier. La clause pr\u00e9voit une r\u00e9f\u00e9rence \u00e0 l&#8217;indice du quatri\u00e8me trimestre 2008 pour une r\u00e9vision prenant effet en mai 2010. Cette p\u00e9riode de variation exc\u00e8de l&#8217;intervalle annuel entre deux r\u00e9visions, ce qui soul\u00e8ve son illic\u00e9it\u00e9. &#8220;Est r\u00e9put\u00e9e non \u00e9crite toute clause d&#8217;un contrat \u00e0 ex\u00e9cution successive, et notamment des baux et locations de toute nature, pr\u00e9voyant la prise en compte d&#8217;une p\u00e9riode de variation de l&#8217;indice sup\u00e9rieure \u00e0 la dur\u00e9e s&#8217;\u00e9coulant entre chaque r\u00e9vision&#8221; (Motifs de la d\u00e9cision). La d\u00e9cision rappelle ainsi le principe protecteur contre les distorsions indiciaires abusives dans les contrats successifs.<\/p>\n<p>La cons\u00e9quence proc\u00e9durale sur les demandes en paiement. Face \u00e0 une clause potentiellement nulle, le juge des r\u00e9f\u00e9r\u00e9s s&#8217;estime incomp\u00e9tent pour trancher le fond du diff\u00e9rend. Il constate que la demande de loyer est &#8220;s\u00e9rieusement contestable&#8221;. Il rejette \u00e9galement la demande reconventionnelle du locataire, car interpr\u00e9ter la clause rel\u00e8ve du juge du fond. Cette position limite strictement l&#8217;office du juge des r\u00e9f\u00e9r\u00e9s aux situations non s\u00e9rieusement contestables. Elle renvoie n\u00e9cessairement les parties \u00e0 une action au fond pour obtenir une qualification d\u00e9finitive de la clause litigieuse.<\/p>\n<p>La gestion des provisions pour charges locatives<\/p>\n<p>La charge de la preuve dans la r\u00e9gularisation des comptes. Pour les ann\u00e9es ant\u00e9rieures \u00e0 2023, l&#8217;absence de documents probants emp\u00eache toute condamnation. Le juge estime que toute pr\u00e9tention ant\u00e9rieure est affect\u00e9e d&#8217;une contestation s\u00e9rieuse. Cette solution place la charge de la preuve sur le demandeur, ici le bailleur, pour d\u00e9montrer l&#8217;existence d&#8217;une cr\u00e9ance non prescrite. Elle s\u00e9curise les relations contractuelles en supposant une r\u00e9gularisation tacite des comptes annuels non contest\u00e9s dans un d\u00e9lai raisonnable.<\/p>\n<p>La d\u00e9termination de l&#8217;assiette des charges r\u00e9cup\u00e9rables. Pour les ann\u00e9es 2023 et 2024, le juge valide le d\u00e9compte du bailleur. Il \u00e9carte celui du locataire qui ne retenait que les charges dites locatives. Le bail stipule en effet que toutes les charges de copropri\u00e9t\u00e9 sont mises \u00e0 sa charge. La d\u00e9cision rappelle le principe de la libert\u00e9 contractuelle en mati\u00e8re de r\u00e9partition des charges. Elle souligne que la distinction entre charges locatives et charges de copropri\u00e9t\u00e9 n&#8217;est pas d&#8217;ordre public dans un bail commercial. Les parties peuvent donc convenir d&#8217;une assiette plus large, qui s&#8217;impose au juge.<\/p>\n<p>Cette ordonnance illustre la prudence du juge des r\u00e9f\u00e9r\u00e9s face \u00e0 une clause d&#8217;indexation complexe. Elle r\u00e9affirme l&#8217;interdiction des p\u00e9riodes de r\u00e9f\u00e9rence excessives, prot\u00e9geant ainsi le locataire contre une \u00e9volution disproportionn\u00e9e du loyer. Sur les charges, elle consacre l&#8217;autonomie de la volont\u00e9 tout en exigeant une preuve solide des cr\u00e9ances anciennes.
