Le b\u00e9n\u00e9ficiaire de la promesse refuse de lever l\u2019option, invoquant une r\u00e9ticence dolosive et un manquement \u00e0 l\u2019obligation d\u2019information du vendeur concernant la situation financi\u00e8re de la copropri\u00e9t\u00e9. Le promettant sollicite le paiement de l\u2019indemnit\u00e9 d\u2019immobilisation contractuelle. La juridiction rejette les demandes en nullit\u00e9 et condamne le b\u00e9n\u00e9ficiaire au paiement de l\u2019indemnit\u00e9.<\/p>\n<p>L\u2019exigence probatoire de l\u2019intention dolosive<\/p>\n<p>La caract\u00e9risation d\u2019une r\u00e9ticence dolosive est soumise \u00e0 une preuve rigoureuse de l\u2019\u00e9l\u00e9ment intentionnel. Le dol suppose une dissimulation active destin\u00e9e \u00e0 tromper le cocontractant. La d\u00e9cision rappelle que &#8220;celui qui invoque la r\u00e9ticence dolosive doit prouver, outre la connaissance de l&#8217;information par le vendeur, d&#8217;une part que l&#8217;information est tellement importante pour lui que, s&#8217;il en avait eu connaissance, elle l&#8217;aurait dissuad\u00e9 de contracter, et d&#8217;autre part que son cocontractant lui a intentionnellement cach\u00e9 cette information afin de l&#8217;amener \u00e0 contracter&#8221; (Motifs). En l\u2019esp\u00e8ce, les documents annex\u00e9s \u00e0 la promesse, notamment un pr\u00e9-\u00e9tat dat\u00e9, r\u00e9v\u00e9laient l\u2019endettement important de la copropri\u00e9t\u00e9. Le vendeur ne pouvait conna\u00eetre avec exactitude l\u2019\u00e9tendue des dettes futures, notamment un plan d\u2019apurement mis en place post\u00e9rieurement. L\u2019absence de preuve d\u2019une volont\u00e9 d\u00e9lib\u00e9r\u00e9e de dissimulation entra\u00eene le rejet de la demande en nullit\u00e9 pour dol. Cette solution confirme une jurisprudence exigeante, o\u00f9 la simple connaissance d\u2019une information par une partie est insuffisante. Il faut d\u00e9montrer l\u2019intention frauduleuse, prot\u00e9geant ainsi la s\u00e9curit\u00e9 des transactions contre des annulations trop faciles.<\/p>\n<p>Les limites du devoir d\u2019information en cas d\u2019incertitude des donn\u00e9es<\/p>\n<p>Le manquement \u00e0 l\u2019obligation pr\u00e9contractuelle d\u2019information est \u00e9galement \u00e9cart\u00e9, d\u00e9finissant le p\u00e9rim\u00e8tre de ce devoir. Le juge souligne que l\u2019obligation porte sur les informations d\u00e9tenues par une partie au moment de la conclusion du contrat. La d\u00e9cision constate que &#8220;pr\u00e9alablement \u00e0 la signature de la promesse de vente et lors de sa conclusion, toutes les informations que [le vendeur] d\u00e9tenait quant \u00e0 la situation financi\u00e8re de la copropri\u00e9t\u00e9 ont \u00e9t\u00e9 communiqu\u00e9es&#8221; (Motifs). L\u2019incertitude et l\u2019\u00e9volution ult\u00e9rieure de la situation, due aux carences de l\u2019ancien syndic, \u00e9chappaient \u00e0 sa connaissance. Le devoir d\u2019information ne saurait imposer de r\u00e9v\u00e9ler des \u00e9l\u00e9ments inconnus ou non ma\u00eetrisables. Cette analyse rejoint la lettre de l\u2019article 1112-1 du code civil, qui vise les informations dont une partie a connaissance. Elle pr\u00e9vient une extension d\u00e9raisonnable de la responsabilit\u00e9 pr\u00e9contractuelle, en ne faisant peser sur le vendeur que l\u2019obligation de communiquer les donn\u00e9es en sa possession de bonne foi.<\/p>\n<p>La sanction de la facult\u00e9 de d\u00e9dit par l\u2019indemnit\u00e9 d\u2019immobilisation<\/p>\n<p>Le refus de lever l\u2019option engage la responsabilit\u00e9 contractuelle du b\u00e9n\u00e9ficiaire de la promesse. La juridiction applique strictement les stipulations contractuelles relatives \u00e0 l\u2019indemnit\u00e9 forfaitaire. Elle rappelle le principe selon lequel &#8220;les conditions suspensives sont r\u00e9put\u00e9es accomplies d\u00e8s lors que [le b\u00e9n\u00e9ficiaire], qui y avait int\u00e9r\u00eat, en a emp\u00each\u00e9 l\u2019accomplissement&#8221; (Motifs). Aucun justificatif concernant la condition suspensive de pr\u00eat n\u2019\u00e9tant produit, et la nullit\u00e9 \u00e9tant \u00e9cart\u00e9e, le b\u00e9n\u00e9ficiaire est tenu au paiement de l\u2019int\u00e9gralit\u00e9 de l\u2019indemnit\u00e9. Cette solution consacre la force obligatoire du contrat et la nature indemnitaire de la clause. Elle rappelle que la facult\u00e9 de d\u00e9dit, inh\u00e9rente \u00e0 la promesse unilat\u00e9rale, a un co\u00fbt contractuellement d\u00e9fini. La d\u00e9cision prot\u00e8ge ainsi la partie immobilis\u00e9e, en faisant produire pleinement effet \u00e0 l\u2019engagement souscrit, conform\u00e9ment \u00e0 l\u2019article 1103 du code civil.<\/p>\n<p>La distinction entre indemnit\u00e9 forfaitaire et dommages-int\u00e9r\u00eats pour inex\u00e9cution<\/p>\n<p>La demande de dommages-int\u00e9r\u00eats distincts de l\u2019indemnit\u00e9 d\u2019immobilisation est rejet\u00e9e, clarifiant le r\u00e9gime des sanctions. Le promettant invoquait un pr\u00e9judice li\u00e9 \u00e0 l\u2019inex\u00e9cution, sans en pr\u00e9ciser la nature. La cour estime que &#8220;l\u2019absence de lev\u00e9e d\u2019option n\u2019est pas en lui-m\u00eame fautif, [le b\u00e9n\u00e9ficiaire] \u00e9tant seulement b\u00e9n\u00e9ficiaire d\u2019une simple promesse de vente sous conditions suspensives&#8221; (Motifs). Le m\u00e9canisme de la promesse unilat\u00e9rale conf\u00e8re un droit d\u2019option, dont la non-lev\u00e9e n\u2019est pas une faute engageant une responsabilit\u00e9 extra-contractuelle. L\u2019indemnit\u00e9 forfaitaire constitue la sanction exclusive pr\u00e9vue par les parties. Cette analyse \u00e9vite un cumul de sanctions et respecte l\u2019\u00e9conomie du contrat.
