Un occupant principal, b\u00e9n\u00e9ficiaire d\u2019une autorisation d\u2019occupation domaniale, avait conclu en mai 2024 une convention de sous-occupation portant sur un local en gare, pour sept ann\u00e9es \u00e0 compter de la livraison. Des redevances \u00e9tant demeur\u00e9es impay\u00e9es, un commandement visant la clause r\u00e9solutoire a \u00e9t\u00e9 d\u00e9livr\u00e9 le 28 novembre 2024 pour 34 608,66 euros, rest\u00e9 infructueux.<\/p>\n<p>Assign\u00e9 en r\u00e9f\u00e9r\u00e9 le 25 f\u00e9vrier 2025, le sous-occupant n\u2019a pas constitu\u00e9 avocat. L\u2019occupant principal a demand\u00e9 la constatation de la clause r\u00e9solutoire, l\u2019expulsion, une provision de 69 513,26 euros au 11 f\u00e9vrier 2025, une p\u00e9nalit\u00e9 contractuelle, une indemnit\u00e9 d\u2019occupation major\u00e9e et la conservation du d\u00e9p\u00f4t de garantie. L\u2019audience s\u2019est tenue le 12 mai 2025 et a donn\u00e9 lieu \u00e0 une d\u00e9cision r\u00e9put\u00e9e contradictoire.<\/p>\n<p>La question de droit portait d\u2019abord sur l\u2019office du juge des r\u00e9f\u00e9r\u00e9s pour constater la r\u00e9siliation de plein droit d\u2019une sous-occupation du domaine public conclue entre personnes priv\u00e9es. Elle visait ensuite l\u2019\u00e9tendue des pouvoirs du juge pour allouer une provision et pour \u00e9carter, en r\u00e9f\u00e9r\u00e9, des stipulations assimilables \u00e0 une clause p\u00e9nale. La juridiction a retenu la comp\u00e9tence judiciaire, l\u2019absence de contestation s\u00e9rieuse et le caract\u00e8re r\u00e9gulier du commandement. Elle a constat\u00e9 l\u2019acquisition de la clause r\u00e9solutoire au 13 d\u00e9cembre 2024 \u00e0 minuit, ordonn\u00e9 l\u2019expulsion, fix\u00e9 une indemnit\u00e9 d\u2019occupation \u00e9gale \u00e0 la redevance, allou\u00e9 69 513,26 euros par provision avec int\u00e9r\u00eats au taux l\u00e9gal, et dit n\u2019y avoir lieu \u00e0 r\u00e9f\u00e9r\u00e9 sur les majorations, p\u00e9nalit\u00e9s et conservation du d\u00e9p\u00f4t.<\/p>\n<p>I. Conditions de la r\u00e9siliation de plein droit en r\u00e9f\u00e9r\u00e9<\/p>\n<p>A. Comp\u00e9tence judiciaire et office du juge des r\u00e9f\u00e9r\u00e9s<\/p>\n<p>La juridiction rappelle l\u2019ancrage textuel de la comp\u00e9tence mat\u00e9rielle. Elle \u00e9nonce que &#8220;L\u2019article R 211-3-26 du code de l\u2019organisation judiciaire attribue une comp\u00e9tence exclusive au tribunal judiciaire pour les conventions d\u2019occupation en mati\u00e8re commerciale&#8221;. Ce rappel s\u2019articule avec le principe selon lequel, pour un contrat d\u2019occupation du domaine public conclu entre personnes priv\u00e9es, la comp\u00e9tence du juge judiciaire n\u2019est pas \u00e9cart\u00e9e lorsqu\u2019aucune d\u00e9l\u00e9gation de service public n\u2019existe.<\/p>\n<p>L\u2019office du juge des r\u00e9f\u00e9r\u00e9s est pr\u00e9cis\u00e9 \u00e0 la lumi\u00e8re de l\u2019article 834 du code de proc\u00e9dure civile. La d\u00e9cision rappelle que &#8220;L\u2019article 834 du code de proc\u00e9dure civile dispose que, dans tous les cas d&#8217;urgence, le pr\u00e9sident du tribunal judiciaire peut ordonner en r\u00e9f\u00e9r\u00e9 toutes les mesures qui ne se heurtent \u00e0 aucune contestation s\u00e9rieuse ou que justifie l&#8217;existence d&#8217;un diff\u00e9rend&#8221;. Elle ajoute, de mani\u00e8re d\u00e9cisive, que &#8220;La juridiction des r\u00e9f\u00e9r\u00e9s n&#8217;est toutefois pas tenue de caract\u00e9riser l&#8217;urgence, au sens de l&#8217;article 834 du code de proc\u00e9dure civile, pour constater l&#8217;acquisition de la clause r\u00e9solutoire stipul\u00e9e dans une convention et la r\u00e9siliation de droit de celle-ci&#8221;. L\u2019exigence d\u2019absence de contestation s\u00e9rieuse gouverne ainsi la constatation de la r\u00e9siliation de plein droit.<\/p>\n<p>B. V\u00e9rification du commandement et effets imm\u00e9diats de la clause r\u00e9solutoire<\/p>\n<p>Le juge des r\u00e9f\u00e9r\u00e9s pr\u00e9cise le triptyque conditionnant l\u2019acquisition de la clause. Il retient que &#8220;Le juge des r\u00e9f\u00e9r\u00e9s peut constater la r\u00e9siliation de plein droit de la convention au titre d\u2019une clause contenue \u00e0 l\u2019acte \u00e0 cet effet, \u00e0 condition que :&#8221;. Sont \u00e9num\u00e9r\u00e9es, d\u2019abord, &#8220;le d\u00e9faut de paiement de la somme r\u00e9clam\u00e9e dans le commandement de payer visant la clause r\u00e9solutoire soit manifestement fautif,&#8221; puis &#8220;le demandeur soit, de toute \u00e9vidence, en situation d&#8217;invoquer de bonne foi la mise en jeu de cette clause,&#8221; enfin &#8220;la clause r\u00e9solutoire soit d\u00e9nu\u00e9e d&#8217;ambigu\u00eft\u00e9 et ne n\u00e9cessite pas interpr\u00e9tation.&#8221;<\/p>\n<p>Le contr\u00f4le de r\u00e9gularit\u00e9 du commandement est central. La d\u00e9cision retient qu\u2019&#8221;Il n\u2019existe aucune contestation s\u00e9rieuse sur la r\u00e9gularit\u00e9 du commandement en ce qu&#8217;il correspond exactement au d\u00e9tail des montants r\u00e9clam\u00e9es pr\u00e9alablement au sous-occupant par l\u2019occupant principal&#8221;. Elle pr\u00e9cise encore : &#8220;En annexe du commandement, figure en effet le d\u00e9tail complet des redevances et charges dues et le d\u00e9compte des versements effectu\u00e9s&#8221;. Surtout, &#8220;Le commandement pr\u00e9cise qu&#8217;\u00e0 d\u00e9faut de paiement dans le d\u00e9lai de quinze jours, l\u2019occupant principal entend express\u00e9ment se pr\u00e9valoir de la clause r\u00e9solutoire incluse dans la convention ; la reproduction de la clause r\u00e9solutoire y figure&#8221;. D\u00e8s lors, &#8220;Le commandement contenait ainsi toutes les pr\u00e9cisions permettant au sous-occupant de conna\u00eetre la nature, les causes et le montant des sommes r\u00e9clam\u00e9es, de proc\u00e9der au r\u00e8glement des sommes dues ou de motiver la critique du d\u00e9compte&#8221;.<\/p>\n<p>Constatant l\u2019inex\u00e9cution dans le d\u00e9lai, le juge note que &#8220;Les causes de ce commandement n\u2019ont pas \u00e9t\u00e9 acquitt\u00e9es dans la quinzaine de sa d\u00e9livrance&#8221;. La cons\u00e9quence est imm\u00e9diate : &#8220;D\u00e8s lors, la clause r\u00e9solutoire est acquise et la convention de sous-occupation se trouve r\u00e9sili\u00e9e de plein droit avec toutes cons\u00e9quences de droit&#8221;. Au titre des mesures de remise en \u00e9tat, la d\u00e9cision rappelle, en visant l\u2019article 835, alin\u00e9a 1, que &#8220;le pr\u00e9sident peut toujours, m\u00eame en pr\u00e9sence d&#8217;une contestation s\u00e9rieuse, prescrire en r\u00e9f\u00e9r\u00e9 les mesures conservatoires ou de remise en \u00e9tat qui s&#8217;imposent, soit pour pr\u00e9venir un dommage imminent, soit pour faire cesser un trouble manifestement illicite&#8221;. En application, &#8220;Le maintien dans un immeuble, sans droit ni titre du fait de la r\u00e9siliation de la convention, constitue un trouble manifestement illicite&#8221;. S\u2019y ajoute la pr\u00e9cision selon laquelle &#8220;Le sort des meubles trouv\u00e9s dans les lieux sera r\u00e9gi en cas d\u2019expulsion conform\u00e9ment aux dispositions du code des proc\u00e9dures civiles d\u2019ex\u00e9cution et selon les modalit\u00e9s pr\u00e9cis\u00e9es au dispositif de l\u2019ordonnance&#8221;.<\/p>\n<p>II. Pouvoirs p\u00e9cuniaires du juge des r\u00e9f\u00e9r\u00e9s et port\u00e9e de la solution<\/p>\n<p>A. La provision limit\u00e9e \u00e0 l\u2019incontestable et la qualification de l\u2019occupation<\/p>\n<p>La juridiction se fonde sur l\u2019article 835, alin\u00e9a 2, pour admettre une provision. Elle rappelle que &#8220;L\u2019article 835 alin\u00e9a 2 du code de proc\u00e9dure dispose que, dans les cas o\u00f9 l&#8217;existence de l&#8217;obligation n&#8217;est pas s\u00e9rieusement contestable, il peut accorder une provision au cr\u00e9ancier&#8221;. La dette de redevances et charges, figurant \u00e0 un d\u00e9compte arr\u00eat\u00e9, s\u2019inscrit dans cette logique probatoire. La d\u00e9cision souligne, d\u2019ailleurs, les principes directeurs de preuve : &#8220;Aux termes de l\u2019article 1728 du code civil, le paiement du prix du convention aux termes convenus constitue l\u2019une des deux obligations principales du locataire&#8221;, ainsi que &#8220;Aux termes de l&#8217;article 1353 du code civil, c&#8217;est \u00e0 celui qui r\u00e9clame l&#8217;ex\u00e9cution d&#8217;une obligation de la prouver et \u00e0 celui qui se pr\u00e9tend lib\u00e9r\u00e9 de justifier le paiement ou le fait qui a produit l&#8217;extinction de son obligation&#8221;.<\/p>\n<p>La bascule du r\u00e9gime financier apr\u00e8s r\u00e9siliation est clairement \u00e9nonc\u00e9e. Le juge indique qu\u2019&#8221;Il est rappel\u00e9 qu\u2019\u00e0 compter de la r\u00e9siliation de la convention par l&#8217;effet de la clause r\u00e9solutoire, le sous-occupant n&#8217;est plus d\u00e9biteur de redevances mais d&#8217;une indemnit\u00e9 d&#8217;occupation&#8221;. Cette pr\u00e9cision renforce la coh\u00e9rence des montants provisionnels avec la nature de l\u2019occupation post-r\u00e9siliation. Sur l\u2019\u00e9tendue de la provision, la d\u00e9cision rappelle utilement les bornes mat\u00e9rielles du pouvoir du juge : &#8220;S\u2019agissant du paiement, par provision, de l\u2019arri\u00e9r\u00e9 locatif, il convient de rappeler qu\u2019une demande en paiement de provision au titre d&#8217;une cr\u00e9ance non s\u00e9rieusement contestable rel\u00e8ve du pouvoir du juge des r\u00e9f\u00e9r\u00e9s sans condition de l&#8217;existence d&#8217;une urgence, aux termes de l\u2019article 835 du code de proc\u00e9dure civile. Le montant de la provision allou\u00e9e en r\u00e9f\u00e9r\u00e9 n&#8217;a d&#8217;autre limite que le montant non s\u00e9rieusement contestable de la dette all\u00e9gu\u00e9e&#8221;.<\/p>\n<p>B. L\u2019encadrement des clauses p\u00e9nales et la prudence en r\u00e9f\u00e9r\u00e9<\/p>\n<p>S\u2019agissant des stipulations financi\u00e8res aggravant la charge du sous-occupant, la juridiction adopte une approche restrictive. Elle juge que &#8220;Les clauses de la convention relatives \u00e0 la majoration de l\u2019indemnit\u00e9 d\u2019occupation et des int\u00e9r\u00eats de retard, \u00e0 l\u2019indemnit\u00e9 forfaitaire de 10%, et \u00e0 la conservation du d\u00e9p\u00f4t de garantie s\u2019analysent comme des clauses p\u00e9nales et comme telles sont susceptibles d\u2019\u00eatre mod\u00e9r\u00e9es par le juge du fond, en raison de leur caract\u00e8re manifestement excessif&#8221;. Le contr\u00f4le du caract\u00e8re non s\u00e9rieusement contestable conduit alors \u00e0 diff\u00e9rer ces demandes au fond : &#8220;Le caract\u00e8re non s\u00e9rieusement contestable de l&#8217;obligation n&#8217;est pas \u00e9tabli en application des dispositions de l\u2019article 1231-5 du code civil ; par suite, il n\u2019y a pas lieu \u00e0 r\u00e9f\u00e9r\u00e9 sur ces points&#8221;.<\/p>\n<p>Cette position pr\u00e9serve l\u2019\u00e9quilibre entre efficacit\u00e9 du r\u00e9f\u00e9r\u00e9 et garanties du d\u00e9bat au fond, surtout lorsque des stipulations potentiellement excessives appellent une appr\u00e9ciation de proportionnalit\u00e9. La solution prot\u00e8ge le justiciable contre une ex\u00e9cution provisionnelle d\u2019accessoires discutables, tout en assurant la remise en \u00e9tat et la solvabilisation du cr\u00e9ancier par l\u2019allocation mesur\u00e9e d\u2019une provision. L\u2019octroi d\u2019int\u00e9r\u00eats au taux l\u00e9gal en application de l\u2019article 1231\u20117 s\u2019inscrit dans cette \u00e9conomie, tandis que l\u2019application de l\u2019article 700 du code de proc\u00e9dure civile est rappel\u00e9e par la motivation selon laquelle &#8220;L\u2019article 700 du code de proc\u00e9dure civile dispose que le juge condamne la partie tenue aux d\u00e9pens ou qui perd son proc\u00e8s \u00e0 payer \u00e0 l&#8217;autre partie la somme qu&#8217;il d\u00e9termine, au titre des frais expos\u00e9s et non compris dans les d\u00e9pens&#8221;.
