Le bail initial, renouvel\u00e9 en 2002, a expir\u00e9 en 2011 et s\u2019est prolong\u00e9 tacitement avant un cong\u00e9 avec offre de renouvellement notifi\u00e9 fin 2016. Le preneur a soutenu un renouvellement ant\u00e9rieur par courriels et a invoqu\u00e9 un droit de pr\u00e9emption, tandis que les bailleurs successifs ont sollicit\u00e9 la fixation du loyer \u00e0 la valeur locative et contest\u00e9 les demandes indemnitaires. Deux jugements du tribunal judiciaire de Bordeaux (13 juillet 2021 et 19 septembre 2024) ont, notamment, valid\u00e9 le cong\u00e9, ordonn\u00e9 une expertise, puis fix\u00e9 le loyer, avant que la cour ne soit saisie d\u2019appels joints.<\/p>\n<p>La juridiction d\u2019appel tranche successivement la recevabilit\u00e9 d\u2019une demande en nullit\u00e9 de vente, la r\u00e9alit\u00e9 d\u2019un renouvellement pr\u00e9tendument acquis par \u00e9changes \u00e9lectroniques, la validit\u00e9 du cong\u00e9 notifi\u00e9 au nom des c\u00e9dants, la r\u00e9partition des charges de travaux de mise en conformit\u00e9 et la fixation de la valeur locative. La solution confirme l\u2019absence de renouvellement anticip\u00e9, valide le cong\u00e9, accueille partiellement le remboursement de travaux et un trouble de jouissance, et confirme le loyer annuel \u00e0 41 062 euros hors taxes. Elle pr\u00e9cise enfin l\u2019interruption des int\u00e9r\u00eats du fait d\u2019une proc\u00e9dure collective. \u00ab Le jugement sera donc confirm\u00e9, en ce qu\u2019il a jug\u00e9 que le renouvellement du bail n\u2019\u00e9tait pas intervenu, et que le bail s\u2019est poursuivi par tacite prolongation \u00bb. La suite du raisonnement \u00e9claire le droit positif applicable et sa port\u00e9e sur la pratique des baux commerciaux.<\/p>\n<p>I. Conditions de recevabilit\u00e9 et r\u00e9gime du renouvellement<\/p>\n<p>A. L\u2019irrecevabilit\u00e9 de la demande en nullit\u00e9 de vente et ses incidences proc\u00e9durales<\/p>\n<p>La cour rappelle d\u2019abord qu\u2019une demande en r\u00e9solution ou en nullit\u00e9 d\u2019un acte soumis \u00e0 publicit\u00e9 n\u2019est recevable qu\u2019apr\u00e8s sa publication fonci\u00e8re. Faute de diligence, la pr\u00e9tention est \u00e9cart\u00e9e. Le motif est explicite et d\u00e9cisif: \u00ab En application de l\u2019article 122 du code de proc\u00e9dure civile, il y a donc lieu de prononcer l\u2019irrecevabilit\u00e9 de cette demande \u00bb. La d\u00e9cision se montre soucieuse d\u2019ordre public de s\u00e9curit\u00e9 des mutations immobili\u00e8res et d\u2019opposabilit\u00e9, sans d\u00e9nier pour autant l\u2019existence d\u2019un lien suffisant avec le litige principal.<\/p>\n<p>La cons\u00e9quence proc\u00e9durale est aussit\u00f4t tir\u00e9e. Le d\u00e9bat se poursuit avec l\u2019acqu\u00e9reur en qualit\u00e9 de bailleur, la qualit\u00e9 de ce dernier n\u2019\u00e9tant plus discut\u00e9e. La formule est nette et ferme: \u00ab D\u00e8s lors que la qualit\u00e9 de propri\u00e9taire (\u2026) n\u2019est pas utilement contest\u00e9e, il convient d\u2019\u00e9carter le fin de non-recevoir (\u2026) tir\u00e9e du d\u00e9faut de qualit\u00e9 \u00e0 agir \u00bb. L\u2019office de la cour se concentre ainsi sur le rapport bailleur\u2011preneur, en \u00e9cartant une contestation immobili\u00e8re mal introduite, ce qui recentre utilement l\u2019analyse sur le statut des baux commerciaux.<\/p>\n<p>B. L\u2019exigence du formalisme de la demande de renouvellement et la validit\u00e9 du cong\u00e9<\/p>\n<p>Le preneur invoquait un accord de renouvellement par messages \u00e9lectroniques \u00e9chang\u00e9s avant la cession, assortis d\u2019une proposition de loyer. La cour refuse d\u2019y voir une demande r\u00e9guli\u00e8re au sens du code de commerce. Elle retient notamment l\u2019inad\u00e9quation du support, l\u2019absence de reproduction des mentions l\u00e9gales, et le d\u00e9faut de qualit\u00e9 du signataire. La motivation, rigoureuse, repose sur la lettre du texte: \u00ab Ce message \u00e9lectronique du 20 d\u00e9cembre 2015 ne pouvait constituer une demande r\u00e9guli\u00e8re de renouvellement du bail \u00bb. A cela s\u2019ajoute l\u2019absence de date certaine et la dissym\u00e9trie des pouvoirs entre usufruit et nue-propri\u00e9t\u00e9.<\/p>\n<p>Sur le cong\u00e9 avec offre de renouvellement, notifi\u00e9 au nom des c\u00e9dants par le b\u00e9n\u00e9ficiaire d\u2019une promesse, la cour valide la d\u00e9marche. Elle souligne l\u2019int\u00e9r\u00eat l\u00e9gitime et convergent des parties \u00e0 anticiper la fixation d\u2019un loyer de renouvellement. Le motif est parlant, et tranche toute suspicion de fraude: \u00ab Il existait un int\u00e9r\u00eat commun des promettants et de la b\u00e9n\u00e9ficiaire de la promesse, \u00e0 voir fixer le loyer de renouvellement \u00e0 la hausse \u00bb. En cons\u00e9quence, la solution est ferme: \u00ab Le jugement sera donc confirm\u00e9, en ce qu\u2019il a jug\u00e9 que le renouvellement du bail n\u2019\u00e9tait pas intervenu \u00bb. L\u2019exigence de forme prot\u00e8ge la s\u00e9curit\u00e9 contractuelle sans emp\u00eacher une notification anticip\u00e9e du cong\u00e9 en pr\u00e9sence d\u2019un mandat stipul\u00e9.<\/p>\n<p>II. R\u00e9partition des charges de travaux et fixation de la valeur locative<\/p>\n<p>A. Les travaux de mise en conformit\u00e9 \u00e0 la charge du bailleur et le trouble de jouissance<\/p>\n<p>La cour r\u00e9affirme les obligations de d\u00e9livrance et d\u2019entretien \u00e0 la charge du bailleur. Elle neutralise les clauses ambig\u00fces du bail ant\u00e9rieur lorsque celles-ci tentent, de mani\u00e8re impr\u00e9cise, de d\u00e9roger au droit commun. La phrase est claire: \u00ab Le terme \u201cquelqu\u2019en soit la cause\u201d (\u2026) est insuffisamment pr\u00e9cis pour emporter une d\u00e9rogation valable aux dispositions de l\u2019article 1720 du code civil \u00bb. Sont ainsi mis \u00e0 la charge du bailleur les travaux de mise en conformit\u00e9 des installations \u00e9lectriques, de s\u00e9curit\u00e9 incendie et de chauffage.<\/p>\n<p>La preuve de la v\u00e9tust\u00e9 et de la n\u00e9cessit\u00e9 des travaux r\u00e9sulte de pi\u00e8ces techniques non discut\u00e9es. La cour retient en cons\u00e9quence un remboursement partiel et justifi\u00e9: \u00ab Il en r\u00e9sulte que les frais suivants doivent \u00eatre support\u00e9s par les bailleurs \u00bb. L\u2019indemnisation est calibr\u00e9e et nette, limit\u00e9e aux postes strictement exig\u00e9s par la s\u00e9curit\u00e9 et la conformit\u00e9. La demande de remboursement au-del\u00e0 est \u00e9cart\u00e9e, faute de d\u00e9monstration suffisante du caract\u00e8re n\u00e9cessaire des autres d\u00e9penses.<\/p>\n<p>Le pr\u00e9judice d\u2019exploitation li\u00e9 aux travaux men\u00e9s \u00e0 l\u2019\u00e9tage par le bailleur est \u00e9galement reconnu, en pr\u00e9sence de constats circonstanci\u00e9s. La limite de la clause de souffrance est rappel\u00e9e, compte tenu de l\u2019intensit\u00e9 des nuisances et de leur dur\u00e9e. Le constat central est cisel\u00e9: \u00ab Les travaux ont consid\u00e9rablement perturb\u00e9 la jouissance paisible des lieux donn\u00e9s \u00e0 bail \u00bb. La r\u00e9paration forfaitaire allou\u00e9e, d\u2019un montant mesur\u00e9, consacre un \u00e9quilibre entre les n\u00e9cessit\u00e9s du chantier et les droits du preneur \u00e0 une exploitation paisible.<\/p>\n<p>B. La d\u00e9termination de la valeur locative et le traitement des accessoires financiers<\/p>\n<p>La cour confirme d\u2019abord le d\u00e9plafonnement en raison de la dur\u00e9e exc\u00e9dant douze ans entre l\u2019\u00e9ch\u00e9ance du bail et la date d\u2019effet du renouvellement. Le rappel du principe est sobre et exact: \u00ab Le bail avait exc\u00e9d\u00e9 une dur\u00e9e de 12 ans, et le loyer du bail renouvel\u00e9 (\u2026) devait \u00eatre fix\u00e9 \u00e0 sa valeur locative \u00bb. Le p\u00e9rim\u00e8tre des surfaces retenues suit ensuite la m\u00e9thode pond\u00e9r\u00e9e, en int\u00e9grant la cave d\u00e9sormais privatis\u00e9e et en excluant des surfaces non pertinentes telles qu\u2019une rochelle amovible et un porche ext\u00e9rieur.<\/p>\n<p>L\u2019appr\u00e9ciation des caract\u00e9ristiques du local distingue ce qui rel\u00e8ve d\u2019am\u00e9liorations financ\u00e9es par le preneur et ne peut majorer la valeur locative. La cour retient une minoration li\u00e9e \u00e0 l\u2019\u00e9tat r\u00e9el des lieux \u00e0 la date de r\u00e9f\u00e9rence. La motivation est concise et d\u00e9cisive: \u00ab Il convenait d\u2019appliquer de ce fait une minoration au titre des caract\u00e9ristiques du local \u00bb. Elle confirme aussi une d\u00e9cote limit\u00e9e pour une clause d\u2019assurance imposant une charge d\u00e9passant le droit commun, sans \u00e9tendre la r\u00e9duction \u00e0 d\u2019autres stipulations neutralis\u00e9es par l\u2019ordre public \u00e9conomique.<\/p>\n<p>Au terme de la pond\u00e9ration et des abattements retenus, le montant est stabilis\u00e9: \u00ab Le montant du loyer annuel \u00e0 41062 euros hors taxe et hors charges, \u00e0 compter du 1er juillet 2017 \u00bb. La solution s\u2019inscrit dans une grille coh\u00e9rente de comparaisons, en \u00e9cartant les biais r\u00e9sultant d\u2019investissements priv\u00e9s du preneur. Enfin, la cour r\u00e8gle l\u2019accessoire financier en pr\u00e9sence d\u2019une proc\u00e9dure collective. La pr\u00e9cision est utile \u00e0 la liquidation des comptes: \u00ab Les int\u00e9r\u00eats d\u00fbs au taux l\u00e9gal (\u2026) ne courent que sur la p\u00e9riode comprise entre le 7 juillet 2017 et le 28 ao\u00fbt 2024 \u00bb. La fixation s\u2019accompagne d\u2019une r\u00e9partition mesur\u00e9e des d\u00e9pens et d\u2019une indemnit\u00e9 modeste au titre des frais irr\u00e9p\u00e9tibles d\u2019appel.<\/p>\n<p>I. Les conditions de recevabilit\u00e9 et de renouvellement \u00e9tant pr\u00e9cis\u00e9es, la solution prot\u00e8ge la s\u00e9curit\u00e9 des actes et l\u2019exigence formelle du statut des baux commerciaux. II.
