Un contrat de bail avait \u00e9t\u00e9 conclu en 2011 puis modifi\u00e9 par avenant en 2015. Le propri\u00e9taire avait vendu l\u2019immeuble \u00e0 une soci\u00e9t\u00e9 en juillet 2023 avant de d\u00e9livrer un cong\u00e9 pour vente en mai 2024. Les locataires contestaient la validit\u00e9 du cong\u00e9 et la qualit\u00e9 \u00e0 agir du demandeur. La question de droit portait sur la recevabilit\u00e9 d\u2019une action intent\u00e9e par une personne n\u2019\u00e9tant plus propri\u00e9taire du bien. Le tribunal a r\u00e9pondu en d\u00e9clarant l\u2019action irrecevable pour d\u00e9faut de qualit\u00e9 \u00e0 agir.<\/p>\n<p>L\u2019exigence d\u2019une qualit\u00e9 \u00e0 agir expresse et non \u00e9quivoque.<\/p>\n<p>Le juge rappelle que seul le repr\u00e9sentant l\u00e9gal de la soci\u00e9t\u00e9 propri\u00e9taire, agissant en cette qualit\u00e9, pouvait d\u00e9livrer cong\u00e9 et assigner. Il constate que le cong\u00e9 et l\u2019assignation ont \u00e9t\u00e9 \u00e9tablis au nom personnel du demandeur, sans mention de la soci\u00e9t\u00e9 ni de sa qualit\u00e9 de g\u00e9rant. La d\u00e9cision souligne que \u201cles actes ayant \u00e9t\u00e9 \u00e9tablis sous une identit\u00e9 et une adresse strictement personnelle\u201d ne permettent pas de caract\u00e9riser une volont\u00e9 d\u2019agir pour le compte de la soci\u00e9t\u00e9 (Motifs, I). En l\u2019absence de mention expresse, l\u2019action est irrecevable sur le fondement des articles 31 et 32 du code de proc\u00e9dure civile. Cette solution affirme la rigueur formelle requise pour engager une action en justice au nom d\u2019une personne morale.<\/p>\n<p>La port\u00e9e de l\u2019exigence de qualit\u00e9 \u00e0 agir et l\u2019absence d\u2019examen au fond.<\/p>\n<p>Le tribunal \u00e9carte tous les autres moyens soulev\u00e9s par les parties, dont la nullit\u00e9 du cong\u00e9 et la protection des locataires \u00e2g\u00e9s. Il pr\u00e9cise qu\u2019\u201cil n\u2019y a pas lieu de statuer sur les autres moyens\u201d (Motifs, I). Cette irrecevabilit\u00e9 prive d\u2019effet toute discussion sur le fond du litige, y compris les droits des occupants prot\u00e9g\u00e9s. La valeur de cette d\u00e9cision est de rappeler que la qualit\u00e9 \u00e0 agir est une condition pr\u00e9alable imp\u00e9rative. Sa port\u00e9e pratique est d\u2019\u00e9viter que des actes accomplis par un dirigeant en son nom personnel n\u2019engagent la soci\u00e9t\u00e9.
