Une agence immobili\u00e8re, mandataire des parties, avait assign\u00e9 les acqu\u00e9reurs d\u00e9faillants pour obtenir le paiement du prix de vente ou la r\u00e9solution du compromis. La question de droit portait sur la recevabilit\u00e9 des actions d&#8217;un tiers au contrat. Le tribunal a d\u00e9clar\u00e9 irrecevables les demandes principales et subsidiaires de l&#8217;agence, tout en rejetant sa demande d&#8217;honoraires.<\/p>\n<p>L&#8217;absence de qualit\u00e9 \u00e0 agir du mandataire exclut toute action en ex\u00e9cution forc\u00e9e.<\/p>\n<p>Le tribunal rappelle que <em>&#8220;les tiers ne peuvent ni demander l&#8217;ex\u00e9cution du contrat ni se voir contraints de l&#8217;ex\u00e9cuter&#8221;<\/em> (article 1199 du code civil). L&#8217;agence immobili\u00e8re, bien que r\u00e9dactrice du compromis, n&#8217;est pas partie \u00e0 celui-ci. Elle ne peut donc solliciter le paiement du prix par les acqu\u00e9reurs, ni demander la r\u00e9solution du contrat ou le versement de la clause p\u00e9nale. Cette solution est la seule conforme au principe de l&#8217;effet relatif des conventions, dont elle constitue une application classique. La port\u00e9e de ce principe est ici absolue : il prive d&#8217;int\u00e9r\u00eat toute action du mandataire visant \u00e0 substituer aux vendeurs. Cette irrecevabilit\u00e9 est d&#8217;ordre public et peut \u00eatre relev\u00e9e d&#8217;office par le juge.<\/p>\n<p>L&#8217;absence de d\u00e9monstration des conditions contractuelles prive l&#8217;agence de sa cr\u00e9ance d&#8217;honoraires.<\/p>\n<p>Le tribunal constate que les honoraires de l&#8217;agence n&#8217;\u00e9taient exigibles qu&#8217;au jour de la signature de l&#8217;acte authentique. Or, cette signature n&#8217;a jamais eu lieu. L&#8217;agence ne prouve pas que les conditions suspensives \u00e9taient r\u00e9alis\u00e9es et que les acqu\u00e9reurs ont refus\u00e9 de r\u00e9it\u00e9rer. Elle ne d\u00e9montre pas davantage une r\u00e9siliation amiable du compromis. Sa demande en paiement est donc rejet\u00e9e, car elle ne remplit pas les conditions de son propre contrat de mandat. Cette solution garantit la s\u00e9curit\u00e9 juridique en liant strictement la r\u00e9mun\u00e9ration du professionnel \u00e0 la r\u00e9alisation de l&#8217;op\u00e9ration.
